A.: RESOLUTION OF THE COUNCIL OF THE CITY
OF FRESNO, CALIFORNIA, APPROVING THE
QUITCLAIM DEED FROM CITY OF FRESNO T4
HUNTINGTON PARK APARTMENTS II FOR
MARIPOSA PROJECT HOUSING TRIANGLE PHASE II
WHEREAS, by Resolution No. 76 -49, the City of Fresno
ordered the vacation of certain; public streets and alleys -
contained in the Redevelopment Agency project area know
as Mariposa Project Housing Triangle Phase II; and
WHEREAS# said resolution reserves a permanent easement
for the operation of railroad lines and transportation or
distribution of petroleum products and ammonia and
WHEREAS, Huntington Park Apartments II the Redeveloper
in the project area., has requested that the City of Fresno
convey by the attached Quitclaim Deed thoseusesof the
easement which are incompatible with the residential use: of
the property; and
WHEREAS, said conveyance is necessary to close the
Redeveloper's Loan from the Department of Housing and Urban
Development through the Federal Housing Authority..
NOW, THEREFORE, the Council of the City of Fresno
resolves as follows:
1. Approve the Quitclaim Deed attached hereto
as .Attachment "All; and
2 Authorize the Director or Acting Director of
Housing and Community Development to execute sa%d Quitclaim
Deed on behalf of the City of Fresno and take such other
action as may be necessary to effect the conveyance; and.
3. This resolution shall become effective and in
full force and effect immediately upon its adoption.

QUITCLAIM DEED
WHEREAS, the, CITY OF FRESNO (hereinafter sometimes
referred to as "Grantor") reserved in Section. 3 of Resolution
No. 76-49, RESOLUTION ORDERING VACATION OF PUBLIC STREETS
AND .ALLEYS, recorded in Book 6549 pages 804 through 806,
inclusive, of the Official Records of the Fresno County,
an easement over and across the parcel of real property,
more particularly described in Exhibit "A" attached hereto
and incorporated herein by reference; ("Subject Property"
and
WHEREAS, ' the location of said easement is reflected in
red on the map attached hereto as Exhibit "B," which is
attached hereto and incorporated herein by reference.
WHERBASr HUNTINGTON PARK APARTMENTS III A California
Limited Partnership, (hereinafter sometimes referred to as
"Grantee") has agreed to purchase subject property from the
Redevelopment Agency of the City of Fresno ("Agency") in
order to construct thereon a ninety six (96) unit residential

apartment complex, with a mortgage loan to be insured by the
U.S. Department of Housing and Urban Development; and
WHEREAS, the U.S. Department of Housing and Urban
Development is not willing to insure the mortgage loan on
the project unless and 'until the City of Fresno agrees to
limit the easement reserved over and across the Subject
Property to uses consistent with the residential project to
be constructed on subject property;
NOW, THEREFORE, This Quitclaim Deed., made this
day of April, 1979, is by and -between the CITE' OF FRESNO, as
Granter, and HUNTINGTON PARK APARTMENTS II, a California
Limited Partnership, as Grantee._
WITNESSETH, that for valuable consideration, receipt of
which is hereby acknowledged.. Grantor, a municipal corporation,
Hereby quitclaims to Grantee the following
1. Except as provided in Paragraph 3, hereinbelow, Grantor
does hereby remise, release and forever quitclaim any interest
.it may have in that certain real, property located in Fresno
County, described in Exhibit "A" and reflected in red on
the map attached hereto as Exhibit "E."
2 Except; as provided in Paragraph 3, hereinbelow, this Quit-
claim Deed is given specifically to release the easement reserved
by Resolution No. 76-49, Resolution ord.eriag Vacation. of
Public Streets and Alleys, dated February 5, 1976 and recorded
on February 12, 1976, in Book 6549, gages 804 through 806,;
inclusive, of the Official Records of Fresno County, California.,

3. The City of Fresno does hereby reserve and except
from this ' Quitclaim Deed the permanent easement and right
at any time, or from time to time,, to construct, maintain,
operate, replace, remove and renew sanitary sewers, storm
drains, underground electrical lines, telephone lines,
telegraph lines, water lines, cable television lines and
other uses compatible with residential use of the property
and appurtenant structures in, upon, over and across the
Subject. Property, as set forth in Exhibit "B," and pursuant
to any existing franchises or renewals thareaf, including
access and the right to keep the property free from infl.a=iable
materials, and wood growth, and otherwise protect the same from
all Hazards in, upon, over and across said easement in the
Subject Property.
