MEMORANDUM OF UNDERSTANDING
BETWEEN THE CITY OF FRESNO AND THE
DOWNTOWN ASSOCIATION OF FRESNO
(DBA DOWNTOWN FRESNO PARTNERSHTP)
REGARDING
FULTON MALL SERVICES AND SPECIAL EVENTS
This AMENDMENT TO MEMORANDUM OF UNDERSTANDING ("Amendment")
between the CITY OF FRESNO, CALIFORNIA, a municipal corporation, through its
Parks, After-School, Recreation and Community Service Department ("City"), and
DOWNTOWN ASSOCIATION OF FRESNO, a California 501 (cX6) non-profit
dba Downtown Fresno Partnership ("Association") is effective as of this
of December, 2015.
RECITALS
WHEREAS, City and Association entered into a Memorandum of Understanding
regarding Fulton Mall Services and Special Events on October 25, 2012, (the
"Agreement"); and
WHEREAS, under the Agreement, City outsourced the management of certain
Mall events and vendor permits to Association for an initial term running through
December 31,2015; and
WHEREAS, City and Assobiation'now desire,to extend the Agreement, as set
forth below: '
NOW, THEREFORE, in consideration of the above recitals, which recitals are
contractual in nature, the mutual covenants herein contained, and such other and
further consideration as is hereby acknowledged, the parties agree that the aforesaid
Agreement be amended as follows:
AMENDMENTS
1. Section 3 ("Effectiveness, Duration, and Termination") of the Agreement is
extended from December 31,2015, to June 30,2016, subject to any earlier termination
in accordance with the Agreement.
2. Whenever the Agreement is referred to, it shall mean the Agreement as modified
by this Amendment. Except as othenruise provided herein, the Agreement entered into
between City and Association regarding the Fulton Mall Services and Special Events on
October 25,2012, remains in full force and effect.
lN WITNESS WHEREOF, the parties have executed this Amendment in Fresno,
California, the day and year first above written.
