CITY OF FRESNO, CALIFORNIA
THIS FIRST AMENDMENT TO SERVICE AGREEMENT (FIRST AMENDMENT) is hereby
made to the Service Agreement entered into between the CITY OF FRESNO, a California municipal
corporation (CITY) and Flight Services and Systems, Inc., an Ohio corporation (SERVICE
PROVIDER) effective_A r_d—A 5 201 9 (Service Agreement).
RECITALS
WHEREAS, CITY and SERVICE PROVIDER contracted for Customer Service and Related
Support services for Fresno Yosemite International Airport, hereinafter referred to as the "Project;"
WHEREAS, CITY and SERVICE PROVIDER now desire to extend the term for the Service
Agreement;
WHEREAS, CITY and SERVICE PROVIDER desire to revise SERVICE PROVIDER's
compensation over the life of the Service Agreement.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing, it is mutually agreed that this First
Amendment shall revise the Service Agreement as follows:
1. The Term of the Agreement shall be extended through January 31, 2022, with an option to
extend the Agreement for two one-year extension at the City's exclusive option, subject to any earlier
termination in accordance with the Agreement.
2. SERVICE PROVIDER's compensation shall be adjusted pursuant to Exhibit A-1, which
reflects revised rates for each year of performance. Total compensation to SERVICE PROVIDER for
the life of the Agreement shall not exceed $150,000.
3. Except for the revisions herein, the Service Agreement remains in full force and effect. In
the event of any conflict between the Service Agreement and this First Amendment, this First
Amendment shall control.
