HomeMy WebLinkAboutWallace Roberts and Todd - Elm Ave. Brownfields - 2nd Amdt. - 2018SECOND AMENDMENT TO AGREEMENT THIS SECOND AMENDMENT TO AGREEMENT (Amendment) made and entered into as of this �5 day of V'P-i L- 2018, Agreement heretofore entered into between the CITY OF FRESNO, a municipal corporation (City), and WALLACE ROBERTS & TODD, LLC., a Pennsylvania limited liability company (Consultant). RFC:ITAI S WHEREAS, the City and the Consultant entered into a Consultant Services Agreement, on June 20, 2017, (Agreement); and WHEREAS, the Agreement was amended on June 30, 2018, to extend the Agreement to December 30, 2018; and WHEREAS, the City and Consultant desire to modify the term of the Agreement and the scope of services. AGREEMENT NOW, THEREFORE, the parties agree that the aforesaid Agreement be amended as follows: 1. Consultant shall perform the services listed in Exhibit A for a fee not to exceed $8,498.25. 2. In the event of any conflict between the body of this Amendment and any exhibit or attachment hereto, the terms and conditions of the body of this Amendment shall control and take precedence over the terms and conditions expressed within the exhibit or attachment. Furthermore, any terms or conditions contained within any exhibit or attachment hereto which purport to modify the allocation of risk between the parties, provided for within the body of this Amendment shall bi� null and void. ' 3. Except as otherwise provided herein, the Agreement entered into by City and Consultant on June 20, 2017, and amended on June 30, 2018, remain in full force and effect. This memo outlines scope and fee of two additional services. The first represents WRT's work with property owners and developers of two catalyst sites on the Elm Avenue corridor. The second would add an "implementation kick-off" event. The memo also identifies changes to our original scope of work and budget which can yield cost savings. The pop-up plaza would be used for a neighbor oil block party, where the planning process can be linked directly to community-bui in . WRT would: • Participate in up to 2 internal meetings with City staff and partners to discuss and refine the preferred project idea • Develop a project concept design for City staff review, and refine based on comments Develop a materials list for Staff procurement • Assist City staff to build and implement day -long project in one location. COST WRT has prepared a cost budget based on the scope of work, summarized below. Proposed costs are all-inclusive; work will be completed as indicated in the scope of work, with no additional costs unless such additional costs are specifically approved in advance by the City. Proposed scope changes would result in an estimated $4,012 in cost savings. We estimate the cost of the additional service to be $12,510.
