HomeMy WebLinkAboutFresno Housing Authority (3) SECOND AMENDMENT TO AGREEMENT THIS SECOND AMENDMENT TO AGREEMENT (Amendment), is effective as of October 31, 2018, by and between the CITY OF FRESNO, a municipal corporation, (City), and FRESNO HOUSING AUTHORITY, a body corporate and politic, (Subrecipient). RECITALS WHEREAS, the City was a recipient of HOME Program funding in fiscal year 2016-2017 for funding eligible activities to provide rental assistance to homeless persons or those persons threatened with homelessness; and WHEREAS, City and Subrecipient entered into an Agreement effective January 1, 2017, to implement services related to tenant-based rental assistance (Agreement) for the 2016-2017 program year; and WHEREAS, the Subrecipient was designated to carry out all actions necessary to implement the HOME Program objectives of providing and preserving affordable housing to eligible low income individuals and households; and WHEREAS, City and Subrecipient entered into an Amendment to Agreement, effective September 30, 2018, which extended the Time of Performance to October 30, 2018; and WHEREAS, the parties desire to modify the Agreement as set forth below. AMENDMENT NOW, THEREFORE, in consideration of the above recitals, which recitals are contractual in nature, the mutual promises herein contained, and for other good and valuable consideration hereby acknowledge, the parties agree that the aforesaid Agreement be amended as follows: 1. Section II (Time of Performance) of the Agreement is extended from October 31, 2018, to December 31, 2018, to provide the services described within Exhibit A of the Agreement, subject to any earlier termination in accordance with the Agreement. 2. In the event of any conflict between the body of this Amendment and any Exhibit or attachment hereto, the terms and conditions of the body of this Amendment shall control and take precedence over the terms and conditions expressed within the Exhibit or Attachment. Furthermore, any terms or conditions within any Exhibit or Attachment hereto which purports to modify the allocation of risk between the parties, provided for within the body of this Amendment, shall be null and void. 3. Whenever the Agreement is referred to, it shall mean the Agreement as modified by this Amendment. Except as otherwise provided herein, the Agreement entered into between Subrecipient and City regarding tenant-based rental assistance effective January 1, 2017, remains in full force and effect. 1 of 2 IN WITNESS WHEREOF, the Parties authorized agents have executed this Amendment to Agreement at Fresno, California, the day and year first above written.
