Aircraft Listing Agreement

City of Fresno Police Department (hereafter Seller) warrants that it has the legal right to sell and convey
clear title to the listed Aircraft, and that it desires that Paragon Aviation Logistics, DBA Paragon Aircraft
Sales (hereafter Paragon) procure a buyer. In consideration of Paragon's efforts to obtain a buyer, seller
hereby grants Paragon the EXCLUSIVE RIGHT TO SELL the listed Aircraft for a period of 120 days.
The Aircraft is available for immediate sale at a price of $ 129,900.00, or other such amount that Seller
may agree to accept. Seller agrees to pay Paragon a sales commission equal to 6%of the selling price
for any sale made during the term of this agreement.
Seller shall retain legal custody and control of Aircraft and is free to use it as desired. As such, Seller
shall maintain storage (tie-down or hangar) at agreed upon airport. Seller shall make Aircraft, its log
books, and other documentation available as necessary, with reasonable notice, for Paragon to show
aircraft to prospective buyer(s).
Upon acceptance of an offer, Seller authorizes Paragon, or other qualified and mutually agreed upon
pilot, to provide a demonstration flight to buyer(s) as may be stipulated in accepted offer. Seller shall
make Aircraft, its log books, and other documentation, available for a pre-purchase evaluation at a
location as may be stipulated in accepted offer.
Seller is responsible for maintaining liability and hull damage insurance as desired to protect its interests
while this agreement is in effect. Seller agrees to hold harmless, Paragon from any claims, losses,
injuries, or damage, whether to the Seller, the aircraft, or any other party, arising out of the execution of
this agreement or other operation of the aircraft that the Seller may request of Paragon.
This agreement shall be governed by and construed in accordance with the laws of the state of
California. In the event that any provision of this Agreement should for any reason be held invalid,
ineffective, unenforceable, or contrary to public policy, the remainder hereof shall remain in full force and
effect notwithstanding.
This Aircraft Listing Agreement is the only contract governing this exclusive right to sell, and it contains
all agreements. Nothing further, either written or verbal, is expressed or implied.
