FIRST AMENDMENT TO
AGREEMENT
THIS FIRST AMENDMENT TO AGREEMENT (Amendment) made and entered the
day of March 7, 2024 (Effective Date), amends the Consultant Services Agreement
entered into between the CITY OF FRESNO, a California municipal corporation (City), and
TRC Solutions, Inc., (Consultant).
RECITALS
WHEREAS,the City and the Consultant entered into a Consultant Services Agreement
on January 23, 2024 (Agreement), to provide professional consulting Zero Emissions Fleet
Vehicle Transition Planning (Project)services for the General Services Department,for a total
fee of$147,221 and a contingency amount not-to-exceed $10,000; and
WHEREAS, City and Consultant now desire to add professional grant writing services
to the scope of work and assistance to the City of Fresno with funding opportunities to
implement the California Air Resource Board (CARB)Advanced Clean Fleets regulation; and
WHEREAS, Consultant shall only bill actual labor expended on the additional
scope of work not-to-exceed $150,000; and
WHEREAS, with entry into this Agreement, the Consultant agrees it has no claim,
demand, or dispute against the City.
AGREEMENT
NOW, THEREFORE, the Parties agree that the aforesaid Agreement be amended as
follows::
1. The recitals of this Amendment are incorporated and made a part of the
Agreement.
2. The Consultant's scope of work is modified to include professional grant
writing services and assistance to the City of Fresno with various funding opportunities to
implement CARB's Advanced Clean Fleets regulation.
3. The grant writing services shall be performed as directed by the General
Services Department and in accordance with various grant application requirements.
4. The Consultant shall only bill for actual labor hours expended on grant
writing services not-to-exceed $150,000.
5. The contract will increase to a total value of $297,221 and a contingency
amount not-to-exceed $10,000.
6. Except as otherwise provided herein, the Agreement entered into by the
City and the Consultant on January 23, 2024, remains in full force and effect.
