HomeMy WebLinkAboutTemple-Andreasen-Moore Architects - 1st Amendment to Agreement dated 06.23.23 - 09.05.23FIRST AMENDMENT TO AGREEMENT THIS FIRST AMENDMENT TO AGREEMENT (Amendment) made and entered into as of this �- day of SF� 6ior _ 20A, amends the Agreement entered into between the CITY OF FRESNO, a California municipal corporation (City), and Temple- Andreasen-Moore Architects, a California Limited Liability Partnership (Consultant). RECITALS WHEREAS, City and Consultant entered into an Agreement dated June 23, 2023, for the design of plans and General Construction Contract Documents for Garage 9 Remodel Project (Agreement); and WHEREAS, Consultant has completed the Design Development portion of the Agreement; and WHEREAS, City and Consultant now desire to modify the scope of work therein by requiring additional services; and WHEREAS, by entry into this Amendment, the Consultant agrees it has no claim, demand or dispute with the City. AGREEMENT NOW, THEREFORE, in consideration of the above recitals, which recitals are contractual in nature the mutual promises herein contained, and for other good and valuable consideration hereby acknowledged the parties agree that the Agreement be amended as follows: 1. Consultant shall provide additional services as described in Attachment A, attached hereto and incorporated herein by reference. Such additional services shall be completed within 14 calendar days following execution of this Amendment by both parties. 2. Consultant's sole compensation for satisfactory performance of all services required or rendered pursuant to this Amendment shall be a total fee of Eight Thousand Two Hundred Fifty Dollars ($8,250.00), using approved contingency amount. 3. In the event of any conflict between the body of this Amendment and any Exhibit or Attachment hereto, the terms and conditions of the body of this Amendment shall control and take precedence over the terms and conditions expressed within the Exhibit or Attachment. Furthermore, any terms or conditions contained within any Exhibit or Attachment hereto which purport to modify the allocation of risk between the parties, provided for within the body of this Amendment, shall be null and void. 1 4. Except as otherwise provided herein, the Agreement entered into by City and Consultant, dated June 23, 2023, remains in full force and effect. The services of the Consultant as described in Attachment A are to commence upon the City's issuance of a written "Notice to Proceed." Palm Avenue, Suite 120 Fresno, CA 93704 Telephone: 559-465-4750 Email - rndreasen@tamarchitects.com Attachment A ADDITIONAL SCOPE OF SERVICES Consultant Service First Amendment to Agreement between City of Fresno (City) and Tem ple-And reasen-Mo ore Architects, a California Limited Liability Partnership (Consultant) Garage 9 Remodel Project Temple-Andreasen-Moore Architects (TAM) is working on upgrading an existing bank building to create a `move in ready' building space to relocate staff from Community Development, Housing Production, Housing Finance, Homeless Assistance Response Team (HART), and Homeless Divisions under Planning and Development. The design development phase has been completed by TAM Architects, and they are now working on providing the final construction documents. During the review of the design development phase, it was determined that including fiber optic infrastructure to the building is crucial and will have long term cost savings for the City. Additional Scope of Services includes, but is not limited to: • Site survey and gathering information to plan fiber optic routing to the building • Prepare a demolition plan New Fiber Data infrastructure backbone from Fresno -Van Ness Splice Box to the building, running along the public right of way Prepare Specifications for the new fiber plant • Connection details for the fiber plant interconnection Access Control system per latest City Standards • Plans and specifications for the bidding phase for the additional scope • Construction cost estimates for the additional scope COMPENSATION The compensation for the additional services, as described above, shall be provided as a lump sum amount as outlined in the First Amendment Compensation. Fees will be billed monthly in accordance with phase work completed.
