HomeMy WebLinkAboutMoss Adams - Agreement Consulting - 09.06.23Master Services Agreement Statement of Work CONSULTING SERVICES CITY OF FRESNO SEPTEMBER 6, 2023 This Statement of Work ("SOW') is issued pursuant to the Master Services Agreement (the "MSK or "Agreement") between Moss Adams and you. This SOW incorporates all terms and conditions of the Agreement as if fully set forth herein. Any term not otherwise defined shall have the meaning specified in the Agreement. Scope of Services: Moss Adams will conduct a User Fee Study for City of Fresno ("City") Fire Department ("Department"). To complete this work, we will conduct the following activities: • Meet with staff and management to gain an understanding of Department processes and operations • Analyze existing Department fees, including: o Identify the total cost of providing each service at the activity level o Calculate cost recovery for each existing fee in relation to expected recovery levels o Evaluate rates and fees for compliance with applicable regulations o Compare City fee types and amounts for up to three peer cities • Based on the results of the analysis above, we will recommend appropriate fees and charges based on peer city practices and cost recovery analysis Prepare a report that identifies each fee service, the full cost of providing service, existing cost recovery levels, recommended cost recovery levels, the recommended revised fee, and fee percentage change • Provide an Excel model that the City can use for ongoing fee analysis and updates The fees examined in this study exclude development impact fees, utility rates, connection fees, and special tax assessments. Phase One: Start-up and Management At project initiation, we will confirm the City's expectations, project timing, deliverables, and outcomes. ■ Initiate Project: We will conduct a kickoff meeting with Department leadership to confirm expectations and discuss overall project scope, logistics, deliverables, timing, and progress reporting requirements. We will clarify the responsibilities of Moss Adams and the Department (e.g., providing requested documents and scheduling interviews), timing of specific project activities, and the format of our deliverables. We will also establish an interview list and finalize our approach to each phase of the project. • Perform Project Management: We will conduct project management for the duration of the project, including providing guidance to our team; coordinating with the Department; working through any issues; monitoring progress against the approved work plan; and developing, submitting, and discussing progress reports with the Department. We will provide regular progress reports to the Department, as desired. ■ Provide Quality Assurance: We believe it is important to recognize the need for quality by delivering excellent client service and engagement oversight. All deliverables will undergo a quality assurance review before submittal to the Department. Phase Two: Analysis This phase encompasses fieldwork, including document review, interviews, cost recovery analysis, and peer benchmarking. Master Services Agreement Statement of Work City of Fresno September 6, 2023 Page 2 of 4 • Review Documentation: We will gather and review relevant documentation, including prior fee studies and cost recovery analyses, policies and procedures, cost and expenditure data for Department fees, and related strategic and operating plans. • Conduct Interviews: We will conduct interviews with Department staff as identified in collaboration with the City. These interviews will help us gain an understanding of current processes and operations, fees, and services. • Cost Recovery Analysis: Based on document review and available data, we will analyze cost and fee data to identify the current cost of services and existing cost recovery levels in relation to expected cost recovery. If necessary, we will conduct a survey to estimate employee time spent on each task. • Peer Benchmarking: In coordination with the Department, we will identify three peer cities in the region to perform peer benchmarking. For each selected peer city, we will compare fee types and costs with the Department's existing fee structure to the extent possible. • Prepare Preliminary Observations: Throughout our analysis phase, we will communicate with the Department on preliminary observations to ensure alignment with expectations. At the end of the analysis phase, we will document our preliminary observations in a memo. Phase Three: Model Development This phase moves the study from assessment to analysis in order to develop draft revised fees. • Develop Fee Model: Based on available data and direction provided by the Department, we will develop a fee schedule that identifies each fee at full cost, recommended cost, and current cost recovery levels in Excel. • Prepare Draft Fee Study: We will develop a draft fee study that clearly evaluates existing fees at the Department, including the present fees, recommended fees, percentage of change, cost recovery percentage, revenue impact and fee comparison with peer cities. Phase Four. Reporting This phase results in the delivery and presentation of draft and final reports. • Review Draft Fee Study: We will review the draft fee study with Department staff to solicit feedback and make any applicable changes. ■ Submit Final Fee Study: Following revisions, we will submit our final report to the City. • Present Final Fee Study: We will present the final fee study to City Council upon request. We will prepare a presentation to facilitate this briefing. • Conduct Employee Training: After the final model has been approved by the City, we will conduct a training to select City staff to enable ongoing updates to the fee schedule using the Excel model. Your Responsibilities: The overall definition and scope of the work to be performed is the City's responsibility. We will report to and take direction directly from your appointed project liaison. The City is responsible for the implementation of actions identified during the course of our services and the results achieved from using any services or deliverables. We have not been engaged to and will not perform management functions, make management decisions, act, or appear to act in a capacity equivalent to that of an employee. The City remains responsible for the proper implementation and operation of an adequate internal control and compliance system. Master Services Agreement Statement of Work City of Fresno September 6, 2023 Page 3 of 4 Responsibility for Financial Statements: You are fully responsible for your financial statements, including the establishment and maintenance of adequate records and effective internal controls over financial reporting. Moss Adams assumes no responsibility to provide you with assurance about the accuracy of financial statements, or whether such financial statements are free of misstatements due to fraud or in compliance with applicable laws or regulations. Management Responsibilities: Our professional standards require that we remain independent with respect to our attest clients, including those situations where we also provide nonattest services such as those identified in the preceding paragraphs. As a result, City management must accept the responsibilities set forth below related to this engagement: • Assume all management responsibilities. • Oversee the service by designating an individual, preferably within senior management, who possesses skill, knowledge, and/or experience to oversee our nonattest services. The individual is not required to possess the expertise to perform or reperform the services. • Evaluate the adequacy and results of the nonattest services performed. ■ Accept responsibility for the results of the nonattest services performed. It is our understanding that Dalton Bennett, Projects Administrator, has been designated by the City to oversee the nonattest services and that, in the opinion of the City is qualified to oversee our nonattest services as outlined above. If any issues or concerns in this area arise during the course of our engagement, we will discuss them with you prior to continuing with the engagement. Charges for Services: Our fee for the proposed services is $25,000. Any expenses such as travel, production or postage will be billed separately. Our professional fees will be billed monthly based on the amount of work completed, plus expenses incurred. Consulting beyond the scope of this agreement will be proposed separately. As a commitment to our relationship with the City, we have provided discounted hourly rates, by level, which are presented below. Partner/Director $350 Senior $300 Manager Manager $250 Senior $200 Staff $150 j Associate $110 Our timing will be mutually agreed upon with Management. Additional services, extended delays, and out of scope work will be billed at our standard hourly rates. Expenses will be billed separately at cost. The efficient and timely completion of the Services is based on the anticipated cooperation from your personnel, the expectation that your records will be in good order, and the assumption that unexpected circumstances will not be encountered. If we find that significant additional time is likely to be necessary to complete our Services, we will discuss it with you and arrive at a new fee estimate before we incur significant additional fees or costs.
