HomeMy WebLinkAbouteProperty Innovations, LLC First Amendment To 7-20-23 Agreement - 12-28-23 DocuSign Envelope ID:79EE6D8E-06BE-4F23-91AE-5E8BOE62FB46 FIRST AMENDMENT TO AGREEMENT THIS FIRST AMENDMENT TO AGREEMENT (Amendment) made and entered into effect the day of 7ecembt4'_, 2023, (Effective Date) amends the Agreement entered into between the CITY OF FRESNO, a California municipal corporation (City), and eProperty Innovations, LLC., a limited liability company (Consultant). RECITALS WHEREAS, the City and the Consultant entered into an Agreement on July 20, 2023, (Agreement) to provide professional consultant services for the creation of a Land Bank operational framework (Project); and WHEREAS, the City and the Consultant desire to further extend the term of the Agreement to February 29, 2024. AGREEMENT NOW, THEREFORE, the parties agree that the aforesaid Agreement be amended as follows- 1. The term of the Agreement is extended to February 29, 2024, with the time for performance increased to 217 consecutive calendar days. 2. In the event of any conflict between the body of this Amendment and any exhibit or attachment hereto, the terms and conditions of the body of this Amendment shall control and take precedence over the terms and conditions expressed within the exhibit or attachment. Furthermore, any terms or conditions contained within any exhibit or attachment hereto which purport to modify the allocation of risk between the Parties, provided for within the body of this Amendment, shall be null and void. 3. Except as otherwise provided herein, the Agreement entered into by the City and the Consultant on July 20, 2023, remains in full force and effect.
