RECITALS WHEREAS, the City desires to obtain professional engineering services for the Downtown Area Water and Wastewater Instrastructure Improvement Study (Project); and WHEREAS, the Consultant is engaged in the business of furnishing services as a Civil Engineer and hereby represents that it desires to and is professionally and legally capable of p6i1crming the services called for by this Agreement; and WHEREAS, the Consultant acknowledges that this Agreement is subject to the requirements of Fresno Municipal Code Section 4-107 and Administrative Order No. 619; and A/F_IEF:;�;1_-:S, lc!,:s Agreement wiil be administered for the City by its Director of Public Utilities ir;'!,ector) or designee. Scope of Services. The Consultant small perform to the satisfaction of the City the services described in Exhibit A, including all work incidental to, or necessary to perform, such services even though not specifica!'y described in Exhibit A. 2. Term of Agreement and Time for Performance. This Agreement shall be effective from the date first set forth above and shall continue in full force and effect thrcugh the ear!ier of complete rendition of the services hereunder or June 30, 2025, subject to ?m! eq,-Iier termination in accordance with this Agreement. The services of the Consultant as described in Exhibit A are to commence upon the City's issuance of a written "Notice Proceed." Work shall be undertaken and completed in a sequence assuring expeaitious completion, but in any event, all such services shall be completed within 760 (Seven Hundred Sixty) consecutive calendar days from such authorization to pro;;ved. 3. Comfa sation. kaj The Consultant's sole compensation for satisfactory performance of all services required or rendered pursuant -�o this Agreement shall be a total fee not to exceed $736,073.00 (Seven Hundred Thirty-Six Thousand, Eight Hundred Seventy- Three Dollars, o=:'d or a time and materials basis in accordance with the schedule of fees contained in h,., and a contingency amount not to exceed $74,000 (Seventy-Four Thousand Doll, ;-s)for any additional work rendered pursuant to Subsection (c) below and aut iorized in v r--�ing by the Director.
