FIRST AMENDMENT TO CONSULTANT SERVICE AGREEMENT
CITY OF FRESNO, CALIFORNIA
THIS FIRST AMENDMENT TO CONSULTANT SERVICE AGREEMENT (First
Amendment) is hereby made to the Service Agreement entered into between the CITY OF
FRESNO, a California municipal corporation (City) and RISICO CLAIMS MANAGEMENT, INC.
effective July 1, 2020 and assigned to TRISTAR CLAIMS MANAGEMENT SERVICES, INC., a
Delaware corporation effective February 1, 2022, (Consultant) effective July 1, 2023 (Service
Agreement).
RECITALS
WHEREAS, City and Consultant entered into an agreement (Agreement)for Professional
Claims Administrative Services for administering the City's Workers' Compensation Claims,
(Project;)
WHEREAS, City and Consultant now desire to extend the term for the Agreement;
WHEREAS, City and Consultant desire to revise Consultant's compensation over the life
of the Agreement and subsequent option agreements.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing, it is mutually agreed that this First
Amendment shall revise the Agreement as follows:
1. The Term of the Agreement shall be extended through June 30, 2024, with an option
to extend the Agreement for three one-year extensions at the City's exclusive discretion, subject
to any earlier termination in accordance with the Agreement.
2. Consultant's compensation shall be adjusted pursuant to additional services needed
to complete the Project. Total compensation to Consultant for the life of the Agreement shall be
paid on the basis of the rates set forth in Exhibit A for claims administration fees along with
ancillary bill review fees.
3. Except for the revisions herein, the Agreement remains in full force and effect. In the
event of any conflict between the Agreement and this First Amendment, this First Amendment
shall control.
