HomeMy WebLinkAboutJC Home Restorations, LLC - Addendum to Agrmt - 3-29-2023ADDENDUM TO AGREEMENT AND COMPROMISE This ADDENDUM to the AGREEMENT AND COMPROMISE (Addendum) is entered into and effective as of the last date written below (Effective Date) by and between the City of Fresno, a municipal corporation (City), and JC Home Restorations, LLC. (Buyer) (collectively, Parties) and is based upon the following recitals of facts: RECITALS WHEREAS, on March 29, 2023, the Parties entered into an Agreement and Compromise (Agreement) relating to the Subject Property located at 3079 East Weldon Avenue, Fresno, California, Assessor's Parcel Number 446-172-08 (Subject Property) (Attached hereto and incorporated by reference as Exhibit 1 is a true and correct copy of the Agreement.); WHEREAS, The Subject Property has numerous liens and fees existing on the property based upon Code Enforcement violations and penalties amounting to Forty - Three Thousand and Seventeen Dollars and Fifty Cents ($43,017.50) (Liens). (Attached hereto and incorporated by reference as Exhibit 2 is the current Demand for Payoff for the Subject Property dated March 29, 2023.); WHEREAS, Buyer has requested the City release the Liens on the Subject Property so additional funds may be used to correct Code violations; WHEREAS, After execution of this Addendum, the City shall write-off Thirty Thousand Dollars ($30,000) of the liens against the Subject Property (Remaining Liens). As a condition to the City's write-off of the Liens on the Subject Property, Owner shall maintain the Subject Property in conformity with the Fresno Municipal Code for the next Five (5) years at minimum; WHEREAS, the Parties desire to enter into this Addendum; NOW, THEREFORE, IT IS HEREBY STIPULATED AND AGREED, in consideration of the mutual agreements, covenants, and recitals contained herein, which are true and correct and incorporated by reference, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree and compromise as follows: AGREEMENT 1. Buyers Performance. Buyer shall maintain the Subject Property in conformity with the Fresno Municipal Code for the next Five (5) years (Performance Time). Buyer acknowledges and agrees that an administrative citation may be issued without prior notice for any violations of the Fresno Municipal Code discovered or observed by the City at the Subject Property during the Performance Time. 2. City's Performance. Following execution of this Addendum and receipt of the Buyer's payment of Thirteen Thousand Seventeen Dollars and Fifty Cents ($13,017.50) of Liens through the close of escrow, the City agrees to write-off the Remaining Liens in the amount of Thirty Thousand Dollars ($30,000). If Buyers fail to timely rehabilitate and install the improvements as specified in the Agreement, or if Buyer fails to maintain the Subject Property in conformity with the Fresno Municipal Code for the Performance Time, the City shall have the power to reinstate the Remaining Liens on the Subject Property, to terminate this Addendum, and to terminate the Agreement. The 1 City is not required or obligated by this Addendum to construct or complete any improvements at the Subject Property. 3. No Waiver. Neither a failure nor a delay on part of the City in exercising any right, power, or privilege under the Agreement and any Addendum shall operate as a waiver thereof. 4. Remaining Provisions. All other provisions of the Agreement remain in full force and effect. 5. Counterparts. This Addendum may be executed in counterparts, each of which when executed and delivered will be deemed an original, and all of which together will constitute one instrument. The execution of this Addendum by any party hereto will not become effective until counterparts hereof have been executed by all Parties hereto. (Buyer) (collectively, the Parties). RECITALS WHEREAS, Buyer is interested in purchasing, rehabilitating, and improving the property located at 3079 East Weldon Avenue, Fresno, California, Assessors Parcel Number 446- 172-08 (Subject Property). WHEREAS, on August 8, 2022, the City issued an Amended Notice and Order to current owners of the Subject Property Martha and Joseph Espana, for the Subject Property with a deadline to complete all corrections by August 26, 2022; (Attached hereto and incorporated by reference as Exhibit A is a true and correct copy of the Amended Notice and Order); WHEREAS, the City is legally entitled to take further action regarding the violations on the Property, up to and including the issuance of citations and the filing of a civil action in Fresno Superior Court; WHEREAS, The Subject Property has a Notice of Pending Administrative Action (NOPAA) recorded on the property as Recorded Document 2022-0065416 with the Fresno County Recorder, and a Certificate of Existence of a Substandard Building (COX) recorded on the property as Recorded Document 2022-0073844 with the Fresno County Recorder (collectively, the Recorded Notices) (Attached hereto and incorporated by reference as Exhibit B are true and correct copies of the Recorded Notices); WHEREAS, Buyer has requested the City release the Recorded Notices on the Subject Property so escrow may close and Buyer may take title to the Subject Property; WHEREAS, After execution of the Agreement, the City shall record releases of the Recorded Notices with the Fresno County Recorder. As a condition to the City's release of the Recorded Notices on the Subject Property, Buyers shall bring the Subject Property into conformity with the Fresno Municipal Code. Buyers shall cure all of the existing Code violations on the Subject Property as set forth in this Agreement, in addition to completing a rehabilitation of the Subject Property; NOW, THEREFORE, IN CONSIDERATION of the above recitals, which recitals are contractual in nature, the mutual promises herein contained, and for other good and valuable consideration hereby acknowledged, the Parties agree as follows: AGREEMENT 1. Extension of Deadlines to Correct Violations. The original deadline to complete corrections as set forth in the Amended Notice and Order expired on August 26, 2022. Buyer has requested additional time to complete those corrections, and submitted a scope of work (Attached hereto and incorporated by reference as Exhibit C is a true and correct copy of the submitted scope of work). The City agrees to extend the deadlines for full compliance of all violations, contingent upon Buyer complying with the following, to include applying for and finalizing all required permits: a. All violations noted on the Amended Notice and Order dated August 8, 2022, regarding Units 101 and 102 (violations #1-19 and #20-47) must be completed on or before thirty days after Buyer takes title to the Subject Property. b. All violations noted on the Amended Notice and Order dated August 8, 2022, regarding Units 103 and 104 (violations #48-59 and #60-78) must be completed on or before sixty days after Buyer takes title to the Subject Property. c. All remaining violations noted on the Amended Notice and Order dated August 8, 2022, (violations #79-95) must be completed on or before ninety days after Buyer takes title to the Subject Property. d. The time for completion may be extended if the City determines reasonable progress has been made, and the granting of such an extension will not be detrimental to the public safety or welfare. No extension will be made except upon written application by Buyer and submitted to the City prior to the expiration of the period for performance or any extension thereof stating the reasons and facts supporting such extension. Buyers' Performance. The performance of the work and improvements shall comply with the Fresno Municipal Code and current Building Codes. All repairs and improvements shall be inspected and accepted by the City upon completion. a. improvement Costs. All work and improvements shall be done at the sole cost and expense of the Buyers. The costs of engineering, inspection, testing, permits, and all applicable fees as required by the Fresno Municipal Code shall be the sole responsibility of the Buyers. b. No Sale or Transfer of Subject Property. Prior to City's final inspection and approval of Buyer's repairs and improvements of the Subject Property, Buyer shall not sell, transfer, assign or otherwise dispose of all or a material part of any interest it might hold in the Subject Property without the prior written consent of the City, which consent shall not be unreasonably withheld or delayed. Notwithstanding the foregoing, upon prior written notice to the City, Buyers shall be permitted to assign its rights and obligation under this Agreement with respect to the Subject Property. 2. Cit 's Performance. Following execution of this Agreement, the City agrees to record releases of the Recorded Notices. The City agrees to refrain from issuing citations or taking further legal action against the Property and Buyer as it relates to the Amended Notice and Order, so long as Buyer cures all violations and makes the necessary repairs by the deadlines set forth above in section one (1). The City is not required or obligated by this Agreement to construct or complete any improvements at the Subject Property. 3. Failure to Comply. In the event Buyer fails to correct the code violations on the Subject Property referenced in the Amended Notice and Order on or before the deadlines set forth in section one (1) above, the City reserves the right to take further action, including but not limited to, the termination of this Agreement, the recording of new notices such as a NOPAA or COX on the Subject Property, the issuance of citations by the City, and institution of legal action. 4. Compliance Ins ections. Following execution of this Agreement, the City will schedule compliance inspection(s) to occur following the deadlines for completion listed in section one (1) above for the purpose of determining that Buyer has completed the repairs. 6 The City will schedule the compliance inspection(s) on dates that are mutually agreeable to all Parties, on or shortly thereafter the completion deadlines stated above. Buyer or Buyer's Representative shall be present at the Property at the time of the inspection(s) and shall provide access to City representatives to enter and inspect the Property. The City representatives' time is uncontested hard costs, and the fees for the compliance inspection(s) will be determined after the inspections have taken place, and will be due and payable within thirty days of the date of the City's invoices related to the inspection(s). 5. Indemnification. To the furthest extent allowed by law, Buyers shall indemnify, hold harmless and defend City and each of its officers, officials, employees, agents, and volunteers from any and all loss, liability, fines, penalties, forfeitures, costs and damages (whether in contract, tort or strict liability, including but not limited to personal injury, death at any time, and property damage) incurred by City, Buyer or any other person, and from any and all claims, demands and actions in law or equity (including attorney's fees and litigation expenses), arising or alleged to have arisen directly or indirectly out of performance of this Agreement or the performance of any or all work to be done in and upon the Subject Property pursuant to this Agreement. Buyer's obligations under the preceding sentence shall apply regardless of whether Buyer or any of its officers, officials, employees or agents are passively negligent, but shall not apply to any loss, liability, fines, penalties, forfeitures, costs or damages caused by the active or sole negligence, or the willful misconduct, of City or any of its officers, officials, employees, agents or volunteers. If Buyer should subcontract all or any portion of the services to be performed under this Agreement, Buyer shall require each subcontractor to indemnify, hold harmless and defend City and each of its officers, officials, employees, agents and volunteers in accordance with the terms of the preceding paragraphs. This section shall survive termination or expiration of this Agreement. 6. General Provisions. a. Amendment Waiver, and Modification. No provision hereof may be waived unless in writing and signed by the Parties. Waiver of any one provision herein shall not be deemed a waiver of any other provision herein. This Agreement may be modified or amended only by a written agreement executed by the Parties. b. Attorneys' Fees. Each party shall bear its own attorneys' fees and costs related to the Dispute. Should either party need to take any action, including, but not limited to, mediation, fee arbitration, collections, or civil action, to enforce or interpret this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs incurred. c. Binding on All Successors and Assigns. Unless otherwise expressly provided in this Agreement, all the terms and provisions of this Agreement shall be binding on and inure to the benefit of the Parties hereto, and their respective heirs, successors, assigns, and legal representatives. d. Compliance with Law. In providing the services required under this Agreement, Buyer shall at all times comply with all applicable laws of the United States, the State of California, and City, and with all applicable regulations promulgated by federal, state, regional, or local administrative, and regulatory agencies, including prevailing wages, if applicable, now in force and as they may be enacted, issued, or amended during the term of this Agreement. e. Counterparts. This Agreement maybe executed in counterparts, each of which when executed and delivered will be deemed an original, and all of which together will constitute one instrument. The execution of this Agreement by any party hereto 3 will not become effective until counterparts hereof have been executed by all Parties hereto. f. Cumulative Remedies. No remedy or election hereunder by City shall be deemed exclusive but shall, wherever possible, be cumulative with all other remedies at law or in equity. g. Disclaimer of Relationship. Nothing contained in this Agreement, nor any act of the City or of Buyers, or of any other person, shall in and by itself be deemed or construed by any person to create any relationship of third -party beneficiary, or of principal and agent, of limited or general partnership, or of joint venture. h. Effective Date. This Agreement shall be effective upon the City and Buyer's complete execution of all documents. i. Entire Agreement. This Agreement represents the sole and entire agreement and understanding of the Parties with respect to the subject matter hereof. This Agreement supersedes all prior negotiations, representations, or agreements, either written or oral. j. Exhibits. Each exhibit and attachment referenced in this Agreement is, by the reference, incorporated into and made a part of this Agreement. k. Governing Law and Venue. Except to the extent preempted by applicable federal law, the laws of the State of California shall govern all aspects of this Agreement, including execution, interpretation, performance, and enforcement. Venue for filing any action to enforce or interpret this Agreement will be Fresno, California. I. Headings. The headings of the articles, sections, and paragraphs used in this Agreement are for convenience only and shall not be read or construed to affect the meaning or construction of any provision. m. Independent Counsel. The Parties agree that this Agreement was prepared with the joint input of all Parties, and shall not be construed in favor of or against any party to the Agreement. The Parties further acknowledge that this Agreement was executed freely and voluntarily and with the opportunity for each Party to receive the advice of independent legal counsel. n. Interpretation. This Agreement in its final form is the result of the combined efforts of the Parties. Any ambiguity will not be construed in favor or against any party, but rather by construing the terms in accordance with their generally accepted meaning. o. Limitation on Remedies. City may enforce this Agreement in any manner available at law or in equity. Except as provided by Section 6(b) entitled "Attorney's Fees," in no event shall City, or its officers, agents or employees, be liable in damages for any breach or violation of this Agreement, it being expressly understood and agreed Buyer's sole legal remedy for breach or violation of this Agreement by City shall be a legal action in mandamus, specific performance or other injunctive or declaratory relief to enforce the provisions of this Agreement. p. No Third -Party Beneficiary. No contractor, subcontractor, mechanic, material man, laborer, vendor, or other person hired or retained by Buyer shall be, nor shall any of them be deemed to be, third -party beneficiaries of this Agreement, but each such person shall be deemed to have agreed: (a) they shall look to Buyer as their 4 sole source of recovery if not paid, and (b) except as otherwise agreed to by the City and any such person in writing, they may not enter any claim or bring any such action against the City under any circumstances. Except as provided by law, or as otherwise agreed to in writing between the City and such person, each such person shall be deemed to have waived in writing all right to seek redress from the City under any circumstances whatsoever. q. No Waiver. Neither failure nor delay on the part of the City in exercising any right under this Agreement shall operate as a waiver of such right, nor shall any single or partial exercise of any such right preclude any further exercise thereof or the exercise of any other right. No waiver of any provision of this Agreement or consent to any departure by Buyers therefrom shall be effective unless the same shall be in writing, signed on behalf of the City by a duly authorized officer thereof, and the same shall be effective only in the specific instance for which it is given. No notice to or demand on Buyers in any case shall entitle Buyers to any other or further notices or demands in similar or other circumstances, or constitute a waiver of any of the City's right to take other or further action in any circumstances without notice or demand. r. Notice. Any notice to be given to either party under the terms of this Agreement shall be given by certified United States mail, postage prepaid, return receipt requested, at the addresses specified below, or at such other addresses as may be specified in writing by the Parties. In the event of any conflict between the body of this Agreement and any exhibit or attachment hereto, the terms and conditions of the body of this Agreement will control. t. Severability. The invalidity, illegality, or un-enforceability of any one or more of the provisions of this Agreement shall not affect the validity, legality, or enforceability of the remaining provisions hereof or thereof. u. Waiver of Civil Code Section 1542. The Parties each agree that this is a full and final release applying to all unknown and unanticipated injuries, harm, detriment, damages, claims, and causes of action arising out of or in any way relating to the incidents or events which form the basis of the Dispute concerning the Subject Property, and the Parties each waive all rights or benefits which each now has or in the future may have under the terms of Section 1542 of the Civil Code of the State of California, which reads as follows: A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor. 5 The Parties each represent that each has read the above -quoted language of Civil Code section 1542, consulted with his or its attorney regarding this waiver, and understands and acknowledges that as a minimum consequence of such specific waiver of section 1542, any claim related to any injury of which he or it is not aware or to any injury which has not yet manifested is forever released and discharged. This release and waiver does not extend to properties other than the Subject Property. The violations noted on the attached Correction Notice and Order were confirmed and documented by Rental Housing staff. Staff administrative time is billed to the property owner when violations of the Fresno Municipal Code (FMC) and State Health and Safety Code are confirmed and documented. Administrative fees start at $146.00 per hour. The City is requiring that all listed violations be corrected and completed within the timeframe noted in the attached Correction Notice and Order. The City will perform a reinspection to determine if corrections have been completed.
