FIRST AMENDMENT TO AGREEMENT
THIS FIRST AMENDMENT TO AGREEMENT (Amendment) made and entered
into as of this Fth day of _ February_ 2023, amends the Agreement entered into
between the CITY OF FRESNO, a California municipal corporation (City), and SOMAM,
Inc., a California Corporation (Consultant).
RECITALS
WHEREAS, City and Consultant entered into an Agreement dated February 3,
2022, for Architectural Services (Agreement); and
WHEREAS, the compensation under the Agreement was for $29.000 with a
contingency of an amount to not exceed $3,000 for additional work rendered and
authorized by the Director in writing; and
WHEREAS, the $3,000 contingency amount for additional work has not yet been
utilized: and
WHEREAS, Consultant has completed the ninety percent (90%) portion of the
Agreement; and
WHEREAS, City and Consultant now desire to modify the scope of work therein
by requiring additional services; and
WHEREAS, City and Consultant now desire to modify the scope of work therein
by requiring additional services and additional compensation; and
WHEREAS, City will utilized the $3,000 contingency funds in the Agreement, plus
an additional $17,912 for a total amount of $20,912, for additional services; and
WHEREAS, the Consultant's total compensation for the Agreement and
Amendment is $49,912.
AGREEMENT
NOW, THEREFORE, the parties agree that the Agreement be amended as
follows:
1. Consultant shall provide additional services as described in Attachment A,
attached hereto and incorporated herein by reference. Such additional services shall be
completed within 45 days following execution of this Amendment by both parties.
2. Consultant's sole compensation for satisfactory performance of all services
required or rendered pursuant to this Amendment shall be a total fee of $20,912.

3. In the event of any conflict between the body of this Amendment and any
exhibit or attachment hereto, the terms and conditions of the body of this Amendment
shall control and take precedence over the terms and conditions expressed within the
exhibit or attachment. Furthermore, any terms or conditions contained within any exhibit
or attachment hereto which purport to modify the allocation of risk between the parties,
provided for within the body of this Amendment, shall be null and void.
4. Except as otherwise provided herein, the Agreement entered into by City
and Consultant, dated February 3, 2022, remains in full force and effect.

ADDITIONAL SCOPE OF SERVICES
Consultant Service First Amendment to Agreement between City of Fresno (City) and
SOMAM, Inc. (Consultant)
Woodward Park Group Activity Center Lights and Dance Floor
Additional Scope of Services includes, but is not limited to:
Add four (4) accessible stalls closest to the entrance (reconfiguring the existing parking
stalls)
Incorporating the ADA path of travel from the stalls to the main entrance
Incorporating the ADA path of travel from the entrance gate to the existing restrooms
Incorporating the ADA path of travel from the dance floor to the existing restrooms
Incorporating the ADA path of travel to 5% minimum of the existing picnic tables
Incorporate standard trash receptacles on concrete pads
Update current drawings and specifications to reflect the changes
Provide updated cost estimates
