Agrmnt. 1-27-2022SECOND AMENDMENT TO AGREEMENT THIS SECOND AMENDMENT TO AGREEMENT (Second Amendment) made and entered into as of this '2-49ay of _ 2022, amends the Agreement entered into between the CITY OF FRESNO, a alifornia Municipal corporation (City), and WRT, Inc., a Delaware Corporation (Consultant). RECITALS WHEREAS,: the City:and the Consultant entered into an Agreement dated March 5, 2020, for the design of plans and general construction contract documents for Mariposa Plaza Project (Agreement); and WHEREAS, Consultant has completed the Design Development Phase portion of the Agreement; and WHEREAS,, City and Consultant has amended the Agreement on January 15, 2021 (First Amendment) to provide additional services; and WHEREAS, City and Consultant now desire to modify the scope of work therein by requiring additional services; and WHEREAS, with entry into this Agreement, the Consultant agrees that the Consultant has no claim, demand or dispute against the City. AGREEMENT NOW, THEREFORE, the parties agree that the Agreement be amended as follows: 1. Consultant shall provide additional services as described in Attachment A, attached hereto and incorporated herein by refererke. Such additional services shall be completed within 30 days following execution of this Amendment by both parties. 2. Consultant's sole compensation for satisfactory performance of all services required or rendered pursuant to this Amendment shall be a total fee of $8,600. 3. In the event of any conflict between the body of this Amendment and any Exhibit or Attachment hereto, the terms and conditions of the body of this Amendment shall control and take precedence over the terms and conditions expressed within the Exhibit or Attachment. Furthermore, any terms or conditions contained within any Exhibit or Attachment hereto which purport to modify the allocation of risk between the parties, provided for within the body of this Amendment, shall be null and void. 4. Except as otherwise provided herein, the Agreement entered into by City and Consultant, dated March 5, 2020, remains in full force and effect. (Consultant) Mariposa Plaza Additional Scope of Services includes, but is not limited to: 1. Design Studies This task includes historical research into the previous size of the ice rink and the previous equipment used. WRT will provide diagrams showing the historical ice -rink size compared to the proposed plaza and alternative ice -rink sizes and locations. Southern Yosemite Engineering will provide alternatives for providing power for the ice rink. 2. Cost Estimation for Alternatives WRT and Southern Yosemite Engineering will provide ROM cost estimates for several alternatives for providing power for the ice rink. 3. Meetings WRT and Southern Yosemite will attend meetings to discuss the ice -rink electrical engineering alternatives. 4. Electrical Engineering Documentation and Permitting Assistance ❑ Site Visits, as required, to complete the additional design services ❑ Add the following design elements to the Project Scope and the Construction Documents for submittal to the Building Department: o Disconnect and salvage back to Owner the existing 1200A Main Service in Congo Alley, across Mariposa Street from the Mariposa Plaza o Increase the new electrical service size on the renovated Plaza to support both the Plaza electrical loads and the temporary ice rink that occasionally is set up on the Plaza ❑ Initiate a revised Electric Service Application with PG&E: o Online Application for Service o Meet PG&E Designer at site ❑ Coordination with PG&E for removal of existing electrical services and/or installation of new service 5. Project Management and Coordination WRT will provide project management and coordination with Southern Yosemite Engineering. Compensation 1. Design Studies $2,300 2. Cost Estimation for Alternatives $1,200 3. Meetings $1,200 4. Electrical Engineering Documentation and Permitting Assistance $2,800 5. Project Management and Coordination $1,100 Total: $8,600 3
