FIRST AMENDMENT TO AGREEMENT
THIS FIRST AMENDMENT TO AGREEMENT (Amendment) made and entered
into as of this 1st day of February 2021, amends the Agreement heretofore entered into
between the CITY OF FRESNO, a municipal corporation (City), and Olympic Property
Services, LLC., a California limited liability company (Vendor).
RECITALS
WHEREAS, City and Vendor entered into an Agreement, in August 2020, for
services related to clean-up services for illegal dumping sites in District 7 (Agreement);
and
WHEREAS, City and Vendor desire to enter into this First Amendment to modify
the Agreement to extend the contract term to July 31, 2021.
AGREEMENT
NOW, THEREFORE, the parties agree that the Agreement be amended as
follows:
1. The term of the Agreement shall be extended to July 31, 2021. Consultant
shall not perform any work and shall not be paid for any work performed after expiration
or termination of this agreement. Consultant shall not perform any work and shall not be
paid for any work performed after the exhaustion of the Consultant's compensation,
referenced in Section 3 of the Agreement.
2. In the event of any conflict between the body of this Amendment and the
Agreement, the terms and conditions of the body of this Amendment shall control and
take precedence over the terms and conditions expressed within the Agreement.
Furthermore, any terms or conditions contained within the Agreement which purport to
modify the allocation of risk between the parties, provided for within the body of this
Amendment, shall be null and void.
