LETTER OF INTENT TO LEASE PROPERTY FOR CANNABIS This Letter of Intent is made as of November 20, 2020, between: ELEMENT 7 LLC of 645 West 9th Street, #110-631, Los Angeles, CA 90015 ("ELEMENT 7"); GREEN PASTURES PREMIUM LLC of ("GREEN PASTURES"); and ALEX YANG of ("LESSOR"). WHEREAS ELEMENT 7 is a commercial cannabis company based in Los Angeles focused on expanding its retail licensing footprint in California. WHEREAS GREEN PASTURES is a commercial cannabis company based out of Fresno. WHEREAS LESSOR is a retail building property owner in the City of Fresno at 4105 E Ventura Avenue, Fresno, CA 93702 (the "Property"). WHEREAS parties agree to cooperate together to focus on submitting a cannabis storefront r etail permit and license application (the "License") at the Property in December 2020, timing as dictated and managed by the City of Fresno, and Lessor agrees to lease such Property to Element 7 and Green Pastures ( collectively the "Lessee"). WHEREAS this Agreement shall govern the parties understanding and agreement in relation to such commercial Licenses. 1. RESPONSIBIITIES OF PARTIES 1.1 Parties agree that the following responsibilities and roles shall be attributed to each party: (a) ELEMENT 7 shall be responsible for: (i) Securing all funding, property , tenant improvement financing and other fees and monies payable to parties for the License at the Property; (ii) Operating the business in accordance with the published Fresno Municipal Ordin ance and all State cannabis laws; and (iii) All future operations and financing in the event Licenses are secured. (iv) Lease payments at the rate of per month on a 5-year lease with an additional 3 x 5 year extensions, commencing as an when the City of Fresno issue commercial cannabis retail permits to the Lessee . (b) Lessor shall be responsible for providing the Lease to the Lessee and assisting with community outreach in the neighborhood ("Services"): (i) 5-year lease with 3 x 5-year extensions at the rate of per month, occupancy commencing after the City of Fresno issue the cannabis License to the Lessee; and (ii) Allowing the Property to be used for a legal and licensed commercial cannabis use (retail dispensary with delivery). The Lessor consents to such use for the Term of the Lease. All property improvements and buildout costs related to and necessary for the operation of cannabis business shall be paid for by Lessee. Lessor shall cooperate with Lessee for all Use Consent Fon11S and verification of the Property for Sensitive Uses. Lessor warrants that Property has at least 120 Amps for Lessee's power requirements. 2. CONSIDERATION 2.1 In consideration of the Lease and Services provided by Lessor in 1.l(b) of this Agreement, Lessee agrees to pay Lessor per month in rent, a holding deposit and a deferred holding payment if the Lessee secures the License. 2.3 Lessor agrees to supply such Lease and Services on an exclusive basis for the cannabis application process to Lessee. Lessor agrees not to provide same or similar services for any other cannabis company in relation to Fresno. 3. TERMINATION OF AGREEMENT 3.1 This Agreement shall terminate in the event that Lessee does not secure the Licenses in Fresno . In the event that Lessee does secure such Licenses, parties agree to enter into a long-form Lease Agreement within thirty (30) days of such License issuance. 4. GENERAL COVENANTS 4.1 The agreement is governed and construed in accordance with the laws of California and that the parties submit to the non-exclusive jurisdiction of the Californian courts. 4.2 The parties agree to keep this agreement confidential. 4.3 The parties agree that occupancy shall commence as and when the Lessee receives its contemplated permits and licenses for its business from the City of Fresno and State of California. In the event that Lessee does not receive the anticipated and sought permits and licenses, this Agreement will tem1inate. 4.4 Lessee shall have a thirty (30) days Inspection Period to determine if there are any structural, mechanical, plumbing or electrical deficiencies, structural pest damage or infestation, any unsafe conditions or any other damage or unsatisfactory conditions of any kind or nature, including the presence of radon gas, any lead-based paint hazards, other conditions that are customary to the locality and/or that are required by law. 4.5 The Lease Agreement will include the standard provisions that are customary to the locality and/or that are required by law, governed by State of California. 4.6 The tenns of this Letter of Intent are confidential among the Parties and their offices, employees and advisers. Neither party will authorize or release any publicity or disclose details of this Letter of Intent without the express written pennission of the other party. For generations, our family has stood at the forefront of change - our Great Grandfather, Thomas Butler, my Grandfather, Reverend Chester Riggins, and my parents, Paul C White I and Sheila Riggins White, have advanced some of Fresno's most important causes. Reverend Chester Riggins was a prominent pastor in Fresno at Saints Rest Missionary Baptist Church for 44 years. He galvanized the black community in Fresno, marched with Martin Luther King for civil rights, and was the 1st African American Mail Carrier in the City of Fresno. Our father, Paul C White I is the former Board President EOC Fresno, Associate Director for the Fresno Economic Opportunities Commission (EOC), sat on the Board of the Boys and Girls Club of Fresno, and the Board for the Marjaree Mason Association. My father helped bring Black Infant Health to the City of Fresno (seeks to raise infant mortality rate for black children). My mother was the first African American recipient of the Presidents Medal for Academic Achievement at Cal State University Fresno, Past President of the National Council of Negro Women Fresno Chapter, Master Teacher for Kirk Elementary for over 25 years, and Church mother at Saints Rest Baptist Church. Building communities is in our blood. Civic duty is all we have known for decades, and cannabis is our calling and cause to create a better community in Fresno today and tomorrow. Thomas Butler was born in Oklahoma Indian Territory before Oklahoma was declared a State. Thomas' earlier relatives had traveled hundreds of miles along the 'Trail of Tears' from Louisiana in the mid 1800's, settling in a small hamlet in North East Oklahoma called 'Green Pastures '. The Butler's lived in poverty and without electricity and running water. They were farmers and entrepreneurs and when the opportunity came for the family to head west, they soon found themselves part of the 'Dust Bowl Migration' during the 1940's and 50's. On arriving in California, Thomas Butler settled the family in Fresno, eager to give the family a better chance in life, and create a legacy for the family built on community service. Over the ensuing decades, Thomas built 4 churches in California, hosted a radio program in the 1960's, built public housing in the Bay Area, and rented apartment to low income black families. In Fresno he was known for feeding the City's homeless. JePahl's Grandfather, Reverend Chester Riggins was a prominent pastor in Fresno at Saints Rest Missionary Baptist Church for 44 years. Pastor Riggins galvanized the black community in Fresno - he marched with Martin Luther King for civil rights, was the 1st African American Mail Carrier in the City of Fresno, and father to the African American community in Fresno - they lovingly called him the 'Father of the Black Churches of Fresno' and even renamed a street in Fresno after him - Reverend Chester Riggins Avenue on the south side of Fresno. JePahl's father and mother - Paul C White I and Sheila Riggins White were active community servants. Paul C White I was the grandson of Thomas Butler and raised by Thomas and his wife after Paul's mother died when he was only 11 years old. Paul was the former director of Valley Medical Center, a prominent local hospital, former Board President EOC Fresno, and Associate Director for the EOC Commission, He sat on the Board of the Boys and Girls Club of Fresno, and the Board for the Marjaree Mason Association (a local non-profit for battered women). Through his work he helped bring Black Infant Health to the City of Fresno (seeks to raise infant mortality rate for black children). In his honor, a monument stands at the EOC Fresno. LaKishia White is an Accountant with an MBA, the Former VP and Controller of Premier Valley Bank, and has years of service with the Saints Rest Economic Development Corporation. She is currently the Finance Director for Lozano Smith Law Firm and a CSUF graduate and past Board Member for the Fresno State Business School Alumni Chapter and Former Business Instructor at Fresno City College. Paul White II holds an undergraduate degree from University of California, Berkeley and attended law school at GeorgeTown University. He is a corporate attorney for Yukevich Cavanaugh and coached baseball coach for his son's team and track coach for his daughters. He served in the US Army. JePahl's youngest brother, Bryson White is working on his PHD in Theology, and eagerly looking at how to engage the Christian church around cannabis. The three share a common vision for Green Pastures Premium Cannabis Company - they want to create a vertically integrated self sustaining cannabis entity rooted in the community and use those resources to enhance the lives of the Fresno community, a city that has been rated the 10th worst city in the US for the black community. Kannabis Works first opened for business in April 2018 as adult-use legalization laws were enacted in California. Site works are estimated at which covers all exterior and interior site works, minor building works, facility fit out, and equipment costs. These financials are built on assumptions based on population, existing purchasing habits, expected market share, tourism and visitation statistics, and a range of other costs built into our financial models. The first-year financials are based on the assumption that we will commence and launch operations in October 2021, with a filter applied to the first 6 months of growth as we build and start to scale the business. Start-Up Funding Green Pastures has budgeted for capital works, starting inventory, and operating capital of up to to start and launch Green Pastures in Fresno at 4105 E. Ventura St. This budget covers all site and construction works, fixtures and fittings design, maintenance, project management, security measures, POS Systems implementation, and branding required to open and operate the facility through to positive cash flows. It also includes of starting inventory and of operating capital with a further of contingency funds to cover over-runs on site works and additional working capital. The Customer Intake Process begins when a new, or returning customer, enters the dispensary and provides their government issued identification to security at the Reception area. The delivery request receipt will contain the following information: our name and address; the name and employee number of the employee who delivered the order; the name and employee number of the employee who prepared the order for delivery; the name of the customer and the customer’s assigned identification number that placed the order; the date and time the delivery request was made; the delivery address; a description of the cannabis goods requested for delivery, including the weight, volume, or any other accurate measure of the amount of all cannabis goods requested; the total amount paid for the delivery, including any taxes or fees, the cost of the cannabis goods, and any other charges related to the delivery; and upon delivery, the date and time the delivery was made, and the handwritten or electronic signature of the customer who received the delivery. The intuitive Dutchie delivery technology platform will allow our delivery team to track and record information for every online transaction. Dutchie has features to enable us to accept online orders for pick-up and delivery, fulfill orders, dispatch drivers, and manage inventory, transactions, and deliveries. Dutchie seamlessly integrates with our Flowhub platform and automatically pulls our inventory in real-time to ensure our online menu is always up to date. The Dutchie software simplifies our inventory from vendor intake to consumer sale. We are able to manage manifests, packages, and products in real-time. Medical Cannabis Discount Programs We believe strongly in the medicinal benefits of cannabis, and as studies show that increased access to marijuana has helped reduce some of the most critical consequences of opioid use, including opioid overdose deaths and untreated opioid disorders. SECTION 6 - LOCATION PLAN Our ‘Why’ As a kidney dialysis patient, Green Pastures owner, JaPahl White faced many trials and tribulation surrounding his health. Years ago, he sought an alternative to the heavy pain medications that the doctors would prescribe for his ailments. Roughly around late 2005, about 11 years after California adopted Proposition 215 - the Medical Marijuana Initiative JePahl began to research the limited amount of information that was available at the time, in an effort to understand why cannabis was a viable alternative to pain medication. He read about the endogenous cannabinoid system and its importance in our bodies. Soon, he began to utilize cannabis as a remedy for his dialysis related aches and pains. JePahl found cannabis to be a tremendous help and instant pain reliever without the feelings that the heavy pharmaceuticals pain medications would produce. Earlier that year in March of 2005, JePahl’s father Paul C. White passed away from cancer. He personally experienced cancer ravage his father’s body. At that time, he was unaware of the power of cannabis and the relief that it could have afforded his father. JePahl’s father may not have accepted cannabis as a viable alternative or an aid in his battle with cancer because of the stigma that cannabis once held. As JePahl educated myself, he felt it was his mission to educate others, and to provide information that could save or enhance someone’s life. During his cannabis journey he has had the pleasure of learning and being educated on the power of ‘cannabis as medicine’. Recently, JePahl was able to assist his 72-year-old mother as she began to explore cannabis as an alternative to the heavy pain medication she takes for Lupus. His mother is the daughter of a pastor and a church mother herself. Providing his mother with accurate cannabis education material was imperative to her growth in accepting its medicinal value. Now, armed with knowledge and understanding of the cannabis plant and products, his 72-year-old mother has found relief and greater mobility. The key to her health improvement was directly related to the importance of cannabis education. That is why it is important for Green Pasture’s retail location to provide a space for community education. Green Pastures envisions a location with 1,500 sq/ft of retail space that provides the highest quality cannabis products in California. SECTION 3 - NEIGHBORHOOD COMPATIBILITY PLAN We Are Rooted in the Community Green Pastures will continue to be an asset to the Fresno community. We have spent countless years championing for causes dear to us such as Gang Violence, Social Justice, and Cannabis initiative like Measure A (pictured on right). Green Pastures prides ourselves on maintaining a safe, professional retail facility that will continue to fight for social justice issues and provide continued assistance in the community. As a local applicant, we know what issues the City of Fresno is facing as it relates to crime and violence – which is why we will try our best to eliminate potential nuisances, safety and security issues, and negative effects around the property. The location that Green Pastures has selected is one of the most optimal locations in the City for a cannabis dispensary. Over the past 20 years, Green Pastures has had numerous discussions with City Staff, local residents, business owners, stakeholders, and other persons in Fresno. All of these conversations led us to 4105 E. Ventura Street – a location that minimizes neighborhood impacts. As you can see from the aerial image on the right, we are standalone building that has minimal retail businesses and plenty of parking. Our property has parking for over 20 vehicles and is easily accessed from major roads including E. Kings Canyon Road, Cedar Ave., CA-41, and CA-180. From our research there are no sensitive uses within 600 feet of the property and entering and exiting the facility presents minimal traffic or pedestrian dangers as there is sufficient access and high visibility in all directions. Proactively Addressing and Responding to Complaints As a resident of Fresno, it is in our nature to ensure that our facility does not have any negative impact on the immediate neighborhood as well as its residents and fellow business owners. As such, Green Pastures has already engaged over 50 plus locals and businesses in Fresno by conducting outreach and education in the community. Neighborhood Outreach Plan Green Pastures has a ‘Neighborhood Outreach Plan’ in place to ensure that we continue to build a sustainable relationship and dialogue with our neighbors in Fresno and proactively address issues before they become problems for the business. We are committed to creating a strong sense of community and business health around our facility, regularly consulting, and engaging with local business neighbors. Our continued outreach efforts will include: • “Coffee on Me” – We will invite all business owners within a 500-foot radius of our facility to come and have “Coffee on Me” at a locally owned coffee shop. The idea behind this meeting is to build organic and fruitful relationships with surrounding business owners to promote open dialogue regarding our business. All “Coffee on Me” meetings will be conducted under current COVID-19 safety measures and requirements. • Creating a dedicated email address for priority feedback – talktome@greenpastures.com and designating one of our Senior Managers as the Community Relations Officer at Green Pastures. • During the first year of operations, Green Pastures will attend quarterly meetings with the City to discuss costs, benefits, and other community issues. Response Plan for all Complaints It is our goal to address any neighborhood issues or concerns within a 48-hour timeframe. All neighborhood issues will have a maximum 48-hour resolution process in place with an ideal resolution timing of 24 hours. We will designate a Community Liaison Officer that will be available to address any complaints, feedbacks, questions, concerns, and/or suggestions from the residents, neighboring business owners, community members, and city officials. The Community Liaison Officer will be responsible for identifying opportunities for Green Pastures to volunteer and be involved in the advancement and beautification of the local community. A 24-hour phone number and email will be publicly posted at the entrance of the facility, on our website, and on all receipts provided as sales are made. In addition, our Community Liaison Officer will regularly speak at community events, council meetings, and other public forums to update the City and the community on business operations. Facility Complaints: Odor Management, Noise Management, Traffic Management and Facility Lighting Green Pastures will address and manage all aspects of its business to minimize negative impact as it relates to Odor, Noise, Traffic and Facility Lighting. The key to proactively addressing and responding to complaints is to have platforms, and procedures in place to deal with complaints as they are received. We will do this through our Community Liaison and policies discussed in this section. Odor Control and Management - Green Pastures has developed a proactive integrated odor management system to eliminate cannabis odors from the immediate exterior of the Facility, and between operations within the Facility. As part of our Neighborhood Outreach Plan and internal practices, we take all odor and noise complaints very seriously. If an odor complaint is made against our facility, we will work with local officials to find the source of the odor and eliminate it. Industry standards demand that comprehensive Odor Control devices and best practices are implemented across cannabis facilities. Our odor management systems prevent odor generated inside the facility from being detected outside our facility, anywhere on adjacent property, or public rights-of-way. All products will arrive at our retail facility packaged and leave in compliant exit packages, fully sealed. As such, we see no issues affecting local neighbors and businesses as we have no cultivation, packaging, processing, or manufacturing as part of our cannabis application. Noise Management - We will not have any activities or operations on site that would create excessive noise for neighboring businesses. The design of our facilities can accommodate sound-proofing measures via insulation, double-paned windows, foam matting, carpeting, acoustic ceiling tiles, etc., that will absorb excess sound produced from daily business practices onsite, preventing it from affecting neighboring businesses or residences. Traffic Management – Our site is the optimal location in that it has adequate on-site parking to allow staff and customers to safely park off the street and reduce traffic impacts. Deliveries will take place at non-peak times to further reduce traffic stress. Parking Management - Green Pastures location allows for over 12 off-street secured parking spaces. All parking spaces will be clearly marked and sign-posted for the convenience of Green Pastures shoppers and to ensure that adjacent businesses are not adversely impacted. Safety for customers, staff, and neighbors are always Green Pastures primary concern, and the following policies will be enforced: • Any damaged, deficient, lighting fixtures or unlit areas will be immediately addressed • Parking rules concerning hours of operation and signs prohibiting loitering or trespassing will be posted, with a telephone number provided to report any suspicious activity24-hour surveillance will be provided for the entire perimeter of the premises Exterior Lighting Management Our Lights will be kept to approximately 2-foot candle intensity and will be directed to the ground rather than shining towards neighboring properties. Avoiding Nuisances for Neighbors and the Surrounding Community The key to avoiding nuisances and becoming a problem in the general neighborhood is effective planning, ongoing communication, and engagement with neighbors, and having appropriate policies in place to deal with issues in a timely and effective manner. Previously discussed ideas that seek to avoid being a nuisance include: • Proactive and Early Engagement and Education – Green Pastures has already engaged a number of businesses in the local community by handing out Education Booklets to over 30 local businesses and residents. • Neighborhood Outreach Plan – Having this policy in place enables us to proactively address issues and risks before they become problems. • 500 Feet Outreach Program – This program is designed to introduce and commence engagement with local residents and businesses. By having an open dialogue, we are able to understand issues and concerns from everyone’s point of view, and then address those issues. • Local Community Relations Manager Nuisance Management Green Pastures will enact the following practices to ensure a “good-neighborhood policy” with prospective neighborhood business establishments and communities: • Provide a pleasing storefront absent of offensive signs or symbols such as cannabis names and logos. • Operate a well-run and clean store staffed with well-trained industry professionals that are passionate about their job and find purpose in what they do each day at work. • Hire on-site security personnel to ensure the safety of customers and employees is maintained at all times of the day and across all aspects of business operations. • Ensure the placement of best-in-class security systems, lighting, fencing, alarms, systems and policies to promote a safe environment for both employees and customers. • Maintain positive relations with local police departments, municipalities, and elected officials to ensure compliance with local laws and continuous communication to proactively manage issues. • Provide a 24/7 telephone line, responsive website, and email dedicated to receiving and responding to community issues immediately and without delay. In addition to the earlier neighborhood issues discussed and identified, we have provided commentary below with regards to graffiti and loitering. Graffiti We will ensure that any debris, graffiti, and unappealing or unsafe aspects of the building will be immediately addressed. Any graffiti shall be removed and painted over to match the color of the surface to which it is applied within 24 hours of its occurrence. Further, any unsightly appearances will be quickly addressed and remedied. Loitering To prevent any other possible nuisances and security issues, we will prohibit loitering within twenty (20) feet of the premises, and “No Loitering” signs will be posted at strategic locations around the property. A security guard will be present on the premises to monitor the perimeter of the facility, control loitering, and site access. A state-of-the-art security system with strategically placed, hi-tech cameras will keep a watchful eye over the property 24/7, and spaces that may encourage loiterers or vagrants to “camp out” will be refurbished or eliminated. Signage Notices Installed at the Facility Signage is used extensively within the facility to provide direction to staff and customers with a view to creating the best run facility possible. This approach and commitment further ensure local neighbors are not disrupted and the business does not become a nuisance. All signage at the site will be directive and displayed prominently within the business in measurements of not less than 8 x 10 inches in a minimum of 24-point font, stating: 1. “The sale or diversion of cannabis or cannabis products without a license issued by the City of Fresno is a violation of State law and the Fresno Municipal Code.” This sign will be displayed in the lobby of the business for employees, partners and contractors. 2. “Distribution to Persons Under 21 years of age is Strictly Prohibited. Transportation of Cannabis or Cannabis Products across State lines is Strictly Prohibited.” This will be posted in the Reception Area and immediately visible upon entering the Main Entrance. 3. “No one under the age of twenty-one will be allowed on the premises.” This sign will be displayed at all building entrances. 4. “Secondary sale, barter, or distribution of cannabis or cannabis products purchased from Green Pastures is a crime and can lead to arrest.” This sign will be displayed in the lobby of the business for employees, partners and contractors. 5. “These premises are continually monitored by CCTV cameras.” This sign will be displayed at all building entrances. 6. “Loitering is strictly prohibited.” This sign will be displayed at all building entrances. 7. “The Effects of Cannabis Products can vary from person to person, and it can take as long as two hours to feel the effects of some cannabis-infused products. Carefully review the portion size information and warnings contained on the product packaging before consuming.” Will be displayed on the Retail Floor Area for consumer and patient safety and education purposes. 8. “Community Liaison Contact Information.” 9. A copy of Green Pastures Fresno’s BCC issued Storefront Retailer license, and Hours of Operation, which will be displayed within plain sight of the Public in compliance with Section 26013, Business and Professions Code. Signage that reminds our staff (and suppliers) that the transport of cannabis interstate is a Federal offence. This signage is designed to ensure that employees and contractors are managed and aware of the rules and regulations of the cannabis industry. Pedestrians For the safety of pedestrians, a striped pedestrian crossing will be painted to allow the safe movement of pedestrians across our driveway leading to a main street and drivers will be warned to watch pedestrians crossing via signage as they exit the facility. Odor Mitigation Practices As part of our Neighborhood Outreach Plan and internal practices, we take all odor and noise complaints very seriously. If an odor complaint is made against our facility, we will work with local officials to find the source of the odor and eliminate it. Key aspects of our odor management plan include (as discussed below in detail): • A range of hardware installations in the facility including Cleanleaf CL2500 HVAC with HEPA Filters, MERV-13 Grade Filters, carbon scrubbers, and electrostatic air cleaners • Air-quality enhancing plants • Maintenance schedules that adhere to manufacturer specifications • Daily odor inspection program • Odor Management hotline 3.4 Potential Sources of Odor and Odor Emitting Activities From our experience, potential sources of odor at Green Pastures may come from the cannabinoids, flavonoids, and terpenes present in the cannabis products we sell. All products will be received packaged and sealed and will be sold the same way – in this instance, odor will be almost non-existent except for damaged or broken products (disposed of immediately and securely) or from sample flower jars that may be opened for inspection. However, we are mindful that the cannabis and cannabis products present on our premise can be a source of cannabis odor omissions; specifically, the storage of cannabis on our premises may emit a cannabis odor inside of your facility. Green Pastures will install various odor control devices and employ various techniques to mitigate and remediate any odor emit. In all instances, there will be no consumption of cannabis on site of any form. A fully integrated odor management plan has been developed to deal with all odors, as described below. Some of theses Odor Control Devices we will use at our facility include: 1. Carbon Scrubbers Green Pastures will also use activated carbon scrubbers in storage rooms where the highest concentration of products is located. These types of filters use pelletized granule carbon to remove odor, dust, and pollutants from the air and can be used as a standing unit in a space or as an exhaust filter. Just like the carbon in the air filters mentioned previously, these pellets remove dust, odor, and other pollutants through the air as it passes through the filter. 2. Cleanleaf CL2500 HVAC with HEPA Filters (ACS) Green Pastures utilizes HVACs with HEPA filters, six to twelve pocket bag filters, activated carbon inserts, and an ultra-quiet blower that creates negative pressure and does not produce more than 62dBa. Cleanleaf CL2500 HVAC with HEPA Filters 3. Electrostatic Air Cleaners Green Pastures will install Electrostatic air cleaners, which are highly efficient filtration devices that use electrostatic attraction to remove fine particulate matter such as dust and cigarette smoke from the air. Electrostatic air cleaners ionize (or electrically charge) particles as incoming air is drawn over an electronic cell. The charged particles are then attracted to and trapped by a series of flat collector plates that are oppositely charged, with the particles literally 'sticking' to the collection plates until they are manually removed. Air Quality Enhancing Plants Part of Element 7’s facility design incorporates living plants that have the ability to enhance air quality. NASA studies the effects of plants on air quality and their research confirms that common houseplants are natural air purifiers. Although their original research was aimed at finding ways to purify the air for extended stays in orbiting space stations, the findings are important for us on Earth as well. The following plants are documented as being especially good at improving indoor air quality and will be used within the interior design of Element 7's facilities: ● Aloe Vera ● Bamboo Palm ● Peace Lily ● Spider Plant ● Parlor Palm ● Red Emerald Philodendron ● Gerbera Daisy Plants Used to Manage Odor Summary Early planning is the key to effective odor control for cannabis operations. Green Pastures will use a matrix approach to controlling odor - leveraging both mechanical means to control odor, as well as filters, scrubbers, and air curtains. Our daily monitoring program will ensure that Green Pastures is at the forefront of odor management practices within the industry and furthers our commitment to neighbourhood compatibility and operating in the best interests of the community and its constituents. 3.6 Related Maintenance Activities Our maintenance program and staff training schedule cover all aspects of the operations including odor management. Our Best Practices include: 1. Maintain all scheduled maintenance, repairs and performance assessments and inspections recommended by equipment and system manufacturers; 2. Perform daily visual inspections and report findings; and 3. Replace items such as filters monthly, or as needed if replacement must be done sooner. Weekly Monitoring Schedule Green Pastures will conduct (or arrange 3rd party vendors to conduct) inspections of the following, followed by formal log and full reports: • Perimeter fences, doors, lighting, surveillance cameras and landscaping; • Exterior and interior door operability and security; • Exterior landscaping - debris inspection and removal; • Intrusion Detection System and communication inspection; • Security surveillance system inspections- cameras, software, monitors and operating systems; • Security camera angles, cleanliness, and operability; • Key logs and ID Badge reports; • Signage cleanliness and visibility; • Back-up power systems and generator; • Verify license status of preferred vendors and new vendors and contractors; • Team meeting addressing security policies and procedures, reports, updates and input. Daily Odor Inspections Program Green Pastures will conduct daily field tests to measure odor outside the facility using a "Nasal Ranger Field Olfactometer", which is manufactured by St. Croix Sensory, Inc. The Olfactometer provides precise odor strength measurement that is consistent from place to place. This device will enable local authorities, and Element 7, to validate and/or substantiate odor complaints. The maximum threshold for odor control is the dilution-to-threshold (D/T) ratio of seven parts clean or filtered air to one-part odorous air (7:1). Cannabis odor typically rates at a Level 7 on the olfactometer. To "pass" an odor control test, the cannabis facility must yield a test result that is LESS than the Level 7, which is the maximum threshold at all three (3) odor measurement locations: (a) The front entrance of the facility, and (b) Two (2) opposite property boundaries accessible from public right-of-way points, and A single test from any location resulting in a 0/T ration in excess of 7:1 equates to a "failure" of the odor control test and will trigger the following: Rii STU UK C OMPAN .A. (a) A re-test of the results 30-minutes after the failed test which will be conducted at all 4 property boundaries; and (b) In the event of a continued “fail”, the General Manager will inform the Element 7 CEO and Chief Compliance Officer and engaged HVAC and CL2500 manufacturer team will be dispatched to the site. Element 7 Nasal Ranger Field Olfactometer In order to accurately perform an olfactory test using the Nasal Ranger, weather observations must first be accounted for. This means listing down immediately observable weather conditions that may affect the determination of where the odor may be coming from. Weather conditions that must be taken into consideration include humidity and wind direction and speed. Odor detected by the olfactometer should be described in a consistent manner with guidance using the accompanying Descriptor Wheel. Olfactory tests are recommended to be taken several times to ensure that odor is present, and the detected odor can be consistently described. Odor Management Hotline As part of Green Pastures community and outreach programs, an odor management hotline will be set-up to receive and process odor complaints. Community members and neighbors will receive Company-issued communication twice annually, reminding them of the Odor Management Hotline. Odor Control System – Administrative Controls As part of our Odor Management Plan will ensure that members of our staff are trained on the use of the Nasal Ranger Field Olfactometer, the use of all odor management equipment (basic maintenance such as changing filters), and responding to and handling complaints. The odor management training module teaches staff how to detect cannabis odors, how to identify the source of the odors, corrective measures to fix odor problems, incident reporting measures, use of the field ranger, and basic maintenance of filters and other odor management hardware. 3.7 Waste Management As a commercial cannabis retail operator, we do not envision having any significant ‘sensitive cannabis waste products’ to dispose of. In the event that products were required to be destroyed, our preferred partner is MediWaste, a company that has over 50-years of medical waste disposal experience. MediWaste have a full cannabis waste disposal service that leverages the same practices and principles of medical waste. MediWaste has the following permits in place to handle such waste: Products would be placed into a Secured Waste Receptacle provided by MediWaste held within the secured storage room within the facility which is a secured zone and only accessible by the General Manager, Inventory Manager and inventory department team members, with all destroyed products tracked into our inventory management system. This secure room will be under 24-hour surveillance and the MediWaste Secured Waste Receptacles have a lock system at the top of the waste bin so that products can only be disposed of, with no retrieval possible. Any ‘disposal’ would require two staff to be present – one responsible for the disposal and one to responsible for documenting the disposal into the inventory management system. MediWaste staff would visit the site as required and remove the Secured Waste Receptacle into their vehicle for full and complete compliant destruction at their facilities. Secured Waste Receptacles are able to be wheeled out of our secured facility to the MediWaste vehicle under supervision of a security guard and an inventory department staff member. All cannabis waste generated at the facility will be rendered useless and unrecognizable within the secure cannabis waste storage area prior to its disposal in the MediWaste Bins. All rendering and disposal will be done within the unobstructed view of the security camera in the secure storage room. We will render all cannabis waste unusable and unrecognizable prior to disposal, this includes, at a minimum, removing or separating the cannabis goods from any packaging or container. Cannabis waste will be rendered unusable and unrecognizable by grinding and incorporating it with other ground, “non-consumable,” “non-hazardous” materials (soil, plastic pots, netting, spoiled food waste, cardboard, etc.) The resulting mixture must be at least 51% non-marijuana waste by volume. The rendering and disposal will be recorded in the track and trace system the following additional information: • Name and type of the cannabis goods. • Unique identifier of the cannabis goods. • Amount of the cannabis goods, by weight or count, and total wholesale cost of the cannabis goods. • Date and time. • The name of the employee(s) performing and present at the destruction or disposal. • The reason for destruction and disposal. • The entity disposing of the cannabis waste. Once the cannabis waste is rendered unusable and unrecognizable, the cannabis waste will be placed into the locked MediWaste Bins which will remain storage in the secure area until MediWaste is contacted to haul the waste to their facility. Summary Effective neighborhood management comes down to planning, risk management, and continuous engagement with the community, staff, and customers. As demonstrated by our efforts to continue to engage the local community, and our efforts to be a collaborative business partner, Green Pastures is well positioned to operate a facility with minimal, if any, neighborhood issues or concerns. SECTION 2 - SOCIAL POLICY AND LOCAL ENTERPRISE PLAN Introduction Our journey in cannabis started almost 200 years ago when my family travelled along the 'Trail of Tears' looking for a better life. After hundreds of miles they settled in a small hamlet in Oklahoma called 'Green Pastures'. The name of our premium cannabis company pays tribute to the sacrifices my forefathers before me bore to get us to where we find ourselves today. For generations, our family has stood at the forefront of change - our Great Grandfather, Thomas Butler, my Grandfather, Reverend Chester Riggins, and my parents, Paul C White I and Sheila Riggins-White, have advanced some of Fresno's most important causes. Reverend Chester Riggins was a prominent pastor in Fresno at Saints Rest Missionary Baptist Church for 44 years. He galvanized the black community in Fresno, marched with Martin Luther King for civil rights, and was the 1st African American Mail Carrier in the City of Fresno. Our father, Paul C White is the former Board President EOC Fresno, Associate Director for the EOC Commission, sat on the Board of the Boys and Girls Club of Fresno, and the Board for the Marjarie Mason Association. My father helped bring Black Infant Health to the City of Fresno (seeks to raise infant mortality rate for black children). My mother was the first African American recipient of the Presidents Medal for Academic Achievement at Cal State University Fresno, Past President of the National Council of Negro Women Fresno Chapter, Master Teacher for Kirk Elementary for over 25 years, and Church mother at Saints Rest Baptist Church. We are honored to represent the black community of Fresno and commit to continuing our civic duty to repair the community we live in. In addition, Green Pastures will offer our staff provides a range of additional employment allowances, bonuses, and benefits which are tailored to meet the individual needs of each employee. Employee Health Benefits and Life Insurance Green Pastures will be offering the following Employee and Health Benefits to its staff, which shall include (on top of their wages and salaries): •Medical, prescription, vision and dental health plan •Short- and Long-Term Disability Insurance •Professional Advancement, education, and training benefits Employees working more than 30 hours a week will be considered full-time and will receive 100% of their insurance premiums paid for by Green Pastures. We will train all employees to fulfill their duties effectively and efficiently and to exceed the expectations of their positions, including a thorough understanding of all applicable Federal, State, and local regulations relating to commercial cannabis operations. We are deeply interested in enabling our staff to overcome existing barriers, find meaningful work with us and build their career with Green Pastures. Continued Education and Training Continuing education strengthens individual attitudes, competencies, knowledge, and skills in subject areas essential to the growth and success of this industry. Employees that have been employed by at least 12 months will be able to qualify for Sponsored Continued Professional Advancement (fully paid for by Green Pastures). Employees who desire to complete certifications, obtain degrees, or further specialized skills through training can apply to receive funding to cover the costs of such programs. All team members who are enrolled in classes that can promote their knowledge of any and all aspects of the cannabis industry (human resources, business, law, security, engineering, marketing and advertising, agriculture, etc.) will be provided with an educational stipend of annually for external relevant programs. Green Pastures Training Program Currently we have ten (10) Fresno Locals that have signed up to apply for a position with our Company if we are granted a permit to operate in the City of Fresno. Our training program will include: • Employee handbook and other industry reading materials • Lectures by qualified professionals • Hands-on training and quizzes Green Pastures employees will have received over 80 hours of training, which is five (5) times the industry average prior to stepping foot on the floor. The following areas will be covered during 80 hours of training: • Legal training will cover all City of Fresno, State and Federal laws relating to cannabis, and especially those related to Commercial cannabis. Summary Standard operating procedures as well as written health & safety information made available to all employees. A key part of the staff training program is understanding the potency, absorption rates and effects of cannabis, and dealing with impaired patients. Supply of these documents will be reviewed for content and accuracy annually. The documents will include emergency contact information. All staff will have detailed knowledge and comprehension of the Standard Operating Procedures. 2.4 Recruitment of Individuals under the FMC Social Policy 9-3316(b) Green Pastures is Fresno. We have a thorough understanding of Fresno’s economic climate and acknowledge that our City still has room for growth as it relates to social justice initiatives. We believe strongly in FMC Social Policy 9-3316(b) and look forward to contributing to societal equality through our hiring practices, retention practices, and treatment of employees. Green Pastures attests that a Labor Peace Agreement (attached) has been executed with the UFCW. Neutrality and Non-Disparagement. The Company agrees to take a neutral approach to unionization of workers, meaning that the Company, which also includes any managers, agents, and representatives, will neither help nor hinder the Union's organizing effort, including making any statement or taking any action that directly or indirectly indicates or implies any opposition to workers selecting the Union as their collective bargaining representative, or directly or indirectly supporting or assisting in any way any person or group who may oppose the Union. This includes the Company refraining from making negative comments or otherwise demean by word or action the Union, Union representatives, or unionization. The Union agrees to refrain from exercising its rights to picket, handbill, boycott, work stop-page nor engage in any other economic interference against the Company's facilities or operations; however, if the Company recognizes another union as the bargaining representative of any workers, the union's obligation will automatically cease to apply to those workers' facilities or operations. 2. Bargaining Unit. The Union will notify the company of the facilities and/or operations for which the union seeks to invoke this agreement's unionization process and, in this notice, the Union will designate the bargaining unit. The Union will invoke this agreement's unionization process for any of the Company's employees no more than 1 (once) per Quarter. If the unit of employees to be covered by this Agreement is one in the exclusive jurisdiction of the California Agricultural Labor Relations Act, the Parties will meet within ten days of such knowledge and modify the Agreement to comply with that law as mandated by its terms. 3. Access. The Company grants the Union and its Union representatives access onto the Company's premises during working hours to speak with bargaining unit employees for any duration during any non-working time, including meal periods and rest breaks. The Company will cooperate with the Union in making arrangements to permit these conversations to be held in areas where the employees will be able to speak to the Union representatives without monitoring by the Company. If the Company believes that the Union's access on the premises is disrupting operations, it may discuss the issue with the Union. Labor Peace Agreement Page 1 4. Meeting. At the Union's request, the Company will conduct a meeting on a mutually agreeable date(s) and time(s) with all of the bargaining unit employees on Company time. At the meeting, the Company will tell the employees that it is neutral, does not object to their talking to and supporting the Union, and will negotiate a collective bargaining agreement (CBA) with the Union if a majority of the bargaining unit employees designate the Union as their collective bargaining representative. Union representatives will attend the meeting and, after the Company has introduced them and left the meeting, the Union representatives will talk with the employees about the Union. The Union will request this meeting no more than once per Quarter. 5. Contact information. At the Union's request, the Company shall furnish to the Union the names, job classifications, home addresses, cell phone numbers, home phone numbers and email addresses, if known, of the bargaining unit employees (collectively, "contact information"). The Company further agrees thereafter to provide updated worker contact information, as reasonably requested by the Union. 6. Recognition. When a majority of bargaining unit employees designates the Union as their collective bargaining representative, the Company will recognize the Union as the exclusive representative of the bargaining unit, provided that the Union may assign jurisdiction and representation rights to any of its affiliates. At either party's request, a neutral third party may confirm majority authorization. The Company and the Union will comply with all requirements necessary to obtain certification of the Union as the exclusive bargaining representative of these employees. 7. Elections. The Company waives the right under the National Labor Relations Act to file any petition with the National Labor Relations Board for any election in any bargaining unit subject to this agreement by itself or as part of a larger unit, and agrees to refrain from directly or indirectly supporting any such petition. If any election petition is filed, the Company agrees that, at the Union's request, the Company will enter into a full consent election agreement under Section 102.62(c) of the NLRB's Rules and Regulations under the terms the union determines. The Company waives the right to file any unfair labor practice charge related to or based on this agreement, the Union's demand for recognition under this agreement, the Union's election, or any other matter related thereto, and further agrees to refrain from directly or indirectly assisting with or supporting any such unfair labor practice charge. As long as the Company and the Union have complied with Arbitrator's orders as described below. 8. Bargaining. No later than 90 days from the date of recognition (or 45 days from a request by the Un-ion to bargain a successor contract for a contract with an impending expiration date), the parties will begin good faith bargaining for a CBA covering the bargaining unit. This timeline can be extended through mutual agreement by both parties. If the Union and Company are unable to agree to a collective bargaining agreement within 120 days of commencement of negotiations, the parties agree that either the Company or the Union may require that all open provisions and issues be submitted to final and binding interest arbitration per the subsection titled herein "Arbitration." Arbitration. The parties agree that final and binding arbitration will be the ex clusive remedy for any alleged violations of this Agreement and any dispute or cla im arising from or relating to the interpretation or application of any provision of this Ag re ement. Unless they promptly agree on an arbitrator, the parties will proceed to ex pedited arbitration using the American Arbitration Association's rules and proced ures . The arbitrator is authorized to compel the attendance of witnesses and the pro duction of documents at the arbitration hearing, and to award appropriate monetary, inju nctive and declaratory relief. The parties agree not to challenge the arbitrator's deci sion in court and consent to the entry of the arbitrator's award as the order of judg me nt of a United States District Court, without notice. Company waives the right to cha ll e nge any aspect of this agreement before the NLRB, any other state or federal go vern ment agency, or any court. 10. Successorship, affiliated companies and subcontractors. This agree ment will be binding on the parties' successors and assigns, including all purchase rs of the Company's assets or business, and in the event of a merger. This agreeme nt is also binding on any and all corporations, partnerships, organizations and sole proprietorships affiliated with or related to the Company's business activities. If the Company intends to subcontract any work performed by bargaining unit e mpl oyees, the Company agrees to require the subcontractor in writing, to comply wi th this agreement. Should the company be subject to a complete sale of the sto ck , the purchaser shall comply with this agreement and any labor peace agreeme nt(s) which are applicable. Upon completion of the transfer of all of the stock, the comp an y shall be relieved of its obligations under this agreement. 11. Severability. If any provision of this Agreement is held illegal, void or invalid under any applicable law, the parties will meet and confer to amend the provi sion to make it legal, valid and binding, and the remaining provisions of this Agre em ent will remain binding and enforceable according to their terms and the parties' inte nt. 12. Term of Agreement. The term of this agreement is one (1) year fro m th e date of this agreement. The term will renew for additional 1-year terms unless an d until either party gives the other written notice no sooner than 60 days and no la ter th an 30 days prior to the expiration. 13. Confidentiality. The Company and Union agree that all terms and co nditions of this agreement are confidential and proprietary between the parties and shall not be disclosed to anyone else , except as may be necessary to effectuate this ag reement, as required by law or court order, or as mutually agreed upon in writin g prior to disclosure. The Union agrees to communicate with employees in a positive manner and shall not denigrate Green Pastures, its managers, supervisors, agents, or representatives. The Union shall not present or portray the Employer in a bad light to employees or to the public. 5. Green Pastures will remain in contact with local community-based organizations, work source centers, local job fairs, and other such similar organizations to facilitate job outreach, development, and placement services. Employees who desire to complete certifications, obtain degrees, or further specialized skills through training can apply to receive funding to cover the costs of such programs. All team members who are enrolled in classes that can promote their knowledge of any and all aspects of the cannabis industry (human resources, business, law, security, engineering, marketing and advertising, agriculture, etc.) will be provided with an educational stipend of $1,000 annually for external relevant programs through our partnership with NDICA. 2.8.3 Commitment to Living Wages As stated in 2.1 above, Green Pastures will exceed California’s set Minimum Wage and offer a Living Wage starting at per hour (which is above the current minimum wage in California at per hour for companies with less than 25 employees). Living Wages will increase in 2022 and 2023 in line with levels set by State Department of Industrial Relations. In any event where we employ 26 persons or more, we would commit to the higher minimum wage multiplier. 2.9 Social Equity Business Incubation The focal point of Green Pastures Social Equity Plan for Fresno is a 400 square foot Zen Garden that will be operated at the site as an active Community Learning Center. Our location will also have a free-standing building with private entrance attached to a 400 square foot “Zen Courtyard” green space used for community education and outreach. The idea is to provide a safe space, separate and distinct from the retail space. This space will be equipped with computers and a white board and will be utilized for community members to be educated on the health benefits of cannabis. We will provide seniors, the disabled, and cannabis novices the opportunity to be educated on products and dosing. Our hope is to help remove the stigma and barriers to healthy cannabis options. The Zen Garden will allow community residents to not only learn more about the benefits of cannabis, but also introduce them to the “Business of Cannabis”. We will hold several workshops that will introduce participants to all aspects of the cannabis industry ranging from cultivation, manufacturing to compliance, inventory management and the licensing process. The requested information about cannabis retail uses was analyzed using Article 27, Chapter 15 of the Fresno Municipal Code (FMC) of the City of Fresno. Please note, all research for this inquiry is based on existing land development of the subject property. If there are multiple buildings on the subject property, this research was based on the address provided in the request. This research does not take into effect of future development unless provided in your application request. With that, research of a proposed cannabis retail business on the subject property conveys the following: 1. All cannabis retail businesses must be located on property zoned DTN (Downtown Neighborhood), DTG (Downtown General), CMS (Commercial Main Street), CC (Commercial Community), CR (Commercial Regional), CG (Commercial General), CH (Commercial Highway), NMX (Neighborhood Mixed-Use), CMX (Corridor/Center Mixed- Use), RMX (Regional Mixed-Use), and must meet all of the requirements for development in these zones, including, but not limited to, parking, lighting, building materials, etc. The subject property is zoned NMX , which is one of the allowable zone districts for cannabis retail businesses. Development standards of the NMX zone district are available in Sections 15-1103, 15-1104, and 15-1105 of the FMC. The subject location meets the zone district requirement, per Section 15-2739.B.1.a of the FMC, for a cannabis retail business. 2. All building(s) in which a cannabis retail business is located shall be no closer than 800 feet from any property boundary containing the following: (1) A cannabis retail business; (2) A school providing instruction for any grades pre-school through 12 (whether public, private, or charter, including pre-school, transitional kindergarten, and K-12); (3) A day care center licensed by the state Department of Social Services that is in existence at the time a complete commercial cannabis business permit application is submitted; and, (4) A youth center that is in existence at the time a complete commercial cannabis business permit is submitted.
