AGRE,BMBNT FOR TRANSFER AND EXCHANGE OF WATER
This Agleement for Transfer and Exchange of Water ("Agreernent') is made and
effective as ofMay 30,2013 by and betrveen (i) the City of Fresrlo, a California municipal
corporation ("City"), (ii) Lorver Tnle River Iuigation Distlict, a California iuigation district
("Lou'er Tnle"), and (iii) the Tulare Lake Basin Water Storage District, a California \\'ater
stolage district ("Tulare") rvith refelence to the follorving facts:
A. City has the Light to leceive Class I lvatel fi'om the Friant Dit'ision of the Central
Valley Ploject ("CVP") unclel Coirtract No. 14-06-200-890lD ("City CVP Contract Water:").
B. On ol about Septenrber 13,2006, a Stipulation of Settlellreut u,as entered in the
litigation entiilecl Natural Resources Defènse Coutrcil, et al. v. Kirk Roclgers, et al., Ulitecl States
District Court, Easteur Distlict of Califonria, No. ClV. S-88-1658-LKIIGGI-I ("SJ River'
Settlemeut").
C. In March 2009, the San Joaquin Rivel Restoration Settlement Act (Public Lalv
111-11 (H.R, 146); "SJ River Restoratiort Act") r.vas enacted as required by and as a mechanisnr
to implernent certainportions of the SJ River Settlement.
D. Together, the SJ River Settlement and the SJ River Restolation Act plovicle for
certain environmental restoratiorr activities along the lnain sten'r of the San Joaquin River',
referled to as the "San Joaquin River Restolation Progranr" or the t'Restoration Progt'am".
Pnrstrant to the Restoration Progtaur, the Unitecl States Bureau of Reclamation ("Reclarnation")
periodically releases a portion of the Friant Division CVP uater snpplies, including those
associated rvith the City CVP Contract to supplement San Joaquin River'florv ("Restolation
Flor,vs").
E, Also pulsuant to the SJ River Settlement and the SJ Rivel Restoration Act, a
portion of the Restoration Florvs are recaptnred b1' Reclamatiou ancl made available to the Fliant
Division contractors, inclucling the Cit5,, in the San Luis Reservoir' (the "Recaptuled Water").
Tluough Reclamation's impleureutation olthe Restoration Program certain parties hold tlie light
to certaiii "Recovered Watel Acconnt Credits" u'ith Reclamation.
F. To flrlly pt'omote the Restoration Proglaur ancl this Agleement, the City rvishes to
transfel a portion of its Cib, CVP Contr'act Watel and receive a portion of Lon'er Tule's
Recovered Water Accoutrt Creclits.
G. Lorver Trrle has the light to receive both Class I ancl Class 2lvatel fi'om the Friant
Di'r,ision of the Central Valley Project ("CVP") under Contract No. I75r-277\D ("Lorver Tule
CVP Contract").
H. Lolver Tule has the lighl to receive Recaptulecl Watel pursnant to its Lowel Tule
CVP Contract. Tluough Reclamation's implernentation of the Restoration Program, Lor,ver Tnle
holds the right to certain Recovered 'Water Account Credits rvith Reclamation.

geographically best located to access and obtain delivery of Recaptulecl Water fiom San Lnis
Reservoir,
K. The Cit¡, intencls to ertter into an agreement rvith Fresno Irrigation District
("FID"), titled "Agreement for Transfer ancl Exchange of 'Water," ("FID Agreetnetrt") ott or
lrefore June 15, 2013, pnlsnant to l'hich FID sliall agree to facilitate the inr¡rlernentation of
certain aspects of this Agreement,
L. FID holds rights to receive Kings River Water and CVP Contract Water.
ì\{. The City ancl FID ale palties to the "Cooperative Agreement Betu'een Fresno
h'figation District and City of Fresno for'\\¡atel Utilization and Conve¡/altce," dated May 25,
1976 ("Cooperative Agteement") that provicles a mechanism for the Ci$' ¿tt¿ FID tp access CVP
Contract Water and Kings River Water, along u'ith access to cerlain con¡eyance facilities and
othel rvatel supplies.
N. 'Watel Year'2013 is a critical dry (cL'ought) ¡'ear.. As a result, certain regi'onal
lvater nsers anticipate having insufficient supplies'to meet their rninimal uater reqnirements in
certain periocls during Vy'ater Year 2013.
O. Through this Agreement ancl the tlansfer and exchange of the CVP ContLact
Water, Recaptured Water, Kings River Water, and Recovered Water Accouut Credits, tlte City,
Tnlare, Lorver Tule and FID intend to improve the availabilitl'of rvater to each entity during
critical periocls of Watel Year 2013.
THEREFORE, tlie palties agree as follorvs:
1. Water Transfers ancl Exchanges. The City, Lorver Tule ancl Tulare shall
coordinate theil use of the CVP Water', Rccapturecl Water, Recovered Watel Accottut Ct'eclits,
a¡cl Kings River \Ä/ater', ancl unclertake all reasonable efforts ûecessaty to cotnplete the follo,uving
transfers of r,vater:
a, 10,000 acre-feet ("4F") of City CVP Contract Water shall be tlansfen'eclby
City and rnade available to Lorver Tule River L'rigation District; arrd
b. 5,000 AF of Recaphrrecl'Water shall be trausfened by Lower Tule aird made
available to Tulare Lake Basin Water Storage District; and

c. 5,000 AF of Kings Rit'er'Water shall be transfen'ed from Tulale Lake Basin
Watel Storage District to FID, to be made available to the Citl,; and
cl. 5,000 AF of Reco'i,ered Water Acconnt Cledits shall be transfeuecl from
Lotvet'Tule to the Cit1,.
2, Deli'r,ely òf V/ater. The City, Lor.ver Tule and Tulare shall: a) provicle notice and
conf,um any neecled attthorization to Reclamation, the Department of Water Resorlrces, and other.
entities necessal'y to facilitate the u'ater transfers provided in this Agreenrent; and b) make
available their con't,e),auce facilities, or an)¡ po¡tion the¡eol to facilitate the rvater lransfers
proriiclecl in this Agreeruent in a mamrer consistent u'ith the requirements of the lecipient
agencies.
3. Payment.
a. Lon'er Tule shall make payuient to Cit¡' of $300,000 (tluge hundrecl
thousand dollars; $60 per AF times 5,000 AF) u'ithil30 days of the Effective Date.
b. The Ciq, shall rnake tinrely paynrent to Reclarnation fór the 10,000 AF of
CVP Contract Water subject to the transfer set forth in Section 1.a above. The City shall be
responsible for these costs as though the City acceptecl deliveLy of that portion of its CVP
Contract Water for. use lvithin FID ol the City, Lou'ei' Tule shall be responsible fol any and all
additional costs that nray be associatecl ryith transfer and clelivery of this portion of the CVP
Coutract Water ("Aclditional Costs") to the actual points of delivery. To the extent the City pays
Reclarnation Adclitional Costs, the City shall provicle an invoice to Lotvel Tule for such
Aclditional Costs, ancl Lower Tule shall make payrnent to tlie City for such Additional Costs
rvithin 30 days of the date of the invoicg.
' c. Lor,rar Tule shall be respousible fol any and all costs associated rvith the
transfers set for:th in Sections 1,b, above, including the cost of Tulal'e taking cleli.r,ery of the
associatecl lvater iì'onr San Luis Resen oir to Tulale's service area. Lorvel Tule shall also be
responsible for an¡, and all costs, if any, associatecl with the lransfel of Recovered 'Water
Acconnt Credits to the Citl'.
cl. The City shall be responsible for any ancl all costs associated with the
trattsfer set forth in Sections 1.c above suqh tliat 5,000 AF of Kings River'Water shall be macle
availaþle to FID within Pine Flat Reservoir.
e. The parties aclarorvleclge and aglee that each entit¡, u'ill ol have entered
into separate agreements rvitlt all or sorle of the recipients of the u'ateL to be transferrecl as
plovided in this Agreernent, ptusuant to rvhi,gh the City, Lorver Tule, or Tulare m4y receive
ailclitional consicleration (financial and/or lvater exclrange rights). The City, Lower Tule, ancl
Tulale acknorvledge ancl agree that no parl¡'has any right or claim to the other''s aclclitional
consideratiou that is provided under a separate agreement with each or any entity not other.wise
accountecl for this Agreement.

4. Transfer Instructions and Conditions Prececlent. To accomplish the rvater tlansfels
proviclerl in this A.g¡.eernent the lollorving shall be rurdertaken b¡, 1¡. parties. This Agleement

Water. Resources provide the necessaly approvalJas clescribecl belorv. If atl the approvals

shall be null ancl voicl, unless the parties agt'ee in rvriting to an extension:

b. Ttrlare shall obtain any approvals and consents as ma)' be reasonably requirecl
to take clelivery of the Recapturecl Watel fì'om San Lttis Reservoir, as

ihe Recaptgr.ecl Watel tluough the Department of Water Resortrces California

c. The City shall have entered into the FID Agreement and Tttlare shall plovide
notice ancl obtain an)' necessary approvals to transfer to FID the Kings River
\\¡ater, to be macle available at Pine Flat Danr, as proviclecl hereirt. Ttllare ánd
Lo$,er.Tule shall et'tsul'e that 3,000 AF of Kings River Water shall be macle
available to FID on or before August 15, 2013, and the lemaining 2,000 AF
on or before SePtember 15, 2013'
d. The pai-ties shall obtain coùfirmation to Tulat'e's satisfaction that the lvater
obtailed by Tulare from San Lnis Resetwoir is not subject to fecleral
Reclamation Law lesttictions'
5. CounterÞarts. This Agreetneut may be exeqtttecl iu cottuterpalts by the parties.

Agreement may not be r.eadily cornpensable in monetar¡, damages, Therefore, in adclition to any

other lerneclies available at larv or in equity, in the event of a breach or tlueatened breach of this
Agreement, each palty shalt be entitlecl to specific perforurance of this Agteetnent.
9. Severabilit-y. If any prot'ision of this Agreemeut is cleternrinecl by a coutt of
competent jurisdiction to be void or unenforceable, ancl that plovision cautrot be refolmed to be
enforceable consistent s'ith the overall intent of this Agreenretrt, the entit'e Agreement shall be
voicl ancl uneuforceable.

16. Further Action, The parties agree to perfortn all ftirlher acts, and to execute,
ackno.n'leclge, ancl deliver any documeuts that ntay be reasonably necessary, appropriate or
desirable to cat't'y ottt the puposes of this Agteement.
17, No Third Patt), Benef-rciaries, This Agreement does not cteate, and shall not be
construecl to cleate, âlr¡, ¡ith,r enforceable b), an)'pelsoll, partnetship, corporation, joint veltture,
limited tiability corìrpatr)¡ or othel form of olganizatiolr or' association of any kind that is not a
pafiy to this Agreertlent.
18, Enr¡ironrrrental Cornpliance. The obligations of the parties ttnder.. this Agreernent

THEREFORE, subject to Reclarnation's approval, the Parties intend to effectuate the following
transfels of City CVP Co.ntract Water, Recaptured \Vater 4ncl Recovered Water Account Creclits:
1. To Lou,er Tule Irrigation District:
a. The Ci1¡'cloes heleb),transfer to Lor'ver Tule 10,000 AF of the City CVP ContL'âct
Water allocatecl to the City by Rcclamation, for use by Lo$'er Tuie in the 2013
watel yeal pursuant to the scheclule attached hereto as Exhibit l.
b. The City shall pay all Reclamation rates and clìalges associated r,r'ith deliver), of the
the City CVP Contract Water to be delivered to Lolvel Tule's leqnestecl poirf(s) of
cleliver¡"
c. Lorver Tule shall ensure that the transfeued CVP Contlact Water is put to
leasonable and beneficial r.rse in accordance rvith State ancl Fecleral lar.v, inclucling
Reclauration larv.
2. To Tulare Lake Basin Water Storage Distlict:
a. The Lorver Tule does hereby transfer to Tulare 5,000 AF of Recaflurecl Water
allocated to Lorver Tule by Reclarnation, for use by Tnlat'e in the 2013 rvater year'
