In this Agreement, the AOC and City are sometimes individually referted to as a "Party" and together referred to as the "Parties.' gFxalYill gc A. Whereas, the AOC and the City previously entered into a Parking Permit Agreement ("Agreement") commencing lune 1, 2010, under which the City agreed to provide up or two hundred forty (240) reserved Parking spaces forjury Parking farjurcrs from the Cour, described in the Agreement and located in the north end of rhe Stadium I,at, which is located at the southeast comer of"IF and Kem Streets in downtown Freon ("Original Premises"). B. Whereas, the Agreement has an initial term commencing in June I. 2010, and ending on June 30, 2012 ("Initial Terni'). The Agreement further provided that the W60 rem may be extended by mutual agreement of the Parties, in writing, for no more Bun two (2) additional one yew periods, on the same teas and conditions ac set forth in the Agreement except as in monthly rates. C. Whereas the City ceased operation of the (logical Premises as a parking lot available for parking during Com hours, as of luty 1, 2011, and the Original Premises new m longer available for use by the Com f r-jumr parking. D. Whereas the City has continued to provide parking spaces for use by the Com for juror parking, and the Court and AOC intend to continue to use parking spaces provided by City farjuror parking, as provided herein. P_ Whereas the City and AOC intend to amend and restate the Agreement. NOW, THEREFORE, in consideration of the mutual covenants of the Parties herein, and for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged. the Paries agree as follows: 1. Amended and Restated Agreement The City, Court and the AUC agree that the Agreement is hereby amended and restated as follows, effective on the Effective Date. 2. ERective Date of Amended Agreement. For purposes of this Amended Agreement,. "EHactive Date," shall mean the date that City signs this Amended Agreement following City Council approval thereof, which shall be after AOC signs the Amended Agreement. 3. Commencement Date. This Amended Agreement shall commence as of December 1, 2011 ("Commencement Date'), and end on here 30, 2014 ("Amended Initial Term"), subject to earlier termination in accordance with this Amended Agreement. The Amended Initial Term may be extended by mutual agreement of the Parties, in writing, for an more than eco (2) additional one yew penods, on the same terms and conditions as set farm in this Amended Agreement except ax to monthly rates. The Party seeking to extend this Amended Agreement order the terms and conditions contained herein shall provide written notice to the other Party a minimum of sixty (60) days prior to expiration of the than current term of this Amended Agreement. Before any extension is approved by the parties, mouldy rates shall be subject to renegotiation, to reflect increases, ifany, in public f ilityparking fees. 4. Premises: Definition and Terms of Use. 41. Premises. For purposes of this Amended Agreement. "Premises" shall sager collectively to: 4.1.1. Underground Garage No. 8 ("linage No. g'), Imated m 1 W] Van Ness Aveme, which is shown on Exhibit "A," and 4.1.2. Pecking Garage W4, which is located m 1919 Tulare Strew. "Garage No. 4," which is shown on Exhibit "B." 4.2. Room of Use. During the hours of 6:00 a.m. to 6:30 pm., Monday through Friday, except Holidays. City will permit AOC In wilize a mail of two hundred tory (240) parking spaces forjury parking fn-jusers from the Conn. forms; summoned injury duty will be directed by the Cam to park in Garage No. 4 for the first day of jury, service. On subsequent days ofjury service, jurors will peak either in Garage No. 4 or in Garage No. 8, as directed by the Court. Parking Pass. Jorors shall, upon exiting either Garage No. 4 or Garage Na 8, present to City's mtendam thereat the Superior Com parking pass, or other documentation that is acceptable an the City. Upon such presentation, City's attendant will permit mem Fort for that day to exit without payment. 4.4. CompHance. AOC and its officials, employees, invitees and agents shall use the parking spacex for parking ofvchicles in accordance with all applicable laws, ordinances, rales and regulations applicable to Garage: No. 4 and George No. R. erected or promulgated by any public or governments] authority or agency having jurisdiction over Garage No. 4 anal Garage No. 8, as amended from time to fide, incorporated hemhr, provided to AOC. Any change in the above mics or regulations shall be provided to AOC in writing. 4.5, "Holidays" defined. For purposes of this Agreement, "Holidays" shall mean New Years Day, Washington's Birthday. Lincoln's Birthday, Memorial Day, Independence Day, Labor Day, Versions' Day, Thanksgiving Day and the Friday immediately following. and Christmas Day. 5. Permanent or Temporary Relocation of Parking Space. At any time, own in Iran thirty (30) calendar days notice to AOC, City, in its sole dism akin in the public interest, may permanently or temporarily substitute parking spaces for use by AOC at another location within fifieen hundred (1500) fret of Garage No. 4 or Garage No, 8, provided that an attendant and signs are posted by the City, directing the jumm to and from the permanent or temporary pmking lot for a period of thirty (30) days, or until the parking is returned to Garage No. 4 and/or Gamge No. 8, whichever is shorter. In this event, ADC agrees that the use of such surrounded parking spaces shill be upon the same tearsmrd conditions of this Amended Agreement, begi g on the date specified un City's notice m AOC, unless AOC provides City at least fifteen (15) calendar days notice of termination of the Amended Agreement. 6. Termination. Either Party may terminate this Amended Agreement where the other Party substantially fails to observe, fulfill or perform any obligation, term or condition of this Amended Agreement. This failure shall constitute a material breach. The breaching party shall receive wrinrn notice of breach, and shill be given sixty (W) calendar days to care the breach fiom date radon is received. If breaching party does not correct the failure within sixty (60) calendar days, then the non -breaching party may terminate the Amended Agreement upon written notice. Termination will he effective five (5) business days Act deposit into U.S. Mail. Either Party may ¢itemise any right, remedy (in law or equity), or privilege which may he available to it under applicable laws of the State of California or any other applicable law, or proceed by appropriate cons action to enforce the terns of the Amended Agreement, or to recover direct, indirect, consequential or incidental damages for the branch of the Amended Agreement. No remedy or election hereunder shall he deemed exclusive but shall, wherever possible, he cumulative with all other remedies at law or in equity. If AOC is unable to pay for the ase of the parking spaces because of the Some of Cali forms's failure to timely approve and adopt a State budget, no breach or event of default will be deemed to have occurred provided AOC promptly pays any previously due and unpaid rent upon approval and adoption of the State budget. Notwithstanding the foregoing, in the sole event of non-appmpriation relating to this Amended Agreement, the Parties and each of them shall have the right to terminate this Amended Agreement, at any time, in the manner and subject to the terms specified in this paragraph. 'Ile terminating party shall give written notice of such termination not less Nen ninety (90) calendar days before the desired termination date. For purpores of this paragraph "nun-eppmpriation" shall mean the failure of the terminating party or its governing body or appropriate money for any fiscal year sufficient for the continued performance of this Amended Agreement by the terminating party. Invoicing and Payment. AOC agrees to pay City for the use of the parking spaces as follows: During the Amended Initial Term, AOC agrees to pay City a monthly mte of Thirty Three Dollars and Ninety -Nine Cents ($33.99) per space p-MoWdy Rate Per Space'l, payable in arrears, beginning on thc load day ofthe first fall month following the Commencement Date (prorated for portions of a month) and than on the last day of each month thereafter. City agrees to credit AOC the amount of $ $712.88 M of the Commencement Date for overpayment of the Monthly Rate Per Space under the Agreement dmed Jane 1, 2010. Invoices are to be sent to the address for the AOC Portfolio Administration Analyst, set forth in Section 12, below. Commencing on the first anniversary of the Commencement Date and on each successive aciniversaq thereafter, ("Adjustment Date') the Monthly Rate Per Space shell be adjusted by h{_e lesserof (i) the amount calculated by multiplying the current Monthly Rate Per Space by the percentage difference which the CPI (defined below) increased or decreased over the preceding contract year (or portion thereof if parand year); or (it) the amount calculated by multiplying the anent Monthly Rate Per Space by three percent (3%). City will calculate the rental adjustment and provide ACC written notice of the adjusted Monthly Rate Per Space at least thirty (30) days prior to when the adjusted Monthly Rate Pre Space is due, and AOC shall not be obligated to pay the adjusted Monthly Rate Per Space until AOC receives written notice from City of the adjusted Monthly Rate Per Space. The CPI utilized hereunder shall be ted Consumer Price Index (Urban Wage Banters and Clerical Workers for the San Fruncisco-Oaklund-San lose Metropolitan Area (1982- 1984 = IN Urban Consumers, U.S. Cities Average) as published by the United States Depen mt of robot,Bureau of labor Statistics, or the successor of such index ('CPI")). If the CPI or the successor index is changed u thin the base year differs from War in effect on the Commencement Date, the CPI or successor index shall be converted in accordance with We conversion fairer published by the United Stated Department of LaWr, Bureau of Labor Statistics. In the event that compilation and/or publication of the CPI shall he transferred to any other govemmenml department or agency or shall be discontinued, Wen da: index determined by the city to he most similar to the CPI shalt he used for purposes of adjusting the Montldy Rate Per Space. Beginning the last day of the month on which the Additional Spaces are to be utilized and monthly in arrears thereafter during the remainder of the life of this Amended Agreement. AOC agrees in pay City the same Monthly Rate Per Space including adjustments (in accordance with the providing paragraph) for each Additional Space added by ADC pursuant to Section 4 of this Amended Agreement. The monthly total payment in the preceding paragraph then being paid shall be increased and paid ucori ingly. Assignment AOC shall not assign, subcontract or otherwise murder its rights or obLigations under this Amended Agreement without the prior written conunt of City. 9. Waiver. The waiver by either Party of a breach by the other of any provision of this Amended Agreement shall not constitute a continuing waiver or a waiver of my subsequent breach of either the same or a different provision of this Amended Agreement. No provisions of this Amended Agreement may be waived unless in writing and aimed by all Parties to this Amended Agreement Waiver of my one provision herein shall not be deemed to be a waiver of any other provision herein. 10. Indemnification and Insurance. AOC shall indemnify, hold harmless, and defend City and each of its officers, officials, agents. and volunteers from my mW all loss, liability, fines, penalties forfeitures, costs and damages (whether in contract, ton or strict Liability, including but not limited to personal injury, death at my time and properly damage) incurred by City, AOC or my other person, and from any and all claims, demands and actions in law or equity (including attorney's fees and litigation expenses), arising or alleged to have arisen directly or indirectly from the negligent or intentional ms or omissions of AOC or my of its officers, officials, employees, agents, invitees or authorized volunteers (including stormily persomel) in the performance of this Amended Agreement or use of George No. 4 and Garage No. S. City shell indemnify, hold hamdess, and defend AOC, the Court and each of their officers, officials, agents, and volunteers from my and all loss, liability, fines, penalties forfeitures, casts and damages (whether in contract tort or strict liability, including but rat limited to personal injury, death at my time and property dunnage) incurred by City, AOC. Comm or my other person, and from my and all claims, demands and actions in law or Nutty (including momey's fees and litigation expenses), arising or alleged to have arisen directly or indirectly from the negligent or intentional acts m omissions of City or my of its officers, officials, employees, agents or auhosizeel volunteers in the perforremtce of this Amended Agreement. In the event of concurrent negligence on the pan of AOC or my of its officers, officials, employees, agents, invitees or authorized volunteers, and City ormy of its officers, officials, employees, agents, invitees or authorized volunteers, the liability for my and all such claims, demvds and actims in law and Nuity for such losses, fines, penalties, forfeitures, cons and damages shall he apportioned under the State of Calif ia's theory of comparative negligence as presently established and as modified hereafter. This section shall survive tenmimtim or expiration of this Amended Agreement. It is understood and agreed then AOC sod City common insurance policies or self- insurance programs to fund their respective liabilities. The Parties agree that such respective programs or policy coverage for Workers' Compensation shall contain a waiver of subrogation as to the other party and each of its officers, officials, agents, employees, cortices and anllwved volunteers. Evidence ofInsurance, Certificates of Insurance or other similar docurnenmtion shall not he required of either Pmty under this Amended Agreement. IL Notice. Governing Laws and Venue. This Amended Agreement shall be governed by, and conswed and trounced in accordance with, the laws of the State of California. 13. Certification of Authority to Execute this Amended Agreemml. City and the AGC each certifies that the: individual(s) signing this Amended Agreement on its behalf has authority to execute this Amended Agreement on its behalf and may legally bind it to the terms and conditions of this Amended Agreement. 14. Severability. If any term, provision, covenant, or restdmon in this Amended Agreement is determined to be invalid void unenforceable. or otherwise inconsistent with applicable law, the remainder of the terms, provisions, covernants and restrictions of this Amended Agreement will remain in full force and effwt and will in no way be affected, impaired, or invalidated. It is hemby stipulated and declared to he the intention of City and the AOC that they would have executed the remaining terms, provisions. covenants, and restrictions set forth in this Amended Agreement without including any of such terms, provisions, coveunnts, or restrictions that may be hereafter declared invalid, void, or unenforceable. 15. Signage, Maintenance and Security. City will provide signage at George No. 4 and Gamsm No. 8 directing joints to appmpriate parking spans. City is responsible for any and all maintenance, repairs and replacement to Garage No. 4 and Garage No. 8 including but not limited to the fallowing: general mmmmmarce, cleaning, sweeping, lighting, striping, resurfacing, etc. City will provide a reasonable level of security for Garage No. 4 and Garage No. 8. The level of security needed for security to be "reasonsble" will be determined by the City in its reasonable discretion, upon commation with AOC. 16. Headings. The section beatings in this Amended Agreement are for convenience ant reference only and shall not be cormorant in held in any way to explain, modify or add to the interpretation or meaning of the provisions of this Amended Agreement. IT Interpretation. Should my Provision of this Amended Agreement be fount m be ambiguous in my way, such ambiguity shall be resolved by construing the terms of this Amended Agreement in accordance with their generally accepted meaning. 18. Extent of Amended Agreement. Each Party acknowledges that they have read and fully understand the contents of this Amounted Agreement. This Amended Agreement represents the entre and integrated agreement between the Parties with respect to the subject matter hereof and supersedes the Agreement (except as to obligations which expressly survive) and all prior negotiations. representations or agreements, either wines or am). Compliance with Law. AOC shall at all times comply with all applicable laws, and with all applicable regulations promulgated by federil, sure. regional, or Inca) administrative and regulatory agencies, now in force and as they may be erected, issued, or amended during the term of this Amended Agreement. 21. Attorney's Fen. If either Party is required to commence any proceeding or legal action to enforce or interject my term, cover t at or condition of this Amended Agreement, the prevailing party in such proceeding or action shall be entitled b remover 6om the other party it reasonable allomey'a fees and legal experun. 22. No Third Party Beneficiaries. l'he rights, interests, duties and obligations defined within this Amended Agreement are intended for the specific Parties hereto as identified in the preamble of this Amended Agreement. Notwithstanding anything stated to the contrary in this Amended Agreement, it is not intended that any rights Or interests in this Amended Agreement benefit Or Bow to the interest or my third parties other than Coua. 23. SaboMmafion. NotwiNnanding any other terms or provisions of this Amended Agreement, the Paries acknowledge and some that, the terms, covenants, provisions and conditions herein are and shall be subject and subordinate to any and all City bond and other firuneings and refinancing of Gamge No. 4 and Garage No. S. EXECUTIVE SUMMARY The Judicial Council of California Administrative Offlca of the Colds (AOC) manages the County of Fresno croon system, Including the responshollity of providing furor parking. The City of Fresno Parking Services Division has addressed that need by contracting with the AOC to provide needed parking at a reduced monthly rate. The County of Fresno courts are now operating from multiple locations, including Superior Court at Van Ness and Fresno sheets, the B.F. Sisk Courthouse at Fresno and O Streets, and Far M Street Courthouse at M and Tuolumne Streets. Juror parking stalls are currently assigned to the Stadium Lot at H and Kern Streets, but with the conclusion of the trolley service staff recommends relocating jurors to parking facilities in closer proximity to these courts. Since 2010 the juror parking responsibility has reated with the Judicial Council of the California Administrative Office of Me Courts (AGC). Each prospective juror is mailed their summons along with a map of available furor parking locations. Once they arrived at the parking lot they were shuttled to and from the courts. In 2011, budget restrictions caused Me shuttle service to be eliminated The AOC has requested Me Parking Division relocate the furor parking to a facility in closer proximity is Meir courthouses. There are ample parking stalls available in the lit limes requested by the AOC. This arrangement is also beneficial to the City as it allows for reduced operating costs at the Stadium lot, and brings jurors closer to downtown amenities and businesses that they can patronize while in the area. Once a juror receives a jury summons they will be directed to Garage M4if they are selected for Me Jury Men May will park In Garage ire. This distribution system works in partnership with existing uaero and agreements to balance availability and operational wets in each garage. The price for parking In Me lot Is paid by the State of California. The current agreement runs through June 30, 2012 and there are two (2) one year extensions available. Due to Me changes in perking locations the ADO is requesting to amend and restate Me agreement for a longer term. The amended agreement will Impafe on December 1, 2011 and end on June 30, 2014. There will continue to be two additional one-year extension periods available. For the amended agreement term the once Per stall will be $33 99 per month, subject to an annual Consumer Pace Index (CPI) adjustment.
