Enterprises .digitally cap tured me dimensions of the SWimming pool prior t o de molition,He
su bsequently approached the PARCS Depa rtment a bout the posslbil rty o f reproduCing that
f acility to a new S kate Pa rk on the h alf-block bou nded by East Hamilton Avenue .South Sarah

2.5 O"nersh ip of Vaga bond Pool Design.Th e Vagabond Pool Design is and
s ha ll remain the exclusive property of lIonzon.
2.6 Co nfidentiality of Vagabol1d 1'001 Design.The City agrees that the
Vagab ond 1',,01 Design is a nd sh.l11 rema in confi dential The City sha ll not in an y way disclose,
provide ,convey ,lease.license,transfer, loan,p ledge,assign ,communicate ('r J isseminatc the
Vagabond 1'001 Design or an y portion thereo f or an)'altera tion or modifi cation the reto,tu a ny
person or enti ties,including without li mitation any representatives.agents.contractors,
employees or consultants.e xcept lor usc solely in connection with procure ment an d co nstruction
of the 1'001 Compon ent within the Vagabond Skate Par k.The City acknowledge s and agrees that
the ability to maintain the cu nlidentiality of the Vag abond Pool Design and any alterations or
modifications thereto. is an essen tial pan of Horizon 's busine ss plan s and operation.a nd an)'
unauthorized usc'o r disclosure of the Vagabond Pool Design,incl uding any alt erations or
mod ifications thereto,"ill cause su bstantial damage to Horizon and Horizon's business

the Video S~·ste m (collectively the "VidCt)Images").together with a ny and all reco rdings
thCrcllf.shall be made availa hle to the Fresno Police Department (the "FP l>"),for reproduc tion
b~,the FPO. at us sole eust and e xpense,upon request by the 1'1'0 ,Jur law enforcement purposes
only.The FPO represents and warrants that it will usc the Video Images for legitima le.

(b) I lorizon u pressly disclaim,any res ponsibility fo r (i)t he quality of the Vide'll
Images generated or produced by the Video System,(ii) any defects or deficiencies in the Video
System.(iii) the accumcy,<,;onlent or synchro nization of the Video I m ag~'S ,(iv)the qoal ity of the
Video Images or (v)the erroneous designation of vid coiamli"cameras.The FI'D ac knowl edges
and a!,'l"cc'tha t i t shall have no e xpecta tion ,and H"riz,m ma kes no representations or warranties,
as tu the qualily ofthe V ideo Im agcs,th e Vidt:\)Sys tem and related equipment and sysl<.-.,,]S,or
lhe maintenance of the Videu Syslem,or that any com ponents of said syslL'111 comply or conform
wilh any applicable s lamlords l'jf use o f t he Video Images by t he FPD or ol h~.,-law enforcement
agencies .

If Horizon should subcontract all or any portion of the wor k 10 be performed
under this Agreement.Horizon shall re quire each contractor o r subcontractor 10 provide
insurance protection in favor of the City ,its OniC<:fS,onicial"employees,al::~nt,and volunteers
in accordance with tile terms of cach of the preceding paragraphs,e xcept thai the subcontractor's
certificates and endorsements shall be on !ile with Horizon and the Cit)'prior to the
commencement o f all)'wor k by the respective contractor or subcontractor.
It is understood and agreed that the Cit)'maintains self-insurance programs to
fund its liabilities in amounts not less than those required of 110ri7.011 in the preceding
