SUBAPPLICANT AGREEMENT
This SUBAPPLICANT AGREEMENT (the "Agreement"), effective as of the Effective
Date, as defined herein, is entered into by and between the City of Fresno, a municipal
corporation ("C|TY") and Habitat for Humanity Fresno County, a 501(cX3) Non-Profit
Corporation ("HFHFC"). The parties are collectively referred to herein as "PARTIES".
WITNESSETH
WHEREAS, the PARTIES, with CITY identified as lead applicant, fiscal agent
and grant funds pass-thru recipient, and HFHFC identified as Sub-applicant , have
applied for a California Department of Transportation ( "Caltrans") Community-Based
Transpor-tation Planning Grant ( "GRANT") to undertake a 41 and North Corridor
Community Design Plan - West Fresno ( "PROJECT"); and
WHEREAS, the GRANT Application, Award Letter, Conditions of Award, and
Project Timeline/Budget, attached hereto and incorporated herein as Exhibit A,
identifies the cost, schedule and scope of work of the PROJECT as well as the
responsibilities and local match cost share commitments of HFHFC; and
WHEREAS, CITY, as lead applicant, has agreed to manage the PROJECT and
be the fiscal agent for the GRANT and has entered into a Fund Transfer Agreement and
subsequent Amendment with Caltrans, attached hereto and incorporated herein as
Exhibit B, for the purposes of managing the PROJECT and administering grant funding
for the PROJECT; and
WHEREAS, HFHFC wishes to proceed with reimbursable Public Outreach work
on the PROJECT as authorized by Caltrans and described in Exhibit C updated
timeline/budget/scope, consistent with Exhibits A and B.
NOW, THEREFORE, ¡t is mutually agreed as follows:
1. Pursuant to the updated timeline/budget/scope attached hereto as Exhibit
C, HFHFC's local match cost share obligation is approximately $14,000 (composed
entirely of in-kind services) , representing 1 0/" of the total GRANT award of g139,8g9.

The local match cost share is the sole allocated responsibility of HFHFC. Failure to
timely provide local match cost share in-kind services will be deemed a material breach
of this Agreement and will void this Agreement.
2. ln order to provide for operational and administrative flexibility, that portion
of Exhibit "C" which includes the Scope of Work and PROJECT Timeline, which define
responsibilities of the PARTIES, may be modified from time to time by mutual written
agreement of both PARTIES. Such modification of the above-noted portions of Exhibit
"C" may be approved and executed by the representatives of that pARTy designated in
Section 11, providedthatsuch modifications: (1)are acceptableto Caltrans; (2) do not
change any PARTY's local match cost share obligation; (3) and serve to implement the
intent of the PROJECT as awarded.
3. CITY shall conduct all management services necessary to complete the
PROJECT and provide all of the administrative services necessary for receipt and
distribution of GRANT funds to HFHFC following expenditure, as appropriate and
consistent herewith. Such services may include but are not limited to:
a. Maintain all HFHFC invoices and grant funds distribution records
pertaining to the pROJECT;
b. Review and approve any and all allocations of local match cost share in-
kind services;
c. Provide all necessary periodic and final financial reports to Caltrans;
d. At minimum reimbursement invoices made to Caltrans shall be made on
a quarterly basis, or more frequenily at the clry's discretion;
e. Following receipt of payment from Caltrans for invoiced pROJECT costs,
reimburse HFHFC in the normal course of business for reimbursable
costs;
f. Conduct any final reconciliation of invoices and payments to ensure that
all payments made are consistent with the requirements set forth in the
Grant Documents;

Conduct any close-out financial reporting to Caltrans; and
Maintain PRoJEcr financial records as may be required for audit
purposes.
HFHFC shall conduct all of the public outreach services, not to exceedlfoo. per the attached updated timeline/budget/scope (Exhibit c), dated
g.

2014, including as necessary to select and secure subcontractor
services for performance of the Public Outreach work and services. HFHFC shall
provide invoices for the Public Outreach costs as well as invoices for Public Outreach-
related services performed by HFHFC and its consultants, contractors, or staff. At a
minimum, invoices must be submitted monthly. Upon request of ClTy, HFHFC shall
provide any and all additional information available to substantiate invoices submitted to
the City.
5. This Agreement is entered pursuant to the Grant Documents and in the
event of any conflict between the body of this Agreement and the Grant Documents, the
Grant Documents shall control and take precedence. lt is expressly understood and
hereby acknowledged that expenditures undertaken by HFHFC that exceed amounts
set forth in the Grant Documents may not be reimbursable and any such expenditures
shall be at the sole risk and responsibility of HFHFC.
6' All PARTIES understand the obligations and timelines of the pROJECT
gr.ant and shall endeavor to perform their respective activities under this AGREEMENT
in a timely manner to the extent reasonably possible to ensure pROJECT completion
,2015.
7 ' The term of this Agreement shall be through completion of the GRANT
funded PROJECT, íncluding: final invoices received and processed; final GRANT funds
received; final reconciliation of costs and payments made by clry; and GRANT
closeout, at which point the Agreement will be considered terminated, except for any
obligations expressly surviving.
I' Once fully executed, this AGREEMENT is contingent upon and shall be

become effective and binding upon each PARTY, on the date that the GRANT is
awarded ("Effective Date"). The awarding of the Grant is a condition precedent to all
other obligations set forth herein.
I' To the furthest extent allowed by law, HFHFC shall indemnify, ho
harmless and defend CITY and each of its officers, officials, employees, agents
volunteers from any and all loss, liability, fines, penalties, forfeitures, costs
damages (whether in contract, tort or strict liability, including but not limited to persona
injury, death at any time and properly damage) incurred by clry, HFHFC, or any
person, and from any and all claims, demands and actions in law or equity (includi
attorney's fees and litigation expenses), arising or alleged to have arisen direc¡y o
indirectly out of performance of this Agreement. HFHFC's obligations under
preceding sentence shall apply regardless of whether clry or any of its
officials, employees, agents or volunteers are passively negligent, but shall not apply
any loss, liability, fines, penalties, forfeitures, costs or damages caused by the active
sole negligence, or the willful misconduct, of CITY or any of its officers, offici
employees, agents or volunteers.
lf HFHFC should subcontract all or any portion of the work to be performed und
this Contract, HFHFC shall require each subcontractor to indemnify, hold harmless
defend CITY and each of its officers, officials, employees, agents and volunteers
accordance with the terms of the preceding paragraph.
This section shall survive termination or expiration of this Agreement.
10. Without limiting the indemnification of each PARTY as stated hereinabove
it is understood and agreed that the PARTIES shall each maintain, at their sole
expense, insurance policies or self-insurance programs including, but not limited to, an
insurance pooling arrangement and/or Joint Powers Agreement to fund their respective
liabilities throughout the term of this Agreement. Coverage shall be provided for genera
liability and automobile liability, professional liability and workers'compensation
exposure by CITY, and HFHFC. Evidence of lnsurance, e.g., Certificates of lnsurance

or other similar documentalion, shall not be required of either PARTY under this
Agreement.
11. Any notice or demand to be given to either PARTY herein pursuant to the
terms of this Agreement or by law shall be deemed to be fully given or made two (2)
days after being sent by first class mail, postage prepaid, and addressed as follows:

12. ln the event that any provision of this Agreement is held or deemed to be
invalid, then this Agreement shall be construed as not containing such provision(s), and
all other provisions which are othenruise lawful shall remain in full force and effect, and
to that end the provisions of this Agreement are hereby declared to be severable.
13. This Agreement may be modified by the mutual written consent of all
PARTIES hereto without, in any way, affecting the remainder. Any modifications
affecting Exhibit "c" shall be made in accordance with paragraph 2 above.
14. This Agreement may be executed in counterparts, and it is contemplated
that each PARTY shall execute a sufficient number of original counterparts to allow an
original to be provided to each other PARTY. Each executed counterpart shall be
deemed an original, all of which together shall be deemed to constitute a single
executed AGREEMENT.

15. Unless other provided for herein, no PARTY shall assign, transfer or sub-
contract this Agreement nor their rights or duties hereunder without the written consent
of the other PARTIES.
16. This Agreement shall be subject to the laws of the State of California and
venue for any action hereunder shall be proper in Fresno county.
17. Each PARTY acknowledges that it has read and fully understands the
contents of this Agreement. This Agreement and the Grant Documents incorporated
herein represent the entire and integrated agreement between the PARTIES with
respect to the subject matter hereof and supersedes all prior negotiations,
representations or agreements, either written or oral.
lN WITNESS WHEREOF, the parties hereto have caused AGREEMENT to be
executed as of the day and year first above written.

A. The goal of this project will be to develop an extensive community outreach plan which
will result in a comprehensive and equitable community design plan. The community
design plan will include a vision for multimodal complete streets that enhance pedestrian
and bicycle connections and safety, encourage economic development, improve
transportation linkages to jobs, and grocery stores and eliminate travel conflicts between
pedestrians, bicyclist, buses, cars and distribution trucks.
B' The project area - the 41 and North Corridor nelghborhood is a West Fresno neighborhood that is 1.5 miles in
perimeter. The area was selected as a target neighborhood for revitallzation based on long term collaboratlve
partnerships in place, and slgniflcant clvlc and communlty investment. Habitatfor Humanity Fresno County, in
partnership wlth the City of Fresnq Fresno West Coalition for Econornlc Development, Cargill Fresno, and other
nonprofit organizatlons made a $2.5 million ¡nvestment in new home construction and improvements to
infrastructure. The misery index ls high ln this West Fresno (93706) neighborhood. More than 40% of the residents age
16 -64 are disabled. The medlan family lncome ls 523,999 compared to the median lncome of the city of Fresno whlch
is 543,500, The poverty rate in west Fresno is more than double of the city's at51.t%; unemploymenlrateisz2.T%,
end 63% of the residents have less than a high school diploma.
Additionally, the Brookings lnst¡tute and the United States Dept, ofAgriculture (USDAI have identifled this area as a
fooddesefiw¡thoneofthehighestconcentratlonofpoverty(StjrnhtheUS. Morethan3S%oftheresldentshave
experienced food insecurlty and received Food Stamp/SNAP benefits wlthln the pasn2 months. The nearest grocery
story ls more than 5 mlles away and takês over 2 hours to reach on publlc translt. Local Public health agencles along
wlth the US Census identiñ¡ this neighborhood as having high concentration of under educated, low skilled workers,
hlgh crime, and a hlgh renter to horneowner ratio (36% owner occupied), The demographics of the neighborhood are
as follows: American lndian - Alaska Native - A,A%i Afrlcan-Amerlcan - 27.5; Asian - 3.3%; H¡span¡c Aï.Lq,o,¡White -
17,45%;5% are 55 yrs. or older.

A. The deficiencies this project is attempting to address includes: lack of pedestrian infrastruoture (sidewalks
and curbs), incomplete streets, severely deteriorated streets; travel conflicts between pedestrians, cars, school
buses and delivery tucks; bicycle connections and safety issues (two bicyclist have been killed within the
past six months trying to cross North Ave.); flooding and storm water draìnage issues; and lack of green
spaces and play areas for neighborhoodyouth. Photos ofthe streets in the target neighborhood highlighting
the above noted deficiencies are included lvith this application.
B. The goal of this project will be to develop an éxtensive communþ outreach plan which will result in a
comprehensive and equitable community design plan. This focus of tlris communþ developmentplan is the
4l and Norttr Conidor neighborhood, The communþ design plan will includo a vision for multi-modal
complete streets that enhance pedestrian and bicycle connections and safety, encourage economic
development, improve transportation linkages to jobs and grocery stores, and eliminate travel conflicts
between pedestrians, bicyclist, buses, cars and dishibution trucks. The finalized plan will include corridor
concopt drawings and illustrations, preliminary cost estimates for streot ropair and infrashucture development,
phasing and implementation stategies along with mechanisms for permit streamlining to encourage
revitalization of this West Fresno neighborhood.

Architecture and Deslgn, Fresno Pacific University - Dept. of Social Work, Fresno City College - Career Tralning Center, Fresno

SCOPE OF WORK CHECKLIST
The scope of work is the official description of the work that is to be
completed during the contract. The scope of work must be consistent
with the project timeline.
The scope of work must:

Community Design Plan - West Fresno
INTRODUCTTON:
For the past three years, the 4l and North Corddor Strategic Planning Team has been working to
improve the quality of life for the residents who live in the target neigtrborhood. The Strategic
Planning Team is a neighborhood coalition of 25 membors that include residents, area businesses,
local churches and faith-based organization, school districts, and a local community center. The
Strategic Planning Team has organized the community, recruited and trained resident leaders,
organized youth leadership, conducted annual community assessments, and held annual events
designed to improve neighbor relations. This application represents the collective efforts ofthe
4l and Nortlr Corridor Stratogic Planrring Team, the City of Fresno and Habitat for Humauity
Fresno County.
The goal of this project will be to develop an extensive community outreach plan which will
resutt in a comprehensive and equitable community design plan. The community design plan will
include a vision for multimodal complete streets that enhance pedestrian and bicycle connections
arrd safety, encourage econolnic development, improve Íansportation linkages to jobs, and
grocery stores and eliminate travel conflícts between pedestrians, bicyclist, buses, cars and
distribution trucks. The finalized community design plan will include conidor concept drawings
and illustrations, preliminary cost estimates for street repair and infrastructure development,
phasing and implementation strategies along with mechanisms for permit streamlining to
encourage revitaliz¿tion of this West Fresno neighborlmod.
OVERALL PROJECT OBJECTTVES ¡
1. Task Title: Project Set-Up: Initial Administrative Tasks
Task 1.1: Project Kick-Off: COF and HFHFC staff will facilitate a project kick-off in the
community, Staff will review project scope, timeline, goal and objectives, Staffwill elicit
community's questions and concerns; describe the role and responsibilities of community
stakoholders, committees, and st¿ffand oonsultants. Meeting interpretation will be provided in
Spanish and Hmong tlrrough partnership with ttre Fresno Metro Ministry and use of their

Development Committee (CDC) will be a multi.generational, multi-ethnic stakeholder steering
committee made up of residents, stakeholders, staff, communþ leaders, and interested parties.
This group will convene monthly to review and analyze draft community design plans and
docurnents produced by consultant(s), submit recommendations and edits, and inform and update
the public, and ensure strong public participation. Meeting interpretation will be provided in
Spanish and Hmong through partnership with the Fresno Metro Ministry and use of their

performed, timelines, fees, and expenses.

consultant(s) will facilitate a discussion with attendees to gather resident identified priorities for
community desigu. The workshop with conclude with public comrnents and suggestions.

Tltis phase will merge all the prior phases to create options for the future of the target
neighborhood. Stakeholders and public will continue to participate in this phase to reach a
consensus regarding the preferred scenario that will serve as the basis for drafting the final dtaft
of the community design plan. The final draft of the community design plan along with a long
term financing plan to fimd tho costs of identified projects in a manner that is consistent with

2. Period of Performance

Cost Limitation
a. The total amount reimbursable to AGENCY pursuant to this FTA by CALTRANS
shall not exceed $ 184,899.00.
b. lt is agreed and understood that this FTA fund limit is an estimate and that CALTRANS
will only reimburse the cost of services actually rendered as authorized by the
CALTRANS Contract Manager at or below that fund limitation established hereinabove.
Termination
a. CALTRANS reserves the right to terminate this FTA upon written notice to AGENCy att9q1t lflrtV (30) days in advance of the effective date of such termination in the event
AGENCY fails to proceed with PROJECT work in accordance with the terms of this FTA.
b. ln the event of termination for convenience, CALTRANS will reimburse
AGENCY for all allowable, authorized and non-cancelled costs up to the date of
termination.
c. AGENCY has síxty (60) days after the Termination Date to submit invoicés toCALTRANS to make final allowable payments for Project costs in accordance to theterms of this FTA. Failure to submit invoices within this period may result in a waiver byAGENCY of its right to reimbursement of expended costs.
Budqet Continqencv Glause
It is mutually agreed that if the U.S. Congress or the State Legislature fail to appropriateor allocate funds during the current year and/or any subsequeit years covered underthis FTA does not appropriate sufficient funds for tñe program, this Agreement shall beof no further force and effect. ln this event, CALTRANs ınau have nó liability to pay
any funds whatsoever to AGENCY or to furnish any other considerations under this
Agreement and AGENCY shall not be obligated to perform any provisions of this FTA.
lf funding for any fiscal year is reduced or deleted by the U.S. Congress or the State
Legislature for purposes of this program, CALTRAÑS shall have thã option to either
terminate this Agreement with no liability occurring to CALTRANS, or öffer a FTA
Amendment to AGENCY to reflect the reduced amount.
7. Payment and lnvoicinq
a. The method of payment for this FTA will be based on actual allowable costs.
CALTRANS will reimburse AGENCY for expended actual allowable direct costs and
including, but not limited to labor costs, travel, and contracted consultant services costsincurred by AGENCY in performance of the Project work. lndirect costs are
reimbursable only if the AGENCY has an approved lndirect Cost Allocation plan or anlndirect Cost Rate Proposal as setforth in Section ll - Cost principals, ltem g d. Reimbursement of AGENCY expenditures will be authorized only for those allowable
costs actually incurred by AGENCY in the performance of the Project work. AGENCy
must not only have incurred the expenditures on or after the start date and the
issuance of the Notice to Proceed letter for this FTA and before the Expiration Date,
but must have also paid for those costs to claim any reimbupgment
Travel expenses and per diem rates are not to exceed the rate specified by the State
of california Department of Human Resources for similar employees (i.e. non-
represented employees) unless written verification is supplied that government hotel
rates were not then commercially available to AGENCY, its sub- recipients,
contractors, and/or subcontractors, at the time and location required as specified in the
California Department of Transportation's Travel Guide Exception Process at the

AGENCY shall submit invoices to CALTRANS at least quarterly but no more
frequently than monthly in arrears for completion of milestones in accordance with the
Project Timeline in Attachment ll to the satisfaction of the CALTRANS' Contract
Manager. lnvoices shall reference this FTA Number and shall be signed and
submitted to the CALTRANS' Contract Manager at the following address, as stated in
Section ll - Notification of Parties, ltem 1.c.
lnvoices shall include the following information:

5) AGENCY shall submit written progress reports with each set of invoices to allow
the CALTRANS' Contract Manager to determine if AGENCY is performing to
expectations, is on schedule, is within funding cost limitations, to communicate
interim findings, and to afford occasions for airing difficulties respecting special
problems encountered so that remedies can be developed.
lncomplete or inaccurate invoices shall be returned to the AGENCY unapproved for
correction. Failure to submit invoices on a timely basis may be grounds ior
termination of this FTA for material breach per Section ll - Termination, ltem 5.
CALTRANS will reimburse AGENCY for all allowable Project costs at least quarterly
but nomorê frequeRtly tlran monthly in arrears as promptly as CALTRANS fiscal
procedures permit upon receipt of an itemized signed invoice.
The FTA Expiration Date refers to the last date for AGENCY to incur valid Project costs

Non-Discrimination
During the performance of this FTA, AGENCY and all of its sub-recipients and its
sub-contractors, if any, shall not unlawfully discriminate, harass or allow
harassment, aþainst any employee or appricant for employment because of sex,
race, color, ancestry, religious creed, national origin, OisaUility (including HIV and
AIDS), mental disability, medical condition (cancer), age (over 40), marial status,dglal of family and medical care leave, and deniaÍ of þregnancy disability leave.
AGENCY, its subcontractors, and sub-recipients shall ensure that the eváluation and
treatment of their employees and applicants for employment are free from such
discrimination and harassment. AGENCY, its subcontiactors and sub- recipients
shall comply wìth the provisions of the Fair Employment and Housing Act
(Government Code [GC] Section 12900 et seq.) anO tne applicable régulations
promulgated hereunder (California Code of Regulations, Title 2, Sectiın 72gS.0 et
:eq.). The applicable regulations of the Fair Employment and Housing Commission

13. Retention of Records/Audits
a. AGENCY, its contractors, subcontractors and sub-recipients shall establish and

an audit, any acceptable audit work performed by AGENCY's external and internal
auditors may be relied upon and used by CALTRANS when planning and conducting
additional audits.
For the purpoóe of determining compliance with applicable State and Agency law in
connection with the performance of AGENCY's contracts with third parties pursuant to
GC Section 8546.7, AGENCY, AGENCY's sub-reeipients, eontractors, sr.lbeontraetors,
and CALTRANS shall each maintain and make available for inspection all books,
doe'rr¡¡s¡ß, papers, accounting records, and other evidence pertaining to the
performance of such contracts, including, but not limited to, the costs ıf administering
those various contracts. All of the above referenced parties shall make such mate¡als
available at their respective offices at all reasonable times during the entire project

Druq-Free Workplace Certification
By signing this FTA, AGENCY hereby cert¡fies under penalty of perjury under the laws of
California that AGENCY will comply with the requirements of the Diug-¡ree Workplace Act
of 1990 (GC Section 8350 et seq.) and will provide a Drug-Free workþlace by doing a1 of
the following:
a. Publish a statement notifying employees that unlawful manufacture, distribution,
dispensation, possession, or use of a controlled substance is prohibited and specifying
actions to be taken against employees for violations, as required by GC Section
8355(a).
b. Establish a.Drug-Free Awareness Program as required by GC Section 83SS(b) to
inform employees about all of the following:
1) The dangers of drug abuse in the workplace.
2) The person's or organization's policy of maintaining a Drug-Free workplace;
3) Any available counseling, rehabilitation, and'employee assistance programs.
4) Penalties that may be imposed upon employees for drug abuse violations.

Relationship of Parties
It is expressly understood that this FTA is an agreement executed by and between two
independent governmental entities and is not intended to, and shall not be construed to,
create the relationship of agent, servant, employee, partnership, joint venture or
association, or any other relationship whatsoever other than that of an independent party.

2. Task Title: Public Outreach
Engage the public to build consensus and communicate the community's vision for the 41 and North Conidor. Public
outreach and community engagement methods will be facilitated through guided tours of the target neighborhood,
participatory mapping and community visioning; planned community workshops (3) and interaôtive planning through
monthly community forums and meetings with the Community Desig¡ Committee. A sign-in sheet will be provided at
all public orrtreach events and submitted to Caltrans. Target populations are specifically environmentaljustice
communities, i.e., Latinos, African Americans, Southeast Asians, disabled and low-income community members for
attendance at the community workshops and stakeholders meetings.
Task 2.1: Community Kick-Off and Workshop #1
This workshop will be the community kick off, introduce the project to the public, define project pararneters, inform
community of project opportunities and constraints, and solicit opinions from the community to shape Task 3.1,
Develop Streetscape Concept. The workshop will feature public education, presentation of assessment, and a walking
tour. Public comments and suggestions will be gathered and used to inform Tasks 3.1 and 3.2. Meeting interpretation
will be provided in Spanish and Hmong through partnership with the Fresno Metro Ministry and rental of their
translation headsets.

Task 2:4: CDC Stakeholder Committee Meetings
This resident and communþ advisory group will convene monthly, and will serve as the primary community
engagement strategy to ensure strong public participation. This will be a multi-sector group of stakeholders and will
include the City, consultant(s), neighborhood residents and members f¡om the 41 and North Conidor neighborhood
development planning team, local business leaders, faith-based groups and community based organizations. The CDC
will meet to help dehne the vision for the communify design plan, review and analyze draft community design plans
and documents produced by consultant(s), and submit recornmendations and edits.
