is entered between EAH, INCORPORATED, a Caldornia non-prefit public benefit
corporation as assignee of the Central Community Development Center, a California
non-profit public benefit corporation ("EAH"). the CITY OF FRESNO, a municipal
corporation, acting through IN Planning and Development Department- Housing and
Community Development Division ("CITY"), and ARBOR COURT, INCORPORATED, a
California non-profit public benefit corporation and a City of Fresno Community Housing
Development Organization (CHDO) formerly known as LOCKHART FAMILY CENTER,
INCORPORATED, (Arbor Court"). EAH and Arbor Court collectively hereinafter am
retained to es "DEVELOPER".

WHEREAS, the CITY and DEVELOPER are parties to a June 29, 2005 HOME
Investment Partnerships Program (CHDO) Agreement and ExhibitslAttachments thereto,
including covenants running with Me land, as assigned on January 15. 2008, ("HOME
C HDO Agreement"), Incorporated herein, pursuant to which the CITY, to further its goal
to increase the supply of Affordable Housing within the City of Fresno, agreed to assist
DEVELOPER by providing HOME CHDO Program funds, upon the terms and conditions
in the HOME Agreement, related to a twenty (20) unit disabled rental housing project to
be primanly funded under the U.S. Department of Housing and Urban Development's
Supportive Housing for Persons with Disabilities under Section 811 of the National
Affordable Housing Ad of 1990 (all as more fully defined in the Agreement), upon HOME
eligible property located on Laurel Avenue, east of Chestnut Avenue, within the
boundaries of the City of Fresno, APN 483-12010, as more particularly described in the
Agreement, said Project subject to Agotabill restrictions as provided in the HOME
CHDO Agreement. and
WHEREAS, LOCKHART FAMILY CENTER, INCORPORATED, a California
non-profit public benefit corporation, has changed its corporate name to ARBOR COURT,
INCORPORATED, a California non-profit public benefit corporation, pursuant to the
attached Cedihoa re of Amendment of Articles of Incorporation as filed with the Secretary
of State of the State of California on July 25. 2008 (Exhibit A); and
WHEREAS, the pates desire to increase the HOME Investment Partnership
CHDO Funds/Loan provided by the CITY, and to modify the Project Budget in certain
regards, upon the terms and conditions herein; and
WHEREAS, DEVELOPER Boards of Directors approved tits Amendment No. I on
October 22, 2008 (EAH) and March 18, 2009 (Arbor Court); and
WHEREAS, the Fresno City Council approved this Amendment No. I on March 25,
2008.
AMENDMENT
NOW THEREFORE, in consideration of the above recitals, which recitals are contractual
in nature, Ne mutual promises herein contained, and for other good and valuable
consideration hereby acknowledged, Ne parties agree to the following:
1. HOME Investment Partnership CHDO Funds/Loan shall be Increased tram
$750,000 to a not to exceed total of $1,400,000.00, subject to and to the extent of
allocated and available HOME CHDO Funding in each City fiscal year hereunder, and the
Loan Documents shall be modified accordingly.
2. The Project Budget attached to the Agreement as Exhibit "C" Is hereby stricken
and replaced with the Revised Project Budget attached hereto as Exhibit "B" and
incorporated herein.
4. In the event of any conflict between the body of this Amendment No.1 and any
exhibit or altechment hereto, the terms and conditions of the body of this Amendment No.
1 shall control and take precedence over the exhibNaffachment.
5. All capitalized terms used in this Amendment No. 1, unless otherwise defined
herein, shall have the meanings assigned to such terns in the HOME CHDO Agreement.
6. Except as expressly modified and amended hereby, the HOME CHDO Agreement
shall remain in full force and effect. From and after the effective date of this Amendment,
references in the HOME CHDO Agreement to "Nis Agreement" shall mean the Home
Agreement as hereby amended.
7. This Amendment No. 1 shall be conditional upon any/all required U.S. HUD
approvals.
