!i,n:ri",.I.Associate Member Status.The City is hereby made an Associate Mem ber of
the Authori ty for all purposes of the Agreement and the Bylaws of the Authority,the provisions
of which arc hereby incorporated ht.-rein by reference.From and after the date of execution and
delivery o f this A$.'i\lCiatc Membership Agreement by the City and the Authority.the City shall
be and remain an Associate Member of the Authority.
S«rion 1.Restrictions and Rights of Associate Mt."t11!;lt.'T5.The City shall not have the
right.lIS an A ssociate M ember of the Authority .to vote on any action taken by the Board of
Dir ectors or by the Voting Members o f the Authority.In addi t ion,no officer,em ployee o r
n.,m:st.'1I(ativ e of the City shall have any right to become an officer or di rector of the Authority ,

oftbe A uthority shall not be the debts,l iabi l ities and o bligations of the City.

A greement and the Agreement shall satisfy the requirements o f the Agreement and Article XII of
the Bylaws of t he Authority for participation by the City in all programs and other undenakings
of tbe Authority.
