SERVICE AGREEMENT
THIS SECOND AMENDM T ERVICE AGREEMENT (Amendment) made and
entered into the day of 6, 2020 (Effective Date), amends the Service
Agreement entered into between the CITY OF FRESNO, a California municipal
corporation (City or Licensee), and INFOR (US) INC., a Delaware Corporation ( Infor).
RECITALS
WHEREAS, the City and Infor entered into a Service Agreement on October 25,
2018 (Agreement), to obtain Infor Enterprise Asset Management (EAM) Implementation
services (Project) for the Department of Public Utilities and Public Works, for a total fee of
$1,483,294; and
WHEREAS, the City and Infor entered into an amendment on April 9, 2020 to
amend the original scope of work to include additional implementation services for
additional services related to the Project (First Amendment); and
WHEREAS, the parties have negotiated a revised Scope of Services with an
increase in tasks and related increase of the total fee for Infor's compensation for services
related to the Project; and
WHEREAS, the City and Infor desire to keep the Term and Time for
Performance contemplated in the Agreement without revision.
AGREEMENT
NOW, THEREFORE, the parties amend the Agreement as follows:
1. Infor's Scope of Services is modified as specified in Exhibit A ANA -50
Analysis Specification Emergency Materials Management Proposal. A copy of
Exhibit A is attached hereto and incorporated herein by reference as though set-
forth in full.
2. The total compensation for the afore-said Services is increased to
$31,356 for satisfactory performance of the Services.
3. Except as otherwise provided herein, the Agreement and First
Amendment remain in full force and effect.
