THIS RESTATED AND AMENDED SUBDIVISION AGREEMENT (hereinafter the "New
Agreement") is made by and between the CITY OF FRESNO, a municipal corporation, 2600 Fresno
Street, Fresno, California 93721 (hereinafter the "City"), and UCP MONTECITO, LLC, a Delaware
limited liability company, 6489 Camden Avenue, Suite 204, San Jose, California 95120(hereinafter
the"Subdivider") This New Agreement shall be effective as of the day and year specified below in
Section 33 of this New Agreement (hereinafter the "Effective Date") The City and the Subdivider
may hereinafter be individually referred to as a "Party" and collectively as the "Parties "
RECITALS
A On or about January 25, 2006, Dunmore Montecito, LLC, a California limited liability
company (hereinafter "Dunmore"), presented to the City a certain final map of a proposed
subdivision of land owned by Dunmore at the time and located within the corporate limits of the City
known and described as the Final Map of Tract No 5461 (hereinafter the"Final Map"), incorporated
herein by reference, and requested that the City accept the dedications delineated and shown on
the Final Map for the use and purposes specified thereon, and otherwise approve the Final Map in
order that the same may be recorded as required by law
B The City required, as a condition precedent to the acceptance and approval of the
Final Map,the dedication of such streets, highways, public places and easements as delineated and
shown on the Final Map, and deemed the same as necessary for the public use, and also required
that any and all streets delineated and shown on the Final Map shall be improved by the
construction and the installation of the improvements hereinafter specified
C The City also required, as a condition precedent to the acceptance and approval of
the Final Map, certain improvement securities, more particularly described in Section 5 and Exhibit
"A" of the Subdivision Agreement, defined below in paragraph D, and on or about March 19, 2007,

Dunmore did in fact deposit with the City the following security instruments, which remain in the
City's possession as of the Effective Date of this New Agreement
(a) Subdivision Improvement Performance Bond No 104860000, issued by
Travelers Casualty and Surety Company of America, in the penal sum of $5,704,000 (in
satisfaction of the City's 95% Performance Security requirement),
(b) a Certificate of Deposit issued by Guaranty Bank in the principal amount of
$300,000 (Account No 00001980002420) for the benefit of the City (in satisfaction of the
City's 5% Performance Security requirement),
(c) Subdivision Improvement Payment Bond No 104860000, issued by Travelers
Casualty and Surety Company of America, in the sum of$3,002,000 (in satisfaction of the
City's 50% Payment Security requirement), and
(d) a Certificate of Deposit issued by Guaranty Bank in the principal amount of
$50,000 (Account No 00001980002396) for the benefit of the City (in satisfaction of the
City's 100% Faithful Performance Security to Guarantee Completion of Plans)
D Pursuant to the requirements of Section 12-1014 of the Municipal Code of the City of
Fresno (hereinafter the "Fresno Municipal Code"), on or about March 27, 2007, the Council of the
City of Fresno (hereinafter the"City Council") approved the Final Map, the Subdivision Agreement
with Dunmore (hereinbefore and hereinafter the"Subdivision Agreement"), and certain covenants
recorded thereafter against the Tract No 5461 property (hereinafter the "Subdivision Property")
including a Statement of Covenants Affecting Land Development Deferring Certain Sewer
Connection Charges, Water Connection Charges, Urban Growth Management Fees and
Development Fees to the Time of Issuance of Certificate of Occupancy and Creation of Lien for the
Final Map of Tract No 5461 (hereinafter the"Fee Deferment Covenant")recorded April 10,2007, as

Document No 200700771797, Official Records of Fresno County, California, which document
provides in part for the deferral of certain development impact fees regarding the Final Map
E Pursuant to the terms of the Subdivision Agreement, Dunmore agreed to do, perform
and complete the work and matters required as Conditions of Approval for Vesting Tentative Map
No 5461, dated August 17, 2005 and issued by the City, and any amendments or modifications
thereto (hereinafter the "Conditions of Approval"), hereinafter set forth in detail, within the time
hereinafter mentioned, in consideration of the acceptance of the offers of dedication by the City
Dunmore was to perform all the work specified in the Subdivision Agreement within a period of one
(1)year from the effective date thereof, except that sidewalk and driveway approach construction for
the interior lots of the subdivision was to be completed on or before two(2)years from the effective
date of the Subdivision Agreement
F On April 10, 2007, a Construction Deed of Trust,Assignment of Leases and Rents,
Security Agreement and Fixture Filing was recorded as Document No 2007-0071808 in the Official
Records of Fresno County, California, against the Subdivision Property identifying Dunmore as the
Trustor, Chicago Title Company as the Trustee, and RBC Centura Bank, a North Carolina banking
corporation, as the Beneficiary (hereinafter the "Deed of Trust")
G Sometime between April 3, 2007 and December 18, 2007, Dunmore defaulted on its
obligations pursuant to a promissory note and the Deed of Trust On or about December 18, 2007,
a Notice of Default and Election to Sell Under Deed of Trust was recorded as Document No
2007-0223087 in the Official Records of Fresno County, California, identifying First American Title
Insurance Company as the duly appointed Trustee, Dunmore as the Trustor, and RBC Centura
Bank as the Beneficiary (hereinafter the "Notice of Default"), and indicating in part that said
Beneficiary had executed and delivered to said Trustee a written Declaration and Demand for Sale

H Dunmore failed to cure the default, and, after the Trustee First American Title
Insurance Company properly provided notice of Trustee's sale, on or about May 28, 2008, the
Subdivision Property was sold to RBC Real Estate Finance, Inc , a Delaware corporation
(hereinafter"RBC"), as the highest bidder, at a public auction,for the amount of$6,164,150 00, and
a Trustee's Deed Upon Sale was thereafter recorded on June 5, 2008 as Document No 2008-
0081504 in the Official Records of Fresno County, California
I Dunmore failed to complete the public works of improvement as set forth in the
Subdivision Agreement
J On August 7, 2009,the Subdivider and RBC entered into that certain Agreement for
Purchase and Sale of Real Property and Escrow Instructions and established Escrow No
09-45025562-JP with Chicago Title Company for the purpose of facilitating the Subdivider's
purchase of the Subdivision Property from RBC (hereinafter the "Escrow"), which agreement was
amended by that certain First Amendment to Agreement for Purchase and Sale of Real Property
and Escrow Instructions dated December 22, 2009
K The Subdivider desires to construct the improvements and develop the subdivision
and acknowledges that the Subdivision Property is subject to the Subdivision Agreement
L Based on changed circumstances including, but not limited to, anticipated new
ownership of the Subdivision Property by the Subdivider and a recessionary economy, and based on
the Subdivider's desire to develop the subdivision and the City's desire that all the improvements
regarding Tract No 5461 be completed and that all obligations, requirements and covenants under
the Subdivision Agreement be met in furtherance of the public's health, safety and welfare,the City
and the Subdivider wish to restate and amend the Subdivision Agreement
M The City and the Subdivider also understand that if they do not enter into this New
Agreement, they may be required to engage in protracted and costly legal proceedings and/or

pursue remedies including, but not limited to, reversion of the Subdivision Property to acreage,
pursuit of the bonds and other improvement security associated with the Subdivision Property to
complete the required improvements, and/or litigation
AGREEMENT
NOW, THEREFORE, the City Council does hereby find that (1) changed circumstances
including, but not limited to, new ownership of the Subdivision Property by the Subdivider and a
recessionary economy make this New Agreement necessaryto further the health, safety and welfare
of the public, and (2) this New Agreement furthers the interests of the City by providing an
alternative to costly administrative, legislative, and protracted legal proceedings
FURTHERMORE, in consideration of(1)the foregoing Recitals,which are expressly made a
part of this New Agreement, (2) the covenants, conditions and promises contained in this New
Agreement, and (3)the acceptance of the offers of dedication of the streets, highways, public ways,
easements and facilities as shown and delineated on the Final Map,the Subdivider and the City do
hereby mutually understand and agree as follows
1 For purposes of this New Agreement, the Parties hereto agree that the term
"legislative body,"as that term is used in Government Code Sections 66410 etseq (the Subdivision
Map Act), shall mean the City Council
2 The Subdivider agrees to perform,cause to be performed, and assume responsibility
of performing all of the duties, requirements and obligations required of Dunmore under the
Subdivision Agreement as set forth in this New Agreement, which supersedes the original
Subdivision Agreement The City requires that all improvements be completed and that all
obligations, requirements and covenants under the Subdivision Agreement be met

a The work and improvements identified in Section 5 of this New Agreement
(hereinafter the"Improvements"), shall be performed hereinafter specified on or before three
(3) years from the Effective Date of this New Agreement, except as noted below
b The street trees required for each lot shall be provided and planted by the
Subdivider upon occupancy of each lot All species of street trees to be planted in the
subdivision shall be as approved by the City Engineer The Subdivider shall notify the City of
Fresno, Public Works Department, Construction Management Division, of the planting
schedules and to schedule inspections
c The issuance of building permits for any structure within the subdivision shall
conform to the requirements of the prevailing Uniform Fire Code (hereinafter the "UFC")
The Subdivider's attention is particularly called to Part III,Article 9, of the UFC relating to the
City of Fresno Fire Department's access and water supply No building permit shall be
issued until all City of Fresno Fire Department access and fire fighting water supply
requirements have been met No occupancy permit shall be issued until all City of Fresno
Fire Department requirements for occupancy have been met The issuance of any
occupancy permits by the City for dwellings located within the subdivision shall not be
construed in any manner to constitute an acceptance and approval of any or all of the
streets and improvements in the subdivision
d No certificates of occupancy will be issued nor any human occupancy allowed
for any building on any lot of the subdivision until permanent sanitary sewer and water
services are determined to exist by the Director of the City of Fresno Public Utilities
Department
e When a delay occurs due to unforeseen causes beyond the control and
without the fault or negligence of the Subdivider,the time of completion may be extended for
a period justified by the effect of such delay on the completion of the work The Subdivider
shall file a written request for a time extension with the Director of Public Works, prior to the
above-noted date, who shall ascertain the facts and determine the extent of justifiable
delays, if any Extension of time for completion of improvements(including planting of street
trees) may be granted by the Director of Public Works with an extension fee from the current
Master Fee Schedule based upon the estimated remaining total improvement cost The
Director of Public Works shall give the Subdivider written notice of his determination,which
shall be final and conclusive
4 The Improvements shall be done in accordance with the construction standards
contained in the current edition of the City's Public Works Standard Specifications and Drawings
(City Council Resolution No 70-36 and Resolution No 84-361), including any amendments thereto
(hereinafter the "Public Works Standard Specifications"), at the sole cost and expense of the
Subdivider including all costs of engineering, inspection and testing The construction cost

estimates, and corresponding improvement and warranty security requirements for the
Improvements, are set forth in Exhibit "A," which is attached hereto and incorporated herein by
reference
5 The Improvements are as follows
a Set all landmarks, monuments and lot corners required to locate land
divisions shown on the Final Map Pursuant to Government Code Section 66497, prior to
the City's final acceptance of the subdivision and complete release of security instruments,
the Subdivider shall submit evidence to the City of payment and receipt thereof by the
Subdivider's engineer or surveyor for the final setting of all monuments required in the
subdivision
b All utility systems shall be installed underground The Subdivider's attention
is directed to the installation of street lights in accordance with City Council Resolution No
78-522 including any amendments thereto or modifications thereof which may be adopted by
the City Council prior to the actual installation of the lights The Subdivider shall construct a
complete underground serviced street light system as approved by the City Engineer prior to
final acceptance of the subdivision Height, type, spacing and similar design elements of
light standards and luminaires shall be in accordance with City Council Resolution No
78-522 and Resolution No 88-229, including any amendments thereto or modifications
thereof which may be adopted by the City Council prior to the actual installation of the lights,
and shall be approved by the City Engineer
c Water main extensions and services shall be provided in accordance with
applicable provisions of Chapter 6, Article 5, of the Fresno Municipal Code, and all
applicable charges shall apply
d "Wet-Ties" (i e , the physical connection of newly constructed water system
facilities to the existing water system facilities already in service)shall be in accordance with
Sections 6-507, 6-508 and 6-514 of the Fresno Municipal Code The amounts identified as
"Wet-Tie Charges" are estimates only and serve as a deposit to cover the actual cost of
construction Should the actual cost of construction be less than the deposit,the Subdivider
shall be refunded the excess Should the actual cost of construction be greater than the
deposit, the Subdivider shall be billed by the City for the difference and shall be directly
responsible for payment
e Sanitary sewer extensions and services shall be provided in accordance with
applicable provisions of Chapter 6, Article 3, of the Fresno Municipal Code, and all
applicable charges shall apply
f Lot drainage shall be in accordance with Section 11-632 of the Fresno
Municipal Code
g All temporary storm drainage basins constructed or enlarged to serve the
subdivision shall be fenced in accordance with the Public Works Standard Specifications

within seven (7) days from the time said basins become operational, or as directed by the
City Engineer The Subdivider shall maintain said temporary storm drainage basins so as
not to create a nuisance as defined by Section 10-605 of the Fresno Municipal Code or
California law until such time as the City Engineer provides official notice to the Subdivider,
its successors or assigns, that said temporary storm drainage basins are no longer
required This term shall survive the termination or expiration of this New Agreement
h All "Dead-End" streets created by this subdivision shall be barricaded in
accordance with the Public Works Standard Specifications within seven (7) days from the
time said streets are surfaced, or as directed by the City Engineer
I The Subdivider shall install and maintain the fencing/walls, landscaping,
irrigation system and related miscellaneous improvements in accordance with the approved
improvement plans (i e , Landscape and Irrigation Plans, and Grading Plan), within the
designated easements or areas required by the Conditions of Approval and delineated on
the Final Map The improvement plans for such landscaping, irrigation system and related
miscellaneous improvements shall be prepared by a licensed landscape architect, certified
irrigation designer or other person with landscaping and irrigation design expertise
acceptable to the Planning and Development Director, except that for improvements to be
maintained by a City Community Facilities District (hereinafter "CFD"), such improvement
plans shall be approved by the City Engineer The Subdivider has elected to satisfy its
maintenance obligation of such improvements by annexation of the subdivision into a CFD,
and shall maintain such improvements until such time as the City Engineer determines that
the CFD is responsible for such maintenance thereafter Additionally, the Subdivider shall
provide each prospective purchaser a "Notice of Special Tax" in accordance with the
provisions of Government Code Section 53341 5 and the Statement of Covenants Affecting
Land Development for the Maintenance of Certain Improvements for the Final Map of Tract
No 5461, recorded as Document No 20070071794 on April 10, 2007, Official Records of
Fresno County, California, which code section and statement are incorporated herein by
reference and made a part of this New Agreement
The Subdivider shall perform and construct all work shown on the following
construction plans and any amendments thereto,which are incorporated herein by reference
and made a part of this New Agreement, unless specifically omitted herein
I City Drawing Nos 10-C-10798 through 10-C-10821, inclusive(sewer
and water), 15-C-14686 through 15-C-14715, inclusive (street), and 4-C-961, 4-C-
961 a and 4-C-961 b (street lighting), unless specifically omitted herein
ii Fresno Metropolitan Flood Control District Drawing Nos BV-14-1
through BV-14-14, inclusive, unless specifically omitted herein
Additionally,the Subdivider shall install and complete all other street improvements required
by Section 12-1012 of the Fresno Municipal Code in accordance with the Public Works
Standard Specifications and the construction plans
k The Subdivider shall provide and install all street name signs, regulatory
signs, warning signs and street striping in accordance with the Public Works Standard

Specifications and the plans approved by the City Traffic Engineer All street names and
address numbers for such streets shall be as established and approved by the Planning and
Development Director
6 It is agreed that the Subdivider's obligation to pay fees and charges,which are more
particularly described in Exhibits "A" and "B" attached hereto, due as a condition of Final Map
approval has been completely satisfied through payment or payments to the City and/or the Fee
Deferment Covenant,which payment or payments and Fee Deferment Covenant inure to the benefit
of the Subdivider In connection with the amounts set forth in Exhibits "A" and "B," the City has
acted in good faith and exercised its best efforts at predicting the amounts to be credited as
reimbursements for Improvements that will benefit properties other than the Subdivision Property
Because the Improvements have not been completed at the time of execution of this New
Agreement, the actual cost of construction is not yet known Some degree of reasonable estimation
is therefore incorporated into the calculations The Subdivider agrees that the amounts set forth in
Exhibits"A"and "B" represent the City's best estimates only and that they are subject to fluctuation
following calculation of actual construction costs after completion and acceptance of the
Improvements The amounts are further subject to the Subdivider's submission and the City's
review of a financial accounting which sets forth actual construction costs, and the application, by
the City, of all relevant Fresno Municipal Code provisions which relate to the Subdivider's payment
of fees and reimbursements therefor This would include any pertinent provisions contained within
the City's Master Fee Schedule which would also apply to the payment of fees or reimbursements
7 The Parties hereto agree that the City shall inspect all Improvements All the
Improvements and materials shall be done, performed and installed in strict accordance with the
approved construction plans for said work, on file with the City Engineer, and the Public Works
Standard Specifications, which construction plans and Public Works Standard Specifications are
incorporated herein by reference and made apart of this New Agreement In the event there are not

Public Works Standard Specifications for any of the Improvements, it is agreed that the same shall
be done, performed and installed in accordance with the standards and specifications of the State of
California, Department of Transportation (Caltrans) All the Improvements and materials shall be
done, performed and installed under the inspection and to the satisfaction of the City Engineer
8 The Parties hereto acknowledge and agree that the City has in its possession the
following improvement securities in the amounts set forth below and in Exhibit"A" hereto, and that
said securities inure to the benefit of the Subdivider
a PERFORMANCE SECURITY The total amount is equal to 100%of the Total
Cost Estimate, as approved by the City Engineer and identified in Exhibit "A" hereto
(hereinafter the "Total Cost Estimate"), and consists of the following
I Subdivision Improvement Performance Bond No 104860000, issued
by Travelers Casualty and Surety of America, in the penal sum of$5,704,000,which
sum is equal to 95% of the Total Cost Estimate, and
ii a Certificate of Deposit issued by Guaranty Bank in the principal
amount of $300,000 (Account No 00001980002420) for the benefit of the City,
which amount is equal to 5% of the Total Cost Estimate
b PAYMENT SECURITY The total amount is equal to 50% of the Total Cost
Estimate, and secures payment to all contractors and subcontractors performing work on the
Improvements and all persons furnishing labor, materials or equipment to them for the
Improvements, and is satisfied by Subdivision Improvement Payment Bond No 104860000,
issued by Travelers Casualty and Surety Company of America, in the sum of$3,002,000
c FAITHFUL PERFORMANCE SECURITY TO GUARANTEE COMPLETION
OF PLANS The total amount is equal to 100% of the estimated cost, as approved by the
City Engineer, to complete plans for certain of the Improvements, and is satisfied by a
Certificate of Deposit issued by Guaranty Bank in the principal amount of$50,000(Account
No 00001980002396)
The Parties hereto further acknowledge and agree that the Subdivider has provided and the
City has accepted any and all other improvement security as required by Section 12-1016 of the
Fresno Municipal Code

9 Notwithstanding Section 8 above, the Subdivider desires to provide and the City
desires to accept the following security instruments as replacements for those identified in Section 8
above
a PERFORMANCE SECURITY Prior to the Effective Date of this New
Agreement, the Subdivider shall deposit with the City substitute cash or a substitute security
instrument or instruments in the penal sum of$5,704,000 and in the form of cash, a bond, a
Certificate of Deposit, or an Irrevocable Standby Letter of Credit, or any multiples or
combination thereof, at the election of the Subdivider, provided that if said security
instrument or instruments is in the form of a bond or bonds, such bond or bonds shall be by
one or more duly authorized corporate sureties licensed to conduct business in California,
subject to the approval of the City and on forms furnished or approved by the City, and if
said security instrument or instruments is in the form of a Certificate of Deposit or
Certificates of Deposit, or an Irrevocable Standby Letter of Credit or Irrevocable Standby
Letters of Credit, such security instrument or instruments shall be in a form acceptable to the
City of Fresno Finance Department, and the City hereby agrees to accept said substitute
cash or substitute security instrument or instruments, in the penal sum of$5,704,000,which
sum is equal to 95%of the Total Cost Estimate Upon such deposit by Subdivider and upon
City's approval thereof but no later than the Effective Date of this New Agreement, the City
shall release Travelers Casualty and Surety Company of America from its duties and
obligations pursuant to Subdivision Improvement Performance Bond No 104860000, and
b PAYMENT SECURITY Prior to the Effective Date of this New Agreement,
the Subdivider shall deposit with the City substitute cash or a substitute security instrument
or instruments in the penal sum of$3,002,000 in the form of cash, a bond, a Certificate of
Deposit, or an Irrevocable Standby Letter of Credit, or any multiples or combination thereof,
at the election of the Subdivider, provided that if said security instrument or instruments is in
the form of a bond or bonds, such bond or bonds shall be by one or more duly authorized
corporate sureties licensed to conduct business in California, subject to the approval of the
City and on forms furnished or approved by the City, and if said security instrument or
instruments is in the form of a Certificate of Deposit or Certificates of Deposit, or an
Irrevocable Standby Letter of Credit or Irrevocable Standby Letters of Credit, such security
instrument or instruments shall be in a form acceptable to the City of Fresno Finance
Department, and the City hereby agrees to accept said substitute cash or substitute security
instrument or instruments, in the sum of$3,002,000,which sum is equal to 50% of the Total
Cost Estimate Upon such deposit by Subdivider and upon City's approval thereof but no
later than the Effective Date of this New Agreement, the City shall release Travelers
Casualty and Surety Company of America from its duties and obligations pursuant to
Subdivision Improvement Payment Bond No 104860000
The Parties hereto agree that all remaining security instruments identified and all other
security referenced in Section 8 above shall remain in full force and effect, and shall inure to the
benefit of the Subdivider

10 The Parties hereto further agree that the Subdivider may, at its election and at any
time, deposit with the City substitute cash or substitute security instruments, provided that bonds
shall be by one or more duly authorized corporate sureties licensed to conduct business in
California, subject to the approval of the City and on forms furnished or approved by the City, and
Certificates of Deposit and Irrevocable Standby Letters of Credit shall be in a form acceptable to the
City of Fresno Finance Department The City shall not release the existing security instruments until
it approves the substitute cash or substitute security instruments
11 The City hereby agrees to release to the Subdivider all cash and security instruments
including bonds, Certificates of Deposit and Irrevocable Standby Letters of Credit, if any,without set
off or reduction and including accrued interest, if any, upon completion and the City's acceptance of
the Improvements, provided that the Subdivider meets the City's Warranty Security Requirement,set
forth in Exhibit "A" hereto and based upon the revised and amended Total Cost Estimate and
subject to the requirements in Government Code Section 66499 7(1)
12 Any damage to the work and Improvements constructed pursuant to this New
Agreement that occurs after installation shall be made good to the satisfaction of the City Engineer
by the Subdivider before any securities are released or the final acceptance of the completed work
13 The Subdivider shall remedy any defective work or labor or any defective materials
relating to the Improvements and pay for any damage to other work or improvements resulting
therefrom which shall occur within a period of one (1)year from the date of the City's acceptance of
the Improvements
14 To ensure the Subdivider complies with its obligations set forth in Section 13 of this
New Agreement, upon acceptance of the required work by the City Engineer, Warranty Security
shall be furnished to or existing cash or securities retained by the City, in the minimum amount
identified in Exhibit "A," as a guarantee and warranty of the work, for a period of one (1) year

following acceptance, against any defective work or labor done or defective materials furnished In
accordance with Section 12-1016 of the Fresno Municipal Code, said Warrant Security shall be in
the form of cash or a Certificate of Deposit The Warranty Security shall be released, less any
amount required to be used for fulfillment of the warranty, one (1) year after final acceptance of the
Improvements
15 This New Agreement shall in no way be construed as a grant by the City of any rights
to the Subdivider to trespass upon land rightfully in the possession of, or owned by, another,
whether such land be privately or publicly owned
16 To the greatest extent allowed by law, the Subdivider shall indemnify, hold
harmless and defend the City and each of its officers, officials, employees, agents and
volunteers from any and all loss, liability, fines, penalties, forfeitures, costs and damages
(whether in contract, tort or strict liability, including but not limited to personal injury, death at any
time and property damage) incurred by the City, the Subdivider or any other person, and from
any and all claims, demands and actions in law or equity (including reasonable attorney's fees
and litigation expenses), arising or alleged to have arisen directly or indirectly out of the
performance of this New Agreement or the performance of any or all work to be done in and
upon the street rights-of-way in the subdivision and upon the premises adjacent thereto pursuant
to this New Agreement, provided that (a) the City promptly notifies the Subdivider in writing of
any claim, action or demand for which indemnity is claimed, and (b) the Subdivider has complete
control of the defense and settlement thereof, provided that no settlement of an indemnified
claim shall be made without the consent of the City, such consent not to be unreasonably
withheld or delayed The Subdivider's obligations under the preceding sentence shall apply
regardless of whether the Subdivider or any of its officers, officials, employees, agents or
volunteers are passively negligent, but shall not apply to any loss, liability, fines, penalties,

forfeitures, costs or damages caused by the active or sole negligence, or the willful misconduct,
of the City or any of its officers, officials, employees, agents or volunteers
The Parties hereto acknowledge that on or about December 2, 2009 the Liquidation
Trustee for Dunmore Homes, Inc presented to the City a claim that the certificates of deposit, in
the aggregate principal amount of Three Hundred Fifty Thousand Dollars ($350,000), identified
in Recital C and Section 8 of this New Agreement and referred to elsewhere in this New
Agreement are the property of Dunmore Homes Liquidation Trust The Parties to this New
Agreement believe that said claim is without merit In any event, the Parties hereto agree that
the preceding paragraph of this Section 16 relating to defense and indemnification applies to
said claim, and that in the event a court of competent jurisdiction requires that the City release,
in part or in total, said certificates of deposit to a party other than the Subdivider, the Subdivider
shall deposit with the City, within a period of thirty (30) days from the Subdivider's receipt of a
copy of such court order, a replacement certificate or certificates of deposit in a form acceptable
to the City of Fresno Finance Department and in a principal amount or amounts equal to the total
principal amount of the certificate or certificates of deposit the City is required to release
If the Subdivider should subcontract all or any portion of the work to be performed under this
New Agreement, the Subdivider shall require each subcontractor to indemnify, hold harmless and
defend the City and each of its officers, officials, employees, agents and volunteers in accordance
with the terms of the preceding paragraph of this Section 16 Notwithstanding the preceding
sentence, any subcontractor who is a "design professional," as defined in Section 2782 8 of the
California Civil Code, shall, in lieu of indemnity requirements set forth in the preceding paragraph of
this Section 16, be required to indemnify, hold harmless and defend the City and each of its officers,
officials, employees, agency and volunteers, to the furthest extent allowed by law, from any and all
loss, liability, fines, penalties, forfeitures, costs and damages (whether in contract, tort or strict

liability, including but not limited to personal injury, death at any time and property damage), and
from any and all claims, demands and actions in law or equity(including reasonable attorney's fees
and litigation expenses) that arise out of, pertain to, or relate to the negligence, recklessness or
willful misconduct of the design professional, its principals, officers,employees, agents or volunteers
in the performance of this New Agreement
The Subdivider further agrees that the use for any purpose and by any person of any and all
of the streets and improvements hereinbefore specified, shall be at the sole and exclusive risk of the
Subdivider at all times prior to final acceptance by the City of the completed street and other
improvements thereon and therein
This Section 16 shall survive termination or expiration of this New Agreement
17 Throughout the life of this New Agreement,the Subdivider shall pay for and maintain
in full force and effect all policies of insurance described in this Section 17 with an insurance
company or companies either (i) approved by the California Insurance Commissioner to conduct
business in the State of California and rated not less than"A-VII" in Best's Insurance Rating Guide,
or (ii) authorized by the City's Risk Manager The following policies of insurance are required
a COMMERCIAL GENERAL LIABILITY insurance, which shall be at least as
broad as the current version of Insurance Services Office(ISO)Commercial General Liability
Coverage Form CG 00 01, and shall include insurance for"bodily injury,""property damage"
and "personal and advertising injury"with coverage for premises and operations (including
the use of owned and non-owned equipment), products and completed operations, and
contractual liability(including indemnity obligations under this New Agreement)with limits of
liability of not less than $1,000,000 per occurrence for bodily injury and property damage,
$1,000,000 per occurrence for personal and advertising injury,and$1,000,000 aggregate for
products and completed operations
b COMMERCIAL AUTOMOBILE LIABILITY insurance,which shall be at least
as broad as the current version of Insurance Services Office(ISO) Business Auto Coverage
Form CA 00 01, and shall include coverage for all owned, hired, and non-owned
automobiles or other licensed vehicles (Code 1 B Any Auto) with combined single limits of
liability of not less than $5,000,000 per accident for bodily injury and property damage

than $1,000,000 each accident, $1,000,000 disease policy limit and $1,000,000 disease
each employee
The Subdivider shall be responsible for payment of any deductibles contained in any
insurance policy required hereunder, and the Subdivider shall also be responsible for payment of
any self-insured retentions
The above-described policies of insurance shall be endorsed to provide an unrestricted
thirty-(30) calendar-day written notice in favor of the City of policy cancellation of coverage, except
for the Workers'Compensation policy,which shall provide a ten-(10)calendar-day written notice of
such cancellation of coverage In the event any policy is due to expire during the term of this
New Agreement, the Subdivider shall provide a new certificate evidencing renewal of such
policy not less than fifteen (15) calendar days prior to the expiration date of the expiring
policy. Upon issuance by the insurer, broker, or agent of a notice of cancellation in coverage, the
Subdivider shall file with the City a new certificate and all applicable endorsements for such policy
The Commercial General Liability and Commercial Automobile Liability insurance policies
shall be written on an occurrence form and shall name the City, its officers, officials, agents,
employees and volunteers as additional insured Said policies of insurance shall be endorsed so
the Subdivider's insurance shall be primary and no contribution shall be required of the City In the
event claims made forms are used for any Professional Liability coverage, either (i) the policy or
policies shall be endorsed to provide for a discovery period of not less than a five(5)years, or(ii)the
coverage shall be maintained for a minimum of five (5) years following the termination of this New
Agreement, and the requirements of this Section 17 relating to such coverage shall survive

termination or expiration of this New Agreement Any Workers' Compensation insurance policy
shall contain a waiver of subrogation as to the City, its officers, officials, agents, employees and
volunteers The Subdivider shall have furnished the City with the certificate or certificates
and applicable endorsements for ALL required insurance prior to the City's execution of this
New Agreement. The Subdivider shall furnish the City with copies of the actual policies upon the
request of the City's Risk Manager at any time during the life of this New Agreement or any
extension thereof, or after termination or expiration of this New Agreement upon a showing of good
cause by the City, and this requirement shall survive termination or expiration of this New
Agreement
The fact that insurance is obtained by the Subdivider or its subcontractors shall not be
deemed to release or diminish the liability of the Subdivider or its subcontractors including,without
limitation, liability under the indemnity provisions of this New Agreement The duty to indemnify the
City, its officers, officials, agents, employees and volunteers shall apply to all claims and liability
regardless of whether any insurance policy is applicable The policy limits do not act as a limitation
upon the amount of indemnification to be provided by the Subdivider or its subcontractors Approval
or purchase of any insurance contracts or policies shall in no way relieve from liability nor limit the
liability of the Subdivider, its principals, officers, agents, employees, persons under the supervision
of the Subdivider, vendors, suppliers, invitees, subcontractors, consultants or anyone employed
directly or indirectly by any of them
If, at any time during the life of this New Agreement or any extension thereof,the Subdivider
fails to maintain the required insurance in full force and effect, the Director of Public Works, or
his/her designee, may order that the Subdivider, or its contractors or subcontractors, immediately
discontinue any further work under this New Agreement and take all necessary actions to secure the
work site to ensure that the public's health, safety and welfare are protected All payments due or

that become due to the Subdivider shall be withheld until notice is received by the City that the
required insurance has been restored to full force and effect and that the premiums therefor have
been paid for a period satisfactory to the City Any failure to maintain the required insurance shall
be sufficient cause for the City to terminate this New Agreement
If the Subdivider should subcontract all or any portion of the services to be performed under
this New Agreement,the Subdivider shall require each subcontractor to provide insurance protection
in favor of the City, its officers, officials, employees, volunteers and agents in accordance with the
terms of each of the preceding paragraphs, except that each subcontractor's certificates and
endorsements shall be on file with the Subdivider and the City prior to the commencement of any
work by the subcontractor
18 The Subdivider and its subcontractors shall pay for any materials, provisions and
other supplies used in, upon, for, or about the performance of the Improvements contracted to be
done, and for any work or labor thereon of any kind, and for amounts due under the Unemployment
Insurance Act of the State of California, with respect to such work or labor
19 Compaction and other materials testing performed for determination of compliance
with the Public Works Standard Specifications shall conform to Section 2-11, entitled "Materials
Acceptance Testing," of the Public Works Standard Specifications Materials testing shall at all
times remain under the review of the City Engineer, who may determine additional test procedures
and additional locations to be tested All materials testing for improvement work within public
easements and rights-of-way shall be ordered and paid for by the Subdivider
20 It shall be the responsibility of the Subdivider to coordinate all work done by its
contractors and subcontractors, such as scheduling the sequence of operations and the
determination of liability if one operation delays another In no case shall representatives of the City
be placed in the position of making decisions that are the responsibility of the Subdivider It shall

further be the responsibility of the Subdivider to give the City Engineer written notice not less than
two (2) working days in advance of the actual date on which work is to be started Failure on the
part of the Subdivider to notify the City Engineer may cause delay for which the Subdivider shall be
solely responsible
21 Whenever the Subdivider varies the period during which work is carried on each day,
it shall give due notice to the City Engineer so that proper inspection may be provided If the
Subdivider fails to duly notify the City as herein required, any work done in the absence of the City
Engineer will be subject to refection The inspection of the Improvements shall not relieve the
Subdivider of any of its obligations to fulfill this New Agreement as prescribed Defective work shall
be made good, and unsuitable materials may be refected, notwithstanding the fact that such
defective work and unsuitable materials have been previously overlooked by the City Engineer or
City Inspector and accepted
22 Adequate dust control shall be maintained by the Subdivider on all streets within and
without the subdivision on which work is required to be done under this New Agreement from the
time work is first commenced in the subdivision until the paving of the streets is completed
"Adequate dust control" as used herein shall mean the sprinkling of the streets with water or the
laying of an approved dust palliative thereon with sufficient frequency to prevent the scattering of
dust by wind or the activity of vehicles and equipment onto any street area or private property
adjacent to the subdivision in strict compliance with all rules and regulations established by the San
Joaquin Valley Air Pollution Control Board Whenever, in the opinion of the City Engineer, adequate
dust control is not being maintained on any street or streets as required by this paragraph,the City
Engineer shall give notice to the Subdivider to comply (hereinafter "Notice to Comply") with the
provisions of this paragraph forthwith If, in the opinion of the City Engineer, the Subdivider's failure
to comply with the provisions of this paragraph is having an immediate and significant impact on the

public's health, safety and welfare,the City Engineer may immediately issue a stop work order until
the City receives reasonable assurances that the Subdivider shall comply with the provisions of this
paragraph forthwith Such notices and stop-work orders may be personally served upon the
Subdivider or, if the Subdivider is not an individual, upon any person who has signed this New
Agreement on behalf of the Subdivider or, at the election of the City Engineer, such notices and
stop-work orders maybe mailed to the Subdivider at its address on file with the City Engineer If the
City Engineer has issued a Notice to Comply and within twenty-four(24) hours after such personal
service of such Notice or within forty-eight (48) hours after the mailing thereof as herein provided,
the Subdivider shall not have commenced to maintain adequate dust control or shall at any time
thereafter fail to maintain adequate dust control,the City Engineer may,without further notice of any
kind, cause any such street or streets to be sprinkled or treated, as the City Engineer may deem
advisable to eliminate the scattering of dust, by equipment and personnel of the City or by contract
as the City Engineer shall determine, and the Subdivider agrees to pay to the City forthwith, upon
receipt of billing therefor, the entire cost to the City of such sprinkling or treating When the
surfacing on any existing street is disturbed, this surfacing shall be replaced with temporary or
permanent surfacing within fourteen (14) calendar days, and the roadway shall be maintained in a
safe and passable condition at all times between the commencement and final completion, and
adequate dust control shall be maintained during these operations
23 Concrete curbs and gutters, the sanitary sewer system and house connections,
together with water mains, gas mains, and their respective service connections, and all other
facilities required to be installed underground shall be completed in the streets and alleys before
starting the street and alley surfacing
24 Time is of the essence of this New Agreement, and the same shall bind and inure to
the benefit of the Parties hereto, their successors and assigns

25 No assignment of this New Agreement or of any duty or obligation of performance
hereunder shall be made in whole or in part by the Subdivider without the written consent of the City
26 In addition to the Covenants Affecting Land Development which may apply for
specific purposes (e g , temporary storm drainage basin, temporary off-street facilities, and
emergency access road) and referenced on the Final Map and in this New Agreement, the
Subdivider shall comply with all the conditions of approval set forth in the Conditions of Approval that
it has not already fully complied with as of the date of approval of the Final Map and which are not
otherwise set forth in this New Agreement, including but not limited to any condition to convey to a
specific Party a fee interest or easement in any parcel upon the Subdivider's completion of all
required improvements to said parcel The Subdivider's compliance with such conditions shall be
completed within a reasonable time, as determined by the City, after receiving written notice from
the City Engineer of the outstanding condition or term with which the Subdivider is required to
comply The Parties to this New Agreement acknowledge the contents of the December 21, 2006
Water Division memorandum that modified the Conditions of Approval by eliminating conditions of
approval numbered 98, 99, and 100 and substituting for those conditions the single condition of
approval set forth in said memorandum, a copy of which is attached to this New Agreement as
Exhibit"C" and incorporated herein by reference and the City Council hereby ratifies and approves
said modification of the Conditions of Approval
27 The Subdivider shall comply with Street, Plumbing, Building, Electrical, and Zoning
Codes and all other codes of the City In performing its obligations set forth in this New Agreement,
the Subdivider shall comply with all applicable laws, regulations, and rules of the governmental
agencies having jurisdiction including, without limitation, applicable federal and State labor
standards and environmental laws and regulations The Subdivider, not the City, is responsible for
determining applicability of and compliance with all local, State and federal laws including, without

limitation,the California Labor Code, Public Contract Code, Public Resources Code, Health&Safety
Code, and Government Code, the Fresno City Charter, and the Fresno Municipal Code The City
makes no representations regarding the applicability of any such laws to this New Agreement, the
project, or the Parties' respective rights or obligations hereunder including, without limitation,
payment of prevailing wages, competitive bidding, subcontractor listing, or other matters The City
shall not be liable or responsible, in law or equity,to any person for the Subdivider's failure to comply
with any such laws, whether the City knew or should have known of the need for the Subdivider to
comply, or whether the City failed to notify the Subdivider of the need to comply The Subdivider is
referred to the City of Fresno, Department of Public Works, Construction Management Division, to
obtain the current prevailing wage rates,to the extent said rates are applicable to the construction of
any of the Improvements
28 If either Party is required to commence any proceeding or legal action to enforce or
interpret any term, covenant or condition of this New Agreement, the prevailing Party in such
proceeding or action shall be entitled to recover from the other Party its reasonable attorneys'fees
and legal expenses
29 The waiver by either Party of a breach by the other of any provision of this New
Agreement shall not constitute a continuing waiver or a waiver of any subsequent breach of either
the same or a different provision of this New Agreement No provision or provisions of this New
Agreement may be waived unless in writing and signed by all Parties to this New Agreement
Waiver of any one provision herein shall not be deemed to be a waiver of any other provision herein
30 This New Agreement shall be governed by, and construed and enforced in
accordance with, the laws of the State of California, excluding, however, any conflict of laws rule
which would apply the law of another jurisdiction Venue for purposes of the filing of any action

regarding the enforcement or interpretation of this New Agreement and any rights and duties

31 Each Party acknowledges that it has read and fully understands the contents of this
New Agreement This New Agreement, together with its exhibits and referenced drawings, plans
and other documents, represents the entire and integrated agreement between the Parties with
respect to the subject matter hereof and supersedes all prior negotiations, representations or
agreements,whether wntten or oral The City and the Subdivider agree that the entirety of this New
Agreement shall be interpreted and construed as jointly drafted by their respective legal counsel
This New Agreement may be modified only by written instrument duly authorized and executed by
both the City and the Subdivider
32 The Subdivider hereby warrants that any and all parties having record title interest in
the Final Map which may npen into a fee have subordinated to this New Agreement and that all such
instruments of subordination, if any, are attached hereto and made a part of this New Agreement
33. The Effective Date of this New Agreement shall be the day and year on which the
Subdivider purchases the Subdivision Property from RBC as evidenced by the closing of Escrow
No 09-45025562-JP with Chicago Title Company This New Agreement shall be subject to the
closing of the Escrow,which closing shall occur no later than February 11, 2010, and in the event
the Escrow does not close by February 11,2010,this New Agreement shall have no force or effect

SUBJECT: SUBSTITUTION-WATER REQUIREMENTS FOR TRACT NO. 5461/UGM
Changing water resources in the vicinity of tract 5461 dictate that we modify prior conditions of
approval. Please eliminate condition numbers 98, 99 and 100. In substitution for those
conditions the following requirement shall be incorporated as an addendum to the conditions of
approval.
1. Construct a 24-inch raw water pipeline, turn-out structure and appropriate appurtenances
from the Gould No. 97 Canal to the proposed City of Fresno water storage tank site at
6736 East Dakota Avenue. As a result of the maximized hydraulic capacity in the region
occupancy approvals for T 5461 shall not exceed72 per year until either the water storage
tank or the pipeline connecting the City of Clovis is completed and operational. The cost
of construction of the raw water pipeline shall be reimbursed in accordance with
established UGM policies.
