L/L-0U0U-/A0M-+ GOL/JUL/J SECOND AMENDMENT TO AGREEMENT THIS SECOND AMENDMENT TO AGREEMENT (Amendment) made and entered into as of this 22 day of Apr' 1 . 2025, amends the Agreement theretofore entered between the CITY OF FRESNO, a California municipal corporation (CITY), and CSI Services, Inc., a California corporation (CONSULTANT). WHEREAS, the CITY and the CONSULTANT entered into an agreement on December 14, 2021, (Agreement) to provide professional coating inspection service, on an as -needed basis, for Department of Utilities Infrastructure for a total fee not to exceed $250,000, including a contingency amount of $20,000, paid on a time and materials basis; and WHEREAS, the First Amendment to the Agreement was executed on November 30, 2024, to extend the agreement to April 29, 2025; and WHEREAS, the City and the Consultant have agreed to utilize the first of two, one- year extensions in accordance with the updated schedule of fees contained in Attachment A; and WHEREAS, with entry into this Amendment, the CONSULTANT agrees it has no claim, demand, or dispute against the CITY. NOW, THEREFORE, the CITY and the CONSULTANT agree that the aforesaid Agreement be amended as follows: Section 2 of the Agreement is amended in its entirety to read as follows: "2. Term of Agreement and Time for Peilormance. This Agreement shall be effective from the date first set forth above and shall continue in full force and effect through the earlier of complete rendition of the services hereunder or April 29, 2026, subject to any earlier termination in accordance with this Agreement. The services of CONSULTANT as described in Exhibit A are to commence upon CITY'S issuance of a written "Notice to Proceed." Work shall be undertaken and completed in a sequence assuring expeditious completion, but in any event, all such services shall be completed within 1,633 consecutive calendar days from such authorization to proceed." 2. Consultant's sole compensation for satisfactory performance of all services required or rendered pursuant to this Amendment is not modified from the original agreement. 3. Consultant shall provide an updated schedule of fees as described in Attachment A, attached hereto and incorporated herein by reference. 4. Except as otherwise provided herein, the Agreement and Amendments entered into by the CITY and the CONSULTANT, remain in full force and effect. 4551570 LJUI:UwylI GI IVCIUFJC ILJ.
