RESOLUTION NO. 2001-150
A RESOLUTION OF THE COUNCIL OF THE CITY OF FRESNO,
CALIFORNIA, APPROVING SECOND AMENDMENT TO FUND
TRANSFER AGREEMENT NO. 75A0045 WITH CALTRANS FOR
RENOVATION OF THE HISTORIC SANTA FE RAILWAY STATION
IN DOWNTOWN FRESNO.
WHEREAS, on July 1, 1998, the City entered into an agreement with the State of
California, Department of Transportation, herein referred to as "Caltrans," to construct,
in a joint venture with the County of Fresno, a new intercity rail station in Fresno; and
WHEREAS, on October 14, 1999, the City terminated the Memorandum of
Understanding (MOU) with the County of Fresno, dated December 30, 1994, for
construction of a new Fresno Amtrak station; and
WHEREAS, Public Utilities Code Section 99315.7 makes available for
expenditure the funding previously allocated to the proposed construction of a new
Fresno Amtrak station, for the renovation of the historic Santa Fe Railway Station
without further action by the California Transportation Commission (CTC); and
WHEREAS, on October 31, 2000, the Council directed staff to pursue final
design for renovation of the historic Santa Fe Railway Station for use as the Fresno
Intercity Rail Station in Fresno; and
WHEREAS, Caltrans, as the CTC's administering agency has submitted a draft
Second Amendment to Fund Transfer Agreement No. 75A0045, herein referred to as
"Second Amendment," to renovate the historic Santa Fe Railway Station for use as the
Intercity Rail Station in downtown Fresno.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF
FRESNO as follows:
1. Council had duly reviewed the Second Amendment; and
2. The Second Amendment is found and approved as consistent with the
intent of Council's direction on October 31, 2000; and
3. The Second Amendment is hereby approved, and the Public Works
Director of the City is hereby authorized to sign on behalf of the City.

WHEREAS, on October 14, 1999, LOCAL AGENCY terminated the Memorandum
of Understanding (MOU) with the County of Fresno, dated December 30, 1994, for the
construction of a new Fresno Amtrak station; and
WHEREAS, Public Utilities Code Section 99315.7 makes available for expenditure
the funding, previously allocated to the proposed construction of a new Fresno
Amtrak station, for the renovation of the historic Santa Fe Railway Station without
further action by the California Transportation Commission (CTC); and
WHEREAS, on October 31, 2000, LOCAL AGENCY directed staff to pursue final
design for renovation of the historic Santa Fe Railway Station for use as the new
Fresno Intercity Rail Station.
NOW, THEREFORE, the parties hereto mutually agree to amend Agreement No.
75A0045 and its amendments as follows:
Project Description:
A revised Project Description (Attachment I) is attached to reflect the changes
made by this Amendment and supercedes Attachment I to the original agreement.
Scope of Work:
A revised Scope of Work (Attachment III) is attached to reflect the changes made
by this Amendment and supercedes Attachment III to the original agreement.
Original Agreement and CTC Resolution:
STATE hereby acknowledges that, pursuant to Public Utilities Code
section 99315.7, the funds previously allocated to the proposed construction of a
new Fresno Amtrak station are authorized to be reallocated for renovation of the
historic Santa Fe Railway Station without further action by the California
Transportation Commission (CTC), and the revised Project Description and Scope
of Work are set forth in Attachments I and III to this amendment.
STATE hereby acknowledges LOCAL AGENCY'S termination of the
MOU and any consequential joint venture between LOCAL AGENCY and County
of Fresno to construct a new intercity rail station and consents to LOCAL AGENCY
singularly proceeding with the Project.
All other terms and conditions of the original agreement and its
Amendment No. 1, except as changed or revised pursuant to this Amendment
No. 2 and Public Utilities Code section 99315.7, remain in full force and effect.

Attachment IX:
LOCAL AGENCY has executed this Amendment to FTA pursuant to the LOCAL
AGENCY authorizing resolution, attached as Attachment IX to the Standard
Provisions of Grant.
Above noted Revised Attachments I and III and Attachment IX are incorporated
and made a part hereof by reference and attachment.
IN WITNESS WHEREOF,the parties hereto have executed this Agreement No.75A0045,
Amendment No.2,by their duly authorized officers.

Revised Project Description
Initial plans for the Fresno Amtrak station project called for a new station at the site,
but subsequent analysis shows that renovation of the old Santa Fe station is more
efficient and cost effective. The existing Fresno Amtrak station is not adequate for the
high numbers of passengers boarding the San Joaquin trains at Fresno.
The project will renovate the historic Santa Fe railway station for Amtrak operations.
The historic station, which was built in 1899, is located at the southeast corner of
Santa Fe Avenue and Tulare Street in downtown Fresno. It is adjacent to the=existing
Amtrak facility, which is inadequate for present and future passenger needs.
The City will acquire the historic station and existing Amtrak facility from Burlington
Northern Santa Fe Railway (BNSF). The project includes renovation of the building's
exterior, interior improvements on the first floor, demolition of adjacent structures,
additional parking and site improvements. Approximately 5800 squaref et onincluthe

first floor will be renovated into an Amtrak passenger station, which
lobby,baggage area, ticketing counter, restrooms and space for Amtrak
operations. No interior improvements will be made to the second floor.
